Reports to Regulatory Authorities. (a) Since January 1, 2010, each of the 1st Financial Companies has timely filed all reports, registrations and statements and other filings, together with any amendments required to be made with respect thereto, that it or they were required to file with any Regulatory Authority (collectively, the "1st Financial Reports"). Each 1st Financial Report complied in all material respects with all applicable statutes applicable thereto, and to all rules and regulations enforced or promulgated by the Regulatory Authorities with which it was filed, and, at the time it was filed (or if amended or superseded by a subsequent filing prior to the date of this Agreement, then on the date of that subsequent filing) did not contain any untrue statement of a material fact or omit to state a material fact required to be stated therein or necessary to make the statements therein, in light of the circumstances under which they were made, not misleading.

During the term of this ----------------------------------- Agreement, the Reinsurer and the Company shall promptly furnish the other copies of any and all filings with, and reports or communications received from, any regulatory authority which relates directly and materially to the Non-Novated Dental Policies, including, without limitation, each annual statement, each quarterly financial report to the regulatory authority of the party's domicile having principal jurisdiction over the party and each report on periodic examination issued by such regulatory authority to the extent it relates to the Non-Novated Dental Policies. -7-

Lessee shall prepare and --------------------------------- file or cause to be prepared and filed in timely fashion or, where Lessor or any Bank Party shall be required to file, upon reasonable notice Lessee shall prepare and deliver or cause to be prepared and delivered to such Person within a reasonable time prior to the date for filing, any report with respect to the Facility or the Site that shall be required to be filed with any Governmental Authority.

EKI will, during the term of this Agreement, deliver to Gold Ridge as soon as they become available and are filed in the public domain, as applicable, true and complete copies of any report or statement filed by it with any Regulatory Authority under Applicable Laws, subsequent to the date hereof. As of their respective dates, such reports and statements will comply in all material respects with all applicable legal requirements including those of any Regulatory Authority under Applicable Laws. The financial statements of EKI issued by EKI or to be included in such reports and statements will be prepared in accordance with international financial reporting standards and Applicable Laws and will present fairly the financial position, results of operations and changes in financial position of EKI as of the dates thereof and for the periods indicated therein.

Gold Ridge will, during the term of this Agreement, deliver to EKI as soon as they become available and are filed in the public domain, true and complete copies of any report or statement filed by it with any Regulatory Authority under Applicable Laws, subsequent to the date hereof. As of their respective dates, such reports and statements will comply in all material respects with all applicable legal requirements including those of any Regulatory Authority under Applicable Laws. The financial statements of Gold Ridge issued by Gold Ridge or to be included in such reports and statements will be prepared in accordance with international financial reporting standards and Applicable Laws and will present fairly the financial position, results of operations and changes in financial position of Gold Ridge as of the dates thereof and for the periods indicated therein.
