Service Upgrades a) Serraview will, at its sole discretion, prepare and deploy new or upgraded versions of the System to improve performance and service quality, support alternative business processes, address Error correction and legal requirements or to maintain the competitiveness of the Services.
b) Serraview may update the Services from time to time without obtaining the Client’s consent, providing the updates do not adversely affect the functionality, operation or availability of the existing Services.
c) Serraview must not update the Services such that they materially adversely affect the functionality, operation or availability of Services without obtaining the prior written consent of the Client, which may not be unreasonably withheld or delayed. The Client may ask Serraview to provide a copy of the Services that they can access and assess on a Test Site prior to consenting to the update of the Services on the Production Site.
Service Upgrades. Members requesting service upgrades shall be considered on a case-by-case basis. The member shall be responsible for the upgrade costs, as determined by DSO. The following shall apply to all upgrades:
1. It shall be the responsibility of the member or authorized contractor to provide DSO with the estimated increase in electrical load from the service upgrade.
2. DSO shall require that 100% of the cost of the service upgrade be paid in advance.
Service Upgrades. If You choose to upgrade Your Service Plan during Your Subscription Term (a “Subscription Upgrade”), any incremental Service Charges associated with such Subscription Upgrade will be prorated over the remaining period of Your then current Subscription Term, charged to Your Account and due and payable upon implementation of such Subscription Upgrade. In any future Subscription Term, Your Service Charges will reflect any such Subscription Upgrades.
Service Upgrades. The parties acknowledge that modifications, upgrades, and additions to the administrative services described herein may be necessary to adequately service the ProVantage Business (collectively, "Service Upgrades"). Charges for Service Upgrades are not included in the Base Fee. The parties agree to negotiate in good faith regarding any Service Upgrades. It is the intention of the parties that to the extent practicable, ShopKo will use reasonable efforts to provide ProVantage with any reasonable Service Upgrades requested by ProVantage, and that the parties will negotiate reasonable fees, reimbursement rates or other charges to adequately compensate ShopKo for the Service Upgrades.
Service Upgrades. We reserve a permanent time window of 6 – 8 hours in every calendar week for regular maintenance and upgrades (the “Regular Maintenance Time”). The Regular Maintenance Time is currently scheduled for Sundays between 0:00 am and 6:00 am. The Regular Maintenance Time may be changed in duration (of up to 8 hours per calendar week) and point in time from time to time upon prior notice which will be published on Our website or by direct information to You. Apart from our regular maintenance to the Services, it may, from time to time, be necessary for Us to apply upgrades, patches, bug fixes, or other maintenance to the Services outside of the Regular Maintenance Time. We agree to use reasonable efforts to provide You with prior notice of any scheduled extraordinary maintenance (except for emergency maintenance which due to the severity of the incident does not allow for prior notice) via the communication channels regularly used for communication with You, and You agree to use reasonable efforts to comply with any maintenance requirements that We notify You about. Pre-notification of any maintenance shall be made at least 24 hours in advance.
Service Upgrades. (a) After the implementation of a Mandatory Service Upgrade in accordance with the provisions of Section 2.6 (Redesigns and Modifications to the Network), the upgraded Services will continue to conform to or exceed the applicable Service Levels/Performance Specifications, except as otherwise expressly agreed by the Parties in writing.
(b) SITA shall make Service Upgrades available to WSL at no additional charge, and WSL may elect whether and when to accept an Optional Service Upgrade. WSL’s decision to forego an Optional Service Upgrade shall not relieve SITA of its obligations to WSL with respect to the Service Levels/Performance Specifications applicable to the upgraded Service.
(c) SITA shall notify WSL of any revision, improvement, enhancement, modification or addition to a Service or Service Component (including increases in the functionality or improvements in performance) that is developed by or for SITA (or a SITA Agent) and is made available by SITA to its customers comparable to WSL at an additional charge. Such revisions, improvements, enhancements, modifications and additions shall be treated as Additional Services under this Agreement.
Service Upgrades. 7.14.1 Subject to clauses 7.14.2 and 7.14.3 below, any request for an upgrade will only be accepted after the initial actual Customer installation date of the Service that requires an upgrade;
Service Upgrades. CP will provide to UHS at no charge beyond maintenance fees then in effect and paid by UHS in accordance with the terms of this Agreement, the option to implement any Service Upgrade and enhancements to the current release of Insure, as soon as such Service Upgrade or enhancements become commercially available. If UHS decides to exercise this option with respect to Service Upgrades for Insure, the parties shall mutually agree
Service Upgrades. CommTouch will periodically upgrade the Custom Mail Services and calendaring service. CommTouch will promptly notify the Business Partner of such upgrades and the Business Partner shall be entitled to require its site to be upgraded from time to time. All such requests shall be made in writing and CommTouch's approval shall not be unreasonably withheld.
Service Upgrades. Customer may elect to terminate this Agreement and enter into a new agreement for an upgraded service (as determined by the sole discretion of Verizon) without the imposition of termination charges subject to the following conditions; a) when Customer upgrades service, the order to discontinue the existing service and the order to upgrade service must be received by Verizon at the same time; b) the total MRC of the new agreement must be equal to or greater than the total monthly rate of the existing Agreement (rates for the upgraded service including any discount will be those in effect at the time the service upgrade is ordered); c) the new agreement for an upgraded service must terminate no earlier than the existing Agreement; it may exceed the term of the existing Agreement; d) the upgraded service must be provided by Verizon; e) any charges associated with local access or additional facilities that occur in the termination of the existing circuits and the provisioning of the upgraded circuits will billed to Customer; and f) transport charges associated with the upgraded service will be calculated according to Verizon’s then current inter-office transport rates at the time of the upgrade.
