Services as Investment Manager. Subject to the supervision and direction of the Board of Trustees of the Fund, Xxxxx Management will (a) act in strict conformity with the Fund's Agreement and Declaration of Trust, the Investment Company Act of 1940 (the "1940 Act"), and the Investment Advisers Act of 1940, as the same may from time to time be amended; (b) manage the Portfolio in accordance with the Portfolio's investment objective and policies as stated in the Fund's Prospectus and Statement of Additional Information as from time to time in effect; (c) make general investment decisions for the Portfolio involving decisions concerning
(i) the specific types of securities to be held by the Portfolio and the proportion of the Portfolio's assets that should be allocated to such investments during particular market cycles and (ii) the specific issuers whose securities will be purchased or sold by the Portfolio; and (d) supply office facilities (which may be in Xxxxx Management's own offices); statistical and research data; data processing services; clerical, accounting and bookkeeping services; internal auditing services; internal executive and administrative services; stationery and office supplies; preparation of reports to shareholders of the Portfolio; preparation of tax returns, reports to and filings with the Securities and Exchange Commission (the "SEC") and state Blue Sky authorities; calculation of the net asset value of shares of the Portfolio; maintenance of the Portfolio's financial accounts and records; and general assistance in all aspects of the Fund's operations with respect to the Portfolio. In providing those services, Xxxxx Management will supervise the Portfolio's investments generally and conduct a continual program of evaluation of the Portfolio's assets. In connection with the performance of its duties under this Agreement, it is understood that Xxxxx Management may from time to time employ or associate with itself such person or persons as Xxxxx Management may believe to be particularly fitted to assist it in the performance of this Agreement, it being understood that the compensation of such person or persons shall be paid by Xxxxx Management and that no obligation may be incurred on the Fund's behalf in any such respect.
Services as Investment Manager. Subject to the supervision and direction of the Board of Directors of the Fund, Cowen will (a) act in strict conformity with the Fund's Articles of Incorporation and by-laws, the Investment Company Act of 1940 (the "Act") and the Investment Advisers Act of 1940, as the same may from time to time be amended, (b) manage the Portfolio in accordance with the Portfolio's investment objective and policies as stated in the Portfolio's Prospectus and Statement of Additional Information as from time to time in effect, (c) make general investment decisions for the Portfolio including decisions concerning (i) the specific types of securities to be held by the Portfolio and the proportion of the Portfolio's assets that should be allocated to such investments during particular market cycles and (ii) the specific issuers whose securities will be purchased or sold by the Portfolio, and (d) supply office facilities (which may be in Cowex'x xxx offices); statistical and research data; data processing services; clerical, accounting and bookkeeping services; internal auditing and legal services; internal executive and administrative services; stationery and office supplies; preparation of reports to shareholders of the Portfolio; preparation of tax returns, reports to and filings with the Securities and Exchange Commission and state Blue Sky authorities; calculation of the net asset value of shares of the Portfolio; and general assistance in all aspects of the Portfolio's operations. In providing those services, Cowen will supervise the Portfolio's investments generally and conduct a continual program of evaluation of the Portfolio's assets. In connection with the performance of its duties under this Agreement, it is understood that Cowen will from time to time employ or associate with itself such person or persons as Cowen may believe to be particularly fitted to assist it in the performance of this Agreement, it being understood that the compensation of such person or persons shall be paid by Cowen and that no obligation may be incurred on the Portfolio's behalf in any such respect. Cowen, a limited partnership formed under the laws of the State of New York, will notify the Fund of any change in its membership within a reasonable time after such change.
Services as Investment Manager. (a) Subject to the Investment Guidelines for the Company’s HPS Investment Account attached hereto as Exhibit A (as amended from time to time in accordance with Section 3(a), the “HPS Investment Guidelines”), the Investment Manager will be empowered (i) to formulate the overall trading and investment strategy of the HPS Investment Account and the related borrowing activities required in order to implement such strategy and (ii) to exercise full discretion in the management of the trading and investment transactions and related activities of the HPS Investment Account in order to implement such strategy.
(b) In furtherance of the foregoing, the Company hereby designates and appoints the Investment Manager as its agent and attorney-in-fact in connection with its management of the HPS Investment Account, with full power and authority, subject to the HPS Investment Guidelines, and without the need for further approval of the Company, except as may be required by applicable law, to have the exclusive power on behalf of the Company to, among other things, (i) make all investment decisions for the HPS Investment Account and effect any and all transactions in all securities, loans and instruments, including, without limitation, equity and debt securities (including derivatives thereon), bank loans (via participations or assignments), currencies and commodities (and options, futures, derivatives, swaps, and forward contracts thereon), trade claims, arbitrages, leases, tax liens, break-ups, consolidations, reorganizations and similar securities of United States and non-United States issuers, and everything connected therewith in the broadest sense, (ii) determine all matters relating to the manner, method and timing of investment transactions and engage consultants and analysts in connection therewith, (iii) monitor the investment performance of the HPS Investment Account, (iv) value the Company’s investment assets held in the HPS Investment Account in accordance with Section 11, (v) negotiate the terms of all agreements to be entered into on behalf of the Company and make and execute all such documents and take all such other actions as the Investment Manager considers necessary or appropriate to carry out its investment advisory duties hereunder, (vi) retain brokers, including prime brokers, dealers, banks and other intermediaries by or through whom such investment transactions will be executed or carried out, open accounts, and subject to the last sentence of Sect...

Subject to the supervision and direction of the Board, the Manager will: (a) manage the Fund's holdings in accordance with the Fund's investment objective and policies as stated in the Charter and the Registration Statement; (b) assist in supervising all aspects of the Fund's operations; (c) supply the Fund with office facilities (which may be in SSB Citi's own offices), statistical and research data, data processing services, clerical, accounting and bookkeeping services, including, but not limited to, the calculation of (i) the net asset value of shares of the Fund, (ii) applicable contingent deferred sales charges and similar fees and charges and (iii) distribution fees, internal auditing and legal services, internal executive and administrative services, and stationery and office supplies; and (d) prepare reports to shareholders of the Fund, tax returns and reports to and filings with the SEC and state blue sky authorities. The Manager is hereby authorized to retain third parties and to delegate some or all of its duties and obligations under this paragraph 2 to such persons provided that such persons shall remain under the general supervision of the Manager.

In providing those services, Alger Management will supervise the Portfolio's investments generally and conduct a continual program of evaluation of the Portfolio's assets. In connection with the performance of its duties under this Agreement, it is understood that Alger Management may from time to time employ or associate xxxx itself such person or persons as Alger Management may believe to be particularly fitted to xxxxxt it in the performance of this Agreement, it being understood that the compensation of such person or persons shall be paid by Alger Management and that no obligation may be incurred on xxx Fund's behalf in any such respect.

Subject to the supervision, direction and approval of the Board of the Company, the Manager shall (a) maintain compliance procedures for the Portfolio that it reasonably believes are adequate to ensure the Portfolio's compliance with (i) the Investment Company Act of 1940, as amended (the "1940 Act") and the rules and regulations promulgated thereunder and (ii) the Portfolio's investment objective(s), policies and restrictions as stated in the Prospectus and the Statement; (b) make investment decisions for the Portfolio; (c) place purchase and sale orders for portfolio transactions on behalf of the Portfolio; (d) employ professional portfolio managers and securities analysts who provide research services to the Portfolio; and (e) administer the Portfolio's corporate affairs and, in connection therewith, furnish the Portfolio with office facilities and with clerical, bookkeeping and recordkeeping services at such office facilities. In providing those services, the Manager will conduct a continual program of investment, evaluation and, if appropriate, sale and reinvestment of the Portfolio's assets.

Subject to the supervision and direction of the Board, SBMFM will: (a) assist in supervising all aspects of the Fund's operations; (b) supply the Fund with office facilities (which may be in SBMFM's own offices), statistical and research data, data processing services, clerical, accounting and bookkeeping services, including, but not limited to, the calculation of (i) the net asset value of shares of the Fund, (ii) applicable contingent deferred sales charges and similar fees and charges and (iii) distribution fees, internal auditing and legal services, internal executive and administrative services, and stationery and office supplies; and (c) prepare reports to shareholders of the Fund, tax returns and reports to and filings with the SEC and state blue sky authorities.

Services as Investment Manager. Subject to the ultimate supervision and direction of the Fund’s Board of Directors (the “Board”), the Investment Manager will (a) provide overall investment management to the Fund, and make investment decisions for the Fund, in accordance with its investment objective, guidelines and restrictions specified in Schedule A hereto, as may be amended from time to time by mutual consent of the Investment Manager and the Fund; (b) oversee the placement of purchase and sale orders on behalf of the Fund; (c) employ professional portfolio managers and securities analysts to provide research services to the Fund; (d) maintain books and records with respect to the Fund’s transactions; (e) provide or procure administrative services for the Fund and coordinate the activities of, and act as liaison with, each party providing legal, audit, tax, administrative, custodian and/or other services to the Fund in accordance with the Articles and the agreements in respect of such service arrangements; and (f) provide such other services as the Fund and the Investment Manager may determine to be necessary or appropriate for the management or administration of the Fund. In providing those services, the Investment Manager will (i) invest and otherwise manage the assets of the Fund in accordance with the Articles and (ii) provide the Fund with ongoing research, analysis, advice and judgments regarding individual investments, general economic conditions and trends and long-range investment policy. The Investment Manager is authorized on behalf of the Fund to enter into agreements and execute any documents required to make investments. To the fullest extent permitted by law, the Investment Manager is hereby authorized to delegate all, or any such part as it deems appropriate, of its discretionary management and investment advisory authority and responsibility hereunder to other persons or entities, including its affiliates. The Investment Manager further agrees that, in performing its duties hereunder, it will:
(1) comply with the Advisers Act and all rules and regulations thereunder, the U.S. Commodity Exchange Act (the “CEA”), and all rules and regulations thereunder, the U.S. Internal Revenue Code of 1986, as amended (the “Code”), and all other applicable U.S. federal and state law and regulations, and with any applicable policies or procedures adopted by the Board;
