Setup Services. (a) The Supplier shall perform the initial setup and configuration of the backup solutions for The Client’s SaaS applications, ensuring seamless integration with The Client’s existing IT environment.
(b) The Supplier shall tailor the backup configurations to meet The Client’s specific business requirements and compliance obligations.
Setup Services. As part of the Services, Service Provider shall take those actions necessary, as reasonably agreed to by Spinco, to prepare for providing the Ongoing Services or any Additional Services (the “Setup Services”), and Spinco shall pay or reimburse Service Provider fifty percent (50%) of the Reimbursable Set-Up Costs in respect of the Setup Services (whether conducted prior to or after the Effective Date). For purposes of this Agreement, “Reimbursable Set-Up Costs” means the third-party costs to provide the Setup Services; provided that Reimbursable Set-Up Costs shall not include costs for shared applications in respect of Setup Services to the extent such Setup Services are for Service Provider’s benefit whether conducted prior to or after the Effective Date and shall in no event include costs incurred or intended to be incurred independent of the transactions contemplated by this Agreement, the Separation Agreement or the Merger Agreement. If Spinco does not agree to a Setup Service, the parties shall work together to agree upon a commercially reasonable alternative arrangement, or Spinco may modify the scope of the Ongoing Services or Additional Services, as the case may be, such that such Setup Service is not necessary, subject to Service Provider’s consent. If the parties fail to agree upon an alternative arrangement, Spinco may, with notice to Service Provider, terminate the applicable Ongoing Services or Additional Services, as applicable.
Setup Services. 7.1 Supplier shall use commercially reasonable efforts to perform the Setup Services as set forth in Exhibit A. Supplier and Customer shall cooperate to enable Supplier to perform the Setup Services according to the dates of performance and delivery terms set forth in Exhibit A. In addition, Customer shall perform any Customer obligations specified in Exhibit A. In the event the Setup Services are not performed in material accordance with the terms of Exhibit A, Customer shall notify Supplier in writing no later than thirty (30) calendar days after performance of the affected Setup Services by Supplier. Customer’s notice shall specify the basis for noncompliance with Exhibit A, and if Supplier agrees with the basis for non-compliance, then at Supplier’s sole option, Supplier shall re-perform the Setup Services at no additional charge to Customer or refund to Customer the applicable fees for the affected Setup Service. THE FOREGOING CONSTITUTES CUSTOMER’S SOLE AND EXCLUSIVE REMEDY AND SUPPLIER’S SOLE AND EXCLUSIVE LIABILITY WITH RESPECT TO PERFORMANCE OR NON- PERFORMANCE OF THE SETUP SERVICES.
Setup Services. 1. Nitor shall audit the setup of the billing software.
2. Client shall provide the applicable Billing Rate Structure, shut off letter template text, and initial meter readings (if applicable) for Nitor to audit the billing software configuration.
1. The Billing Rate Structure is information from the approved water and/or wastewater tariff sheet most recently approved by the state within which the utility operates or as provided by Client (e.g. flat water or sewer fee, metered fees, shut off fee, turn on fee, late fees).
2. Client shall approve such Billing Rate Structure configuration prior to its use by Nitor with any Customer.
3. Nitor shall configure the Virtual Contact Center (VCC) software with the customer service phone number for Client’s Customers to call. This includes programming the IVR (interactive voice response) menu, recording messages, setting up voicemail, and enabling Customers to select an option to be passed directly to the emergency service line during non-business hours.

4. Nitor shall configure the Client-provided Customer service email account within Nitor’s support software (currently, Zendesk) so that the Customer service email routes into this software to be dispositioned by Nitor personnel and tracked within the software.
Setup Services. 2.1 The Setup Services comprise the initial setup and installation of the Access, in order to prepare the delivery of the Access Services.
2.2 Subject to Customer's compliance with this Agreement and provided that the Customer promptly delivers all information reasonably requested by Connect27, Connect27 will prepare and configure the Access, in accordance with the description set forth in the Services Description.
2.3 Connect27 makes no representation or warranty whatsoever for Unsupported Elements, and the Customer agrees that Connect27 shall not be liable for any loss or damage arising from the provision of the Unsupported Element. Unless otherwise agreed by Connect27, the SLA shall not apply to the Unsupported Element. The Customer furthermore acknowledges that Unsupported Elements may not interoperate with Connect27 other services, such as backup or monitoring.
Setup Services. 2.1 The Setup Services comprise the initial setup and installation of the Instances, in order to prepare the delivery of the Hosting Services.
2.2 Subject to Customer's compliance with this Agreement and provided that the Customer promptly delivers all information reasonably requested by Xxxxxxx, Nucleus will prepare and configure the Instances, in accordance with the description set forth in the Services Description.
2.3 Nucleus makes no representation or warranty whatsoever for Unsupported Elements, and the Customer agrees that Nucleus shall not be liable for any loss or damage arising from the provision of the Unsupported Element. Unless otherwise agreed by Xxxxxxx, the SLA shall not apply to the Unsupported Element. The Customer furthermore acknowledges that Unsupported Elements may not interoperate with Nucleus' other services, such as backup or monitoring.
Setup Services. 3.1 The Provider shall provide the Setup Services to the Customer.
3.2 The Provider shall use all reasonable endeavors to ensure that the Setup Services are provided upon or promptly following the Effective Date.
3.3 The Customer acknowledges that a delay in the Customer performing its obligations in this Agreement may result in a delay in the performance of the Setup Services; and subject to Clause 19.1 the Provider will not be liable to the Customer in respect of any failure to meet the Setup Services timetable to the extent that that failure arises out of a delay in the Customer performing its obligations under this Agreement.
3.4 Subject to any written agreement of the parties to the contrary, any Intellectual Property Rights that may arise out of the performance of the Setup Services by the Provider shall be the exclusive property of the Provider.
Setup Services. 3.1. Each Party shall work in good faith within one (1) month of the relevant Order Effective Date to agree appropriate project specifications and project schedule for the implementation of the Supplies. Following such agreement we shall provide the Setup Services (as described in the Clauses set out below).
