Software Use Restrictions. Except as expressly authorized pursuant to Section 2, Client may not and may not permit others to: (1) Use the Software on or gain access to the Materials, Software, Content and/or Documentation from more than one machine at a time, nor install them in a fashion that makes the Materials, Software, Content and/or Documentation available on, running on or access from more than one machine at a time unless Client has paid the additional fee(s) and any other charges imposed by Wellovate for such use or access; (2) Sell, rent, lease, license, sublicense, or assign the Materials, Software, the Content and/or the Documentation, or the use of the Materials, Software, the Content and/or the Documentation to others; (3) Transfer the Materials, the Content and/or the Documentation or any copy thereof to another party. (4) Reverse engineer, decompile, disassemble, or otherwise derive the source code from the Software; (5) Alter, modify, adapt, reconfigure, or prepare derivative works of the Materials, Software, the Content and/or the Documentation; (6) Provide or permit access to the Materials, Software, the Content and/or the Documentation except for the sole use of Client; (7) Archive or retain any of the Materials, Software, the Content and/or the Documentation in any form without the written permission from Wellovate; (8) Distribute (including via e-mail or the Internet), or otherwise make available, copies of the Materials, Software, the Content and/or the Documentation to others, whether or not for payment or other consideration, without the written permission from Wellovate. Requests for permission to retain, distribute or reproduce may be submitted to Wellovate at its regular business address; (9) Copy, extract, summarize, distribute or otherwise use the Materials, Software, the Content and/or the Documentation in any manner which competes with or substitutes for Wellovate’s distribution of the Materials, Software, the Content and/or the Documentation to its customers.

Software Use Restrictions. In consideration for your acceptance of the terms and conditions of this Agreement and your payment of the license fees described in our invoice, Actify will grant to you (or, if you will use the Software as an employee of a company, your employer) a personal, non-transferable and non-exclusive right to use and execute the Software on a single personal computer (a "PC"), without right to sublicense or distribute the Software (except as provided in Section 3 below). Under no circumstance may you store, use or allow the use of the Software in any manner on more than one PC at one time. However, you may use remote access technologies, such as the Remote Desktop features in Microsoft Windows or NetMeeting, to access and use your licensed copy of the Software, provided that only the primary user of the device hosting the remote desktop session accesses and uses the Software with a remote access device. These remote desktop rights do not permit you to use the Software on both the device hosting the remote desktop session and the access device at the same time. You may also permit any device to access and use your licensed copy of the Software for the purpose of providing you with technical support and maintenance services. You agree that Actify has the right to audit to verify that the number of PCs running the Software corresponds with the number of licenses paid for. You agree that you will not modify, reverse engineer, decompile or disassemble any portion of the Software.
Software Use Restrictions. You shall not sublicense, distribute, hypothecate, lease, loan or otherwise convey the Software or any portion thereof to anyone, and under no circumstance may you use or allow the use of the Software in any manner other than as expressly set forth herein. You shall not modify the Software, incorporate the Software in whole or in part in any other product or create derivative works based on all or part of the Software. You shall not remove any copyright, trademark, proprietary rights, disclaimer or warning notice included on or embedded in any part of the Software. You shall not use the Software in connection with a service bureau, time sharing, or fee-­‐for service arrangement with third parties. Except to the extent permitted by applicable local law, you shall not reverse assemble, decompile or disassemble or otherwise reverse engineer any portion of the Software. If you dispose of any media embodying Software, you will ensure that you have completely erased or otherwise destroyed any Software stored on such media. You must comply with applicable third party terms of agreement when using the Software. THE SOFTWARE IS NOT INTENDED FOR USE IN ANY SITUATION IN WHICH THE FAILURE OF THE SOFTWARE COULD LEAD TO DEATH OR BODILY INJURY OF ANY TYPE.

This prohibition includes (but is not limited to): - to copy, reproduce, manufacture or distribute (free of charge or otherwise) CRYSIS WARS, in whole or in part, in any media; - to transfer, sell, sublicense or lease any rights in and to CRYSIS WARS to third parties; - to use CRYSIS WARS contrary to morality or applicable law; - to modify CRYSIS WARS or create any derived work (except as pursuant to the SANDBOX 2 EDITOR for CRYSIS WARS or MOD SDK for CRYSIS WARS Agreements) - decompile, reverse engineer or disassemble CRYSIS WARS. Software Use Restrictions. You acknowledge that any software and related documentation that may be available to download from the Site (the "Software") is a copyrighted work owned or licensed by a Xxxxxxxxxxxxxxxxx.xxx Party (as defined herein) and that you do not acquire any ownership rights by downloading the software. You agree that your use of the Software is governed by the terms of the license agreement that accompanies or is included with the Software (the "License Agreement"). Any distribution of your New Creations and/or the SANDBOX EDITOR for CRYSIS must be by electronic means only. You shall not create any New Creations and/or Modifications which infringe any third party right or which are libelous, defamatory, obscene, false, misleading or otherwise illegal or unlawful. You shall not rent, sell, lease, lend, offer on a pay-for-play basis or otherwise commercially exploit or commercially distribute the SANDBOX EDITOR for CRYSIS and/or your New Creations and/or Modifications. You shall not copy, distribute, publicly perform, display or make any other use of the SANDBOX EDITOR for CRYSIS and/or your New Creations and/or Modifications in any infringing manner or in any manner which violates any law or third party right and you shall not distribute or include with the SANDBOX EDITOR for CRYSIS and/or your New Creations and/or Modifications any material which infringes any third party right or which is libelous, defamatory, obscene, false, misleading or otherwise illegal or unlawful. You shall conspicuously xxxx or label your New Creations and your Modifications as your own creations and shall not xxxx or label either of them, in any manner, as the creation of CRYTEK or Electronic Arts. Licensee may not charge a fee, nor solicit donations, contributions or any other voluntary or involuntary form of payment, for access to these New Creations and/or Modifications. Except for editorial purposes such as promoting the game CRYSIS and/or your free New Creations and Modifications, you may not publicly or privately broadcast via television, commercial streaming video or other means, interactive or non-interactive performances or renderings of these New Creations and/or Modifications. Software Use Restrictions. Client shall not, and shall not permit others to, directly or indirectly: (i) use the Software for purposes other than those set forth herein; (ii) attempt to download, copy, recreate, disassemble, modify, translate, reverse engineer or decompile the Software; (iii) remove, alter or obscure any copyright or other proprietary notices contained in the Software; (iv) sell, rent, lease or sublicense or otherwise transfer Client’s right to use the Software as set forth herein; (v) use the Software other than for Client’s internal business purposes; or (vi) access the Software or probe the Software via an automated tool, except as specifically consented to in advance in writing by Swyft. Swyft shall have the right upon reasonable advance notice to audit and inspect Client’s facilities and records that pertain to the Software, during normal business hours, to verify compliance with these limitations and the other terms of the Agreements.
