YOUR RESPONSIBILITIES TO USYou agree to: a) Provide and maintain an appropriate source of electricity as well as a fully operational telephone line at the Site, at your cost. A fully operational telephone line means a telephone line without any interference or interruption which may impede monitoring signal traffic. b) Not cause false alarms through misuse by any person operating your system, or allow animals or other persons to activate the system while it is armed. c) Inform us of changes to your address, contact names, telephone numbers, or Patrol Company in writing or by fax as soon as they occur. d) Notify us (as soon as possible) prior to any change to the Site Address and you further agree to arrange and pay all costs associated with the relocation and installation of your Security System to the new Site, reconnection of your monitoring and response equipment and reconnection to a suitable network, power supply and telephone line. e) Obtain consent from the owner of the Site where Monitoring Services are required in sites not owned by you. You agree that we will be indemnified against any claims which the owner of the Site may make with regard to the provision of the Monitoring Services. f) Return all Chubb SecurityNet & RadioNet equipment (where installed), or provide reasonable access so that we may recover all Chubb SecurityNet & RadioNet equipment, in the event your Monitoring Services are cancelled. g) Make all payments due to us when they are due. h) Take all reasonable care of the Security Equipment and advise us as soon as you are aware of any component being damaged, not working correctly or stolen. i) Ensure our personnel and agents have full and safe access to the Site at all relevant times for the purpose of providing the services or repairing or replacing SecurityNet & RadioNet equipment if installed. j) Immediately notify us if at any time the configuration of the Security System changes from that applying at the date of this agreement. k) Make sure all information you give us is correct and complete. l) Follow the instructions we provide about using our services and only use them for lawful purposes. m) Pay for dispatched patrols, when they are notified to attend by us, even when subsequent to dispatch you cancel the dispatch.

We will review the plan, at a minimum, twice a year; 2. that, unless precluded by applicable law, one of the requirements for you to retain this relationship is that you achieve the minimum annual attainment, as we specify in your Profile;

YOUR RESPONSIBILITIES TO US. You shall: a) ensure that We have reasonable access to all Your records, documents (including Confidential Information), other relevant information, premises and personnel that We deem necessary to enable Us to perform the Consultancy Services and You shall keep Us fully informed of any developments or information which may have a bearing on the provision of the Consultancy Services. Only information made available to Us through the project manager identified in Our Proposal is to be considered disclosed to Us. Where Your action or inaction results in Our being unable to meet any agreed deadline or timetable We shall have the option to revise the deadline, timetable or scope of the Consultancy Services; b) be responsible for the acts, omissions and default of Your directors and employees and any third parties (excepting Ourselves) that You appoint in connection with this Agreement, that are fraudulent, negligent, misrepresentative or that result in providing to Us false, misleading, inaccurate or incomplete information or documentation; c) notify Us in writing of any claim against Us for loss or damage as provided for herein within 30 days of You becoming aware of the occurrence; d) pay, within 30 days of invoice date, invoices submitted by Us. If any invoice is not paid on the due date, We shall have the option to suspend the Consultancy Services and retain the Deliverables until payment of any invoice is received; e) not solicit or otherwise induce into Your employment any of Our employees working in connection with this Agreement either during provision of the Consultancy Services or for a 12 month period following the presentation of Our Deliverables f) only use Our Deliverables for the purpose they were commissioned g) take responsibility for compliance with any statute, regulation or other standard in implementing any recommendations forming part of the Deliverables h) warrant that in relation to the personal data You supply to Us it has been obtained from the data subject or, if from a third party, with the knowledge and consent of the data subject and that the data subject was aware of the purposes for which it was required and of the subsequent disclosure to Us and others.
YOUR RESPONSIBILITIES TO US i) MINIMUM TERM – You agree to pay for AdminBase software for a minimum period of 12 months. ii) PAYMENTS – Payments must be made on or before the monthly due date. Failure to do so will render the software unusable and support will be withheld until payment is received to bring the account up to date.
