Change in Control Good Reason means the occurrence of any of the following circumstances without the Employee’s express written consent during the period that begins six (6) months immediately before a Change in Control and ends two (2) years immediately following such Change in Control:

Change in Control Good Reason means any of the following: (i) a material diminution in Employee’s authority, duties or responsibilities, (ii) a material diminution in Employee’s base salary, (iii) a material change in the geographic location at which Employee must perform services, (iv) a material diminution in the authority, duties, or responsibilities of the supervisor to whom Employee is required to report, (v) a material diminution in the budget over which Employee retains authority, or (vi) any material breach by the Company of this agreement or any other agreement under which Employee provides services to the Company or its Affiliates.

  • In the event an Executive provides written notice to the Participating Company of an alleged Change in Control Good Reason or General Good Reason and subsequently is deemed to have terminated his/her employment pursuant to Section 2(j) or 2(w), as applicable, then such notice shall constitute a Notice of Termination.


More Definitions of Change in Control Good Reason

Change in Control Good Reason means the occurrence after a Change in Control of any one (1) or more of the following:
Change in Control Good Reason means (i) a material diminution in the Employee’s authority, duties or responsibilities, (ii) a material diminution in the Employee’s base salary, (iii) a material change in the geographic location at which the Employee must perform services, (iv) a material diminution in the authority, duties, or responsibilities of the supervisor to whom the Employee is required to report, including a requirement that the Employee report to a corporate officer or employee instead of the board of directors (or similar governing body), (v) a material diminution in the budget over which the Employee retains authority, or (vi) any other event that constitutes a material breach by the Company of the agreement under which the Employee provides services. Notwithstanding the preceding provisions, Employee shall not be permitted to resign employment for a “Change In Control Good Reason” until (a) Employee has provided to the Company notice of the existence of the good reason condition within 90 days of its initial existence and (b) the Company has not remedied the good reason condition within a period of 30 days from the Company’s receipt of such notice. Following the satisfaction of (a) and (b), Employee must exercise her right to resign for a Change in Control Good Reason within 60 days (i.e., such Change in Control Good Reason resignation must occur within 180 days of the occurrence of the good reason event), with the day immediately following the existence of the good reason condition being day “1.”
Change in Control Good Reason means (i) a material reduction in the Participant’s duties and responsibilities from those of the Participant’s most recent position with Atlas, (ii) a reduction of the Participant’s aggregate salary, benefits and other compensation (including any incentive opportunity) from that which the Participant was most recently entitled during Employment other than in connection with a reduction as part of a general reduction applicable to all similarly-situated employees of Atlas, or (iii) a relocation of the Participant to a position that is located greater than 40 miles from the location of such Participant’s most recent principal location of Employment with Atlas; provided, however, that the Employee will be treated as having resigned for Change in Control Good Reason only if he or she provides Atlas with a notice of termination within 90 days of the initial existence of one of the conditions described above, following which Atlas shall have 30 days from the receipt of the notice of termination to cure the event specified in the notice of termination and, if Atlas fails to so cure the event, the 2 Participant must terminate his or her Employment not later than 30 days following the end of such cure period.

Change in Control Good Reason means that, during the two-year period following a Change in Control of the Company (as defined in Section 10(f)), there is a material diminution in the authority (which shall include a diminution of the Executive’s position), duties and/or responsibilities of the Executive. Notwithstanding the foregoing, a termination of employment by the Executive for Change in Control Good Reason shall not occur unless (1) the Executive provides written notice to the Company of the existence of the condition described above and a thirty (30)-day opportunity to cure, (2) the Executive provides notice of the condition constituting Change in Control Good Reason within ninety (90) days following the initial occurrence of the condition described above, and (3) the Executive’s termination of employment occurs within two (2) years following the initial occurrence the condition described above.
