Excluded Programs definition

Excluded Programs means (a) the Filgotinib Collaboration Program; (b) any Galapagos Program that does not become an Optioned Program before the end of the Galapagos Program Period with respect thereto, but solely after such Galapagos Program Period has ended; (c) any program or activities with respect to a Galapagos Molecule or Galapagos Product that become an Excluded Program pursuant to any of Sections 2.2, 2.4, 2.5, 2.6, or 8.2(e), or as provided on Schedule 8.10 or […***…] or otherwise under this Agreement; (d) any Pre-Program Activity, Galapagos Program or Optioned Program with respect to which this Agreement is terminated pursuant to ARTICLE XIV; (e) any programs or activities of Fidelta for so long as […***…], and (f) the programs set forth on Schedule B; provided, that, with respect to any of the programs set forth on Schedule B, if any time after the Execution Date, Galapagos is able to grant to Gilead the rights contemplated hereunder without violating any agreement with a Third Party to which Galapagos or any of its Affiliates is a party to as of the Execution Date, then such program shall cease to be an Excluded Program and shall become an Acquired Galapagos Program (or, if not the subject of an IND filed with a Regulatory Authority at such time, will become an Acquired Galapagos Program if and when an IND for such program is filed with a Regulatory Authority).
Excluded Programs has the meaning set forth in Section 2.2(b)(ii).
Excluded Programs means the following, but only to the extent, if any, that they establish duties, rights, or obligations of either party that remain operative following your termination of employment: (1) Sempra Energy Cash Balance Plan,(2) Sempra Energy Cash Balance Restoration Plan, (3) Sempra Energy Savings Plan, (4) Sempra Energy Deferred Compensation and Excess Savings Plan, (5) Sempra Energy 2005 Deferred Compensation Plan, (6) your written Stock Option Agreements, (7) your written Restricted Stock Agreements, (8) your Executive Life Insurance Plan and all other life or casualty insurance presently in effect,(9) Executive Medical Benefits Plan and other retiree medical plans, (10) your Severance Pay Agreement, (11) any other benefit plan generally available to senior executives of the Company, or (12) any agreement, insurance policy, corporate provision, Companypolicy, or statutory provision affording you indemnification protection with respect to your acts of omissions while a Company employee.

Examples of Excluded Programs in a sentence

  • During the two year period commencing ------------------------------ on the Effective Date, Heska hereby grants to 3DP a right of first negotiation according to the terms of this Section regarding entering into collaborations or other agreements for Competitive Programs, excluding (i) any program entered into pursuant to exercise by [**] of rights [**], or (ii) any [**] (the "Excluded Programs").

  • Dicerna represents and warrants that the identity of the Blocked Targets which are the subject of Dicerna Excluded Programs as of the Signing Date are as set forth in the letter dated as of November 14, 2019 from Dicerna to Novo listing the Blocked Targets that are the subject of the Dicerna Excluded Programs.

  • The Excluded Programs are listed in Exhibit “A” of this Agreement This Agreement and Section 4.6 shall not apply to Excluded Programs.


More Definitions of Excluded Programs

Excluded Programs means (a) Equillium’s specific multi-cytokine inhibitor programs (including EQ101 and EQ102) or with its proprietary discovery platform for generating rationally designed composite peptides that selectively block key cytokines and (b) any other program (excluding the Program) developed, licensed or otherwise acquired by Equillium following the date of this Agreement. 281923888 v10
Excluded Programs means any and all current or future programs operated by Cyclerion, other than the Purchased Programs, including Cyclerion’s Onlinciguat program, Cyclerion’s Praliciguat program, and Cyclerion’s preclinical programs. (67) “FDA” means the United States Food and Drug Administration. (68) “FDA Letters” means the Buyer FDA Letters and the Cyclerion FDA Letters. (69) “Fully-Diluted Basis” shall mean, as of a specified date, the number of shares of common stock of Buyer Parent then-outstanding plus the number of shares of common stock of Buyer Parent issuable upon exercise or conversion of then-outstanding shares of preferred stock of Buyer Parent. (70) “Governmental Entity” means any nation or government, any state, municipality or other political subdivision thereof and any entity, body, agency, commission, department, board, bureau or court, whether domestic, foreign, multinational, or supranational exercising executive, legislative, judicial, regulatory, self-regulatory or administrative functions of or pertaining to government and any executive official thereof. (71) “Group” means (i) with respect to Buyer, the Buyer Group and (ii) with respect to Cyclerion, Cyclerion and its Subsidiary, as the context requires. (72) “Hydroxy-Compounds” shall have the meaning set forth in Section 6.13(c). (73) “Inactive Employee” shall have the meaning set forth in Section 6.5(a). (74) “IND” means an Investigational New Drug application required pursuant to 21 C.F.R. Part 312 or any comparable filings outside of the United States required to commence human clinical trials in such country or region, and all supplements or amendments that may be filed with respect to the foregoing. (75) “Indemnifiable Losses” means any and all Liabilities, including damages, losses, obligations, penalties, judgments, settlements, claims, payments, fines and other costs and expenses (but excluding consequential, punitive, incidental and similar damages except to the extent paid to a third party) of any and all Actions and demands, assessments, judgments, settlements and compromises relating thereto and the reasonable fees and expenses of attorneys, accountants, consultants and other professionals incurred in the investigation or defense thereof or the enforcement of rights hereunder.
Excluded Programs means the following software programs in the form in which they are made generally available to the public at Closing: (a) FormTool, a program for electronic form creation and management, (b) Flow Charts & More, a flow chart drawing program, (c) TurboProject, a program providing project management support along with universal control to manage schedules, activities, resources and costs, and (d) ResumeWriter, a resume preparation program.

Related to Excluded Programs

  • Excluded Properties the collective reference to the fee or leasehold interest in real properties owned by the Parent Borrower or any of its Subsidiaries not described in Schedule 5.8.

  • Excluded Property shall have the meaning set forth in the Security Agreement.

  • Excluded Persons means (A) the Company or any Regency Entity; (B) a trustee or other fiduciary holding securities under an employee benefit plan of the Company or any Regency Entity; (C) an underwriter temporarily holding securities pursuant to an offering of such securities; or (D) a corporation owned, directly or indirectly, by the shareholders of the Company in substantially the same proportions as their ownership of stock in the Company.

  • Excluded Party has the meaning set forth in Section 7.4(b).

  • Excluded Intellectual Property means any Intellectual Property (including Software, but excluding Trademarks), owned by Seller and its Affiliates as of the date hereof that is not Acquired IP.

  • Permitted Activities The primary activities of the trust created pursuant to this Agreement which shall be:

  • Restricted Activities means and includes the following:

  • Interscholastic Activities means athletic or non-athletic/academic activities where students compete on a school vs. school basis.

  • Best available control technology (BACT means an emissions limitation (including a visible emission standard) based on the maximum degree of reduction for each pollutant subject to regulation under CAA which would be emitted from any proposed major stationary source or major modification which the Department, on a case-by-case basis, takes into account energy, environmental, and economic impacts and other costs, determines is achievable for such source or modification through application of production processes or available methods, systems, and techniques, including fuel cleaning or treatment or innovative fuel combustion techniques for control of such pollutant. In no event shall application of best available control technology result in emissions of any pollutant which would exceed the emissions allowed by any applicable standard under 7 DE Admin. Code 1120 and 1121. If the Department determines that technological or economic limitations on the application of measurement methodology to a particular emissions unit would make the imposition of an emissions standard infeasible, a design, equipment, work practice, operational standard, or combination thereof, may be prescribed instead to satisfy the requirement for the application of best available control technology. Such standard shall, to the degree possible, set forth the emissions reduction achievable by implementation of such design, equipment, work practice or operation, and shall provide for compliance by means which achieve equivalent results.

  • Covered Products means Your Applications, Libraries, Passes, Safari Extensions, Safari Push Notifications, and/or FPS implementations developed under this Agreement.

  • Best available control technology or “BACT” means an emissions limitation, including a visible emissions standard, based on the maximum degree of reduction for each regulated NSR pollutant which would be emitted from any proposed major stationary source or major modification which the reviewing authority, on a case-by-case basis, taking into account energy, environmental, and economic impacts and other costs, determines is achievable for such source or modification through application of production processes or available methods, systems, and techniques, including fuel cleaning or treatment or innovative fuel combination techniques for control of such pollutant. In no event shall application of best available control technology result in emissions of any pollutant which would exceed the emissions allowed by any applicable standard under 567—subrules 23.1(2) through 23.1(5) (standards for new stationary sources, federal standards for hazardous air pollutants, and federal emissions guidelines), or federal regulations as set forth in 40 CFR Parts 60, 61 and 63 but not yet adopted by the state. If the department determines that technological or economic limitations on the application of measurement methodology to a particular emissions unit would make the imposition of an emissions standard infeasible, a design, equipment, work practice, operational standard or combination thereof may be prescribed instead to satisfy the requirement for the application of best available control technology.
