After Sales Services. Party B will fulfill relevant after-sales service obligations according to Law of the People’s Republic of China on Product Quality and manufacturer’s regulations.
After Sales Services. 9.1. The Distributor agrees and is authorized to (and will procure that its Sub-Distributors agree to) service and repair any Products manufactured or supplied by the Manufacturer subject to the After Sales Services and Warranty Services Protocol in Schedule 4.
9.2. The Distributor shall (and will procure that its Sub-Distributors shall):
9.2.1. when so requested by a Customer give prompt and proper attention to any Vehicle manufactured by the Manufacturer or at the Manufacturer’s direction, including such reasonable testing as may be necessary to establish the origin of any alleged faults and shall take all proper and reasonable steps to ensure satisfactory running of such Vehicles;
9.2.2. abide by and follow all service bulletins at its own cost unless otherwise agreed, and shall fulfil all requirements contained in such service bulletins.
9.2.3. comply with the prescribed procedures set out in the Warranty Policy, Warranty Booklet and any procedures in relation to After Sales Services.
9.3. Subject to clause 9.4, Manufacturer shall supply Distributor at all times with Parts within the framework of its requirements and in accordance with Schedule 2 from Distributor as long as Distributor requires the Parts. Distributor shall advise the Manufacturer in good time of probable delivery quantities based on Distributor’s requirement forecasts. When Distributor has adequate reasons/evidence to believe the current stock of Parts cannot assure timely and proper servicing and repairment of the Product, Distributor shall inform Manufacturer in written form and Manufacturer shall support the request accordingly. Manufacturer does not however have any claim that certain quantities must be taken, insofar as not expressly agreed otherwise in writing.
9.4. Manufacturer shall ensure availability of Parts along with the first delivery in accordance with the relevant annual business plan set out in Schedule 5. On discontinuation of production Manufacturer guarantees continued fulfilment of Parts requirements for the minimum term permitted at law for the Territory and in the event of and from the time of corresponding model of Vehicles from the end of series production and exits the Territory at competitive prices and if the statutory requirements in the country in which the Vehicle is sold is shorter or longer than the 10 years after end of production of vehicle in the respective country the Manufacturer shall ensure it complies with the local laws. After Sales Services. The Seller shall provide in-site installation and test, and purchased products shall be guaranteed by the manufacturers for 3 years. The Seller shall provide after-sales services for 5 years upon the day the product passes acceptance, include warranty period and maintenance period.
After Sales Services. 21.1 Xxxxxx Xxxxx 0 of the Agreement Clarient will perform all After Sales Services described in Exhibit 11.
21.2 During Phase 1 of the Agreement, DakoCytomation may elect to assume the responsibility for performing After Sales Services. If DakoCytomation chooses to do so, DakoCytomation will consider employing Clarient personnel who performed such functions.
21.3 Clarient will invoice DakoCytomation for cost of travel, accommodations, travel allowances and Clarient personnel time connected to After Sales Services provided during Phase 1 of the Agreement according to the price list in Exhibit 11.
21.4 Xxxxxx Xxxxx 0 of the Agreement, DakoCytomation will perform all After Sales Services worldwide.
21.5 Notwithstanding the above, Clarient will provide access to the After Sales Services during the entire term of this Agreement.
21.6 Clarient will invoice DakoCytomation for Support Services according to the Price List in Exhibit 11.
21.7 The Payment Terms set forth in Article 12 of this Agreement shall apply to all After Sales Services mentioned in this article.
21.8 The Parties will mutually agree upon a continuation of Clarient’s handling of the After Sales Services during a transition period after the commencement of Phase 2.
After Sales Services. Subject to the terms and conditions of this Agreement that require Acutus to provide repair or replacement for ACM Products, including the applicable warranty terms, and conditional upon Biotronik having received sufficient training by Acutus pursuant to Sections 2.4.2 and 3.11, Biotronik will be responsible for providing First Level Support and Second Level Support for the ACM Products to customers to the extent set out in and in accordance with Annex 5.12.
After Sales Services. Installers, repair and maintenance personnel, and supervisors possessing specialized knowledge essential to a seller’s contractual obligation, performing services or training workers to perform services, pursuant to a warranty or other service contract incidental to the sale of commercial or industrial equipment or machinery, including computer software, purchased from an enterprise located outside the territory of the Party into which temporary entry is sought, during the life of the warranty or service agreement.
After Sales Services. Once a Potential Customer has become a Customer, Consultant shall devote as much time, skill, diligence and resources as necessary to provide after sales services as described in this section 2.3 and to provide to Borealis Foods the relevant after sales support. More specifically, Consultant agrees to:
(i) regularly make personal calls upon the Customers to communicate the terms of and faithfully execute the promotional programs run by Borealis Foods or its affiliated entities from time to time, execute trade promotion activities, manage and reconcile trade funds. Consummate sales, assist with forecasting volume demands, communicate and execute promotional activities, perform retail services and monitor the turnover of the Products;
(ii) submit to Borealis Foods all Orders and all inquiries with respect to the Products no later than [*****] business days from the time such Orders or inquiries are received by Consultant;
(iii) keep Borealis Foods informed of and submit monthly written reports describing and detailing at a minimum the following: (i) merchandising, advertising and other promotional programs, pricing and sales activities of Borealis Foods’ competitors in the Territory; (ii) Customers’ use of funds made available to them under any promotional programs; (iii) any change in the financial condition or other relevant credit information of the Customers or Potential Customers; and (iv) any change in Consultant’s management, ownership or personnel in charge of any Customer account;
(iv) execute and maintain complete and separate written records of and any documentation relating to advertising and/or trade allowances, deduction clearances and merchandising programs for a minimum of [*****] years;
(v) Comply with all laws, rules and regulations applicable to its performance pursuant to this Agreement; and
(vi) assist Borealis Foods, upon request, in determining the credit standing of any Customer or in collecting any amounts owed to Borealis Foods or its affiliated entities by any Customer.
After Sales Services. 售后服务
7.1 With respect to any [***] sold to customers by PACD, PACD shall have the legal obligation to provide warranty and other after-sales services to its end customers of such Existing Products, regardless of whether such Existing Products are sold before or after the Establishment Date. 7.2 With respect to any Existing Products sold by the Company to end customers in China under the Wholesale Agreement and any New Products sold by the Company to end customers in China under the Distribution Agreement, the Company shall have the legal obligation to provide warranty and other after-sales services to its end customers, either through the Company in compliance with the guidelines and requirements from the Polestar Group or through dealers authorized by Volvo. After Sales Services. The supplier shall keep equipments as spare (as finalised of tender to be mutually decided), to provide immediate replacement, with the service centre during the warranty period. It will be desirable that minor functional problems of these equipments are taken care of by the service centre only. In case of major & specific problems, respective vendors will have to rectify the defect within the time-limits prescribed in Para 4.2.2 below, otherwise must have to replace with the new one.
After Sales Services. In case of artificial damage or more than warranty period, Party B shall be responsible for unconditional maintenance and only charge the maintenance cost of raw materials.
