APPROVALS; LICENSES. The performance of this Agreement by each Party hereto is contingent upon the acquisition, renewal and continuance of such approvals, consents, governmental authorizations, licenses and permits by such Party and its affiliates as may be required or reasonably deemed necessary by such Party for performance by such Party hereunder and as may be satisfactory to it. The parties shall use reasonable efforts to obtain, renew and continue, and to have renewed and continued, such approvals, consents, licenses and permits. No license under patents is granted by the Grantor or shall be implied or arise by estoppel in the Purchaser's favor with respect to any apparatus, system or method used by the Purchaser in connection with the use of the capacity granted to it hereunder.
APPROVALS; LICENSES. Except as set forth in this Agreement and Schedule 5.5, to the Knowledge of Seller, neither any declaration, filing or registration with, notice to, nor Approval of, any Governmental Authority or other Person is required to be made, obtained or given by or with respect to any Affiliate or the Seller or the Business in connection with the execution, delivery or performance of this Agreement or the consummation of the transactions contemplated hereby, except such filings as may be required by the Xxxx-Xxxxx-Xxxxxx Antitrust Improvements Act, as amended. It is acknowledged and agreed that the Seller and the Purchaser shall each pay one-half (1/2) of the fee payable upon filing the Premerger Notification Form and any other filings as may be required by the Xxxx-Xxxxx-Xxxxxx Antitrust Improvements Act, as amended. Each of the Seller and Carolina Petroleum has all Licenses required for the lawful operation of the Business and the use and ownership or leasing of its properties and assets as it is currently operated, except as noted on Schedule 5.5. All such Licenses are (i) listed on Schedule 5.5, and (ii) valid, in full force and effect and in good standing, except as noted on Schedule 5.5. There is no proceeding pending or, to the Knowledge of Seller, threatened that disputes the validity of any such License or that may result in the revocation, cancellation or suspension, or any adverse modification of, any such License. The Seller will make available to the Purchaser true and complete copies of all such Licenses.

No license under patents is granted by the Grantor or any of the Subsidiary Grantors or shall be implied or arise by estoppel in the Purchaser's favor with respect to any apparatus, system or method used by the, Purchaser in connection with the use of the capacity granted to it hereunder or under the Right of Use Agreement.
APPROVALS; LICENSES. Any approvals required from all Persons, including without limitation all governmental authorities, with respect to the execution and performance of the Loan Documents by the Borrowers have been obtained. Each Borrower has all permits, governmental licenses, registrations and approvals, required in carrying out its respective businesses as presently conducted and as required by law or the rules and regulations of any federal, foreign, state, county or local association, corporation or governmental agency, body, instrumentality or commission having jurisdiction over such Borrower, including but not limited to the United States Environmental Protection Agency, the United States Department of Labor, the United States Occupational Safety and Health Administration, the Xxxxxx Xxxxxx Equal Employment Opportunity Commission and analogous and related state and foreign agencies. There is no violation or failure of compliance or allegation of such violation or failure of compliance on the part of a Borrower with any of the foregoing permits, licenses, registrations, approvals, rules or regulations and there is no action, proceeding or investigation pending or to the knowledge of any Borrower threatened nor has any Borrower received any notice of such which might result in the termination or suspension of any such permit, license, registration or approval.

No license under patents is granted by Grantor or shall be implied or arise by estoppel in the Purchaser's favor with respect to any apparatus, system or method used by the Purchaser-in connection with the use of the Inland Capacity granted to it hereunder.
APPROVALS; LICENSES. The performance of this Agreement by each party hereto is contingent upon the obtaining and continuance of such approvals, consents, governmental authorizations, licenses and permits as may be required or reasonably deemed necessary by such party for performance by such party hereunder and as may be satisfactory to it. The parties shall use (and in the case of the Grantor, shall cause the Subsidiary Grantors to use) reasonable efforts to obtain and continue, and to have continued, such approvals, consents, licenses and permits. In the event that any regulatory or governmental authority directs either party to terminate this Agreement or if in any relevant jurisdiction any necessary license is likely to be revoked or expire and not immediately be replaced the parties shall (with time being of the essence) forthwith negotiate in good faith any necessary amendments to this Agreement or as to what other action is necessary to avoid termination of this Agreement. No license under patents is granted by the Grantor or any of the Subsidiary Grantors or shall be implied or arise by estoppel in the Purchaser's favor with respect to any apparatus, system or method used by the Purchaser in connection with the use of the capacity granted to it hereunder or under the Right of Use Agreement.
APPROVALS; LICENSES. No consent, approval, authorization, license, order or permit of, or declaration, filing or registration with, any governmental entity, or any other person or entity, is required to be made or obtained by the Corporation or by NationsBank, N.A. in connection with the execution, delivery and performance by the Corporation and by NationsBank, N.A., as the case may be, of this Agreement and the consummation by the Corporation and by NationsBank, N.A., as the case may be, of the transactions contemplated hereby.
APPROVALS; LICENSES. 5.5.1. The Licensee shall observe and conform to all Applicable Laws relating to its business the Retail Business Space, the Retail Business Space in any way and in particular but not limited to all public and labour related issues including health and sanitation in force for the time being. The Licensee shall ensure and shall remain responsible that its Contractors and End Users shall also adhere with Applicable Laws as required in the Agreement.
5.5.2. The Licensee shall at all times, obtain and keep valid all Applicable Permits, which are required by Applicable Law, to undertake the Retail Business Space. The licensee shall at all times comply all laws in force in India.
5.5.3. Without prejudice to the foregoing: o The Licensee and its Contractors shall be responsible to ensure compliance with the provision of the Minimum Wages Act, 1948 and the Rules made thereunder. o The Licensee and its Contractors shall be responsible to ensure compliance with the provisions of the Apprentice Act, 1961 and the Rules and orders issued thereunder from time to time in respect of apprentices. o The Licensee and its Sub-Contractors shall comply with the provisions of the Payment of Wages Act, 1936 and the rules thereunder. o The Licensee shall comply with the provisions of all labour laws, rules & Regulations in force and as modified from time to time, where ever applicable. o The Licensee shall be responsible for the safety of all employees directly or through Contractor employed by it on the Retail business space and shall report serious accidents to any of them however and wherever occurring on the Licensed premises to Maha-Metro Representative and shall make every arrangement to render all possible assistance. o For the purposes of all Applicable Laws, the Licensee shall be deemed to be the principal employer of all workers working at the Licensed premises. The Licensee shall indemnify Maha-Metro from and against any Liabilities under any of the Acts or Rules thereunder mentioned in this Article or any other Applicable Laws, and in case through order of any Government Authority, Maha-Metro has to pay any compensation in respect of the Licensed premises, Maha-Metro shall recover such amount of compensation so paid from the Security Deposit or the Escrow Account or otherwise from the Licensee under these conditions.
