Assistance and Training. Bioject shall, as reasonably requested by Serono, render advice to Serono in connection with Serono's soliciting orders, familiarize Serono with the operation of the Products, and render assistance to Serono in training Serono's employees in connection with soliciting orders for the Products. Any training and assistance requested by Serono which necessitates travel or other additional out-of-pocket costs to Bioject shall be at Serono's expense and shall be due and payable within 45 days of invoicing.

Assistance and Training. A. Upon request, the Employer will make available appropriate bilingual dictionaries as available. B. Upon request, the Employer will make a reasonable effort to provide applicable language glossaries of SSA terminology. C. The development of multilingual/bilingual skills may be an appropriate use of GETA funds. D. Upon request, the employer will make every reasonable effort to allow an employee to interview in English during the initial mentoring period, while he/she is learning the technical aspects of the position. Management may consider the public service demands and resources available in making this determination. It is understood that this provision does not eliminate the need to also mentor the employee while conducting interviews in all assigned languages as part of the initial mentoring period. Mentors should be highly motivated, knowledgeable employees with good interpersonal skills. Section 5.
Assistance and Training in M4C's Streaming Technology. M4C agrees to ----------------------------------------------------- provide Affiliate Program Participants with know-how and information required to operate M4C's Streaming Technology licensed under the Affiliate Program Agreements, including upgrades, enhancements and modifications thereof as shall be implemented by M4C from time to time. M4C further agrees to provide such reasonable training on-site or at M4C's offices, as shall be agreed upon by the parties, as Affiliate Program Participant will require to operate the M4C's Streaming Technology. The cost, terms and conditions of such training to Affiliate Program Participants shall be determined in the Affiliate Program Agreements. M4C shall provide up to 15 hours training on at M4C's facilities, for an aggregate of 150 hours for the Territory, and and up to 20 hours training on site for each of the countries of the Territory for an aggregate of 200 hours for the Territory, for no additional consideration (but for reimbursement by Affiliate Program Participant for all travel, lodging and other reasonable expenses incurred in connection therewith). Any training in excess of the above, will be paid for by the Affiliate Program Participant at fees that will be determined by M4C from time to time. Master Affiliate will be entitled to a commission for such training fees, at a rate that will be agreed upon by the parties.
Assistance and Training. NUWAVE shall assist Gemini, as reasonably requested and upon reasonable notice, in the sales, marketing and technical training of its employees during the first _____ months after the effective date of this Agreement; provided that NUWAVE shall not be obligated to expend an unreasonable amount of person hours and provided further that Gemini shall reimburse NUWAVE for its reasonable out of pocket expenditures incurred in connection with this (travel, etc.), subject to Gemini's receipt of appropriate invoices or other appropriate documentation with regard to these expenditures. This assistance and training may be extended by mutual written agreement of the parties if deemed necessary by Gemini.

  • Orientation and Training A transferring employee will be orientated separately to both or their new home in accordance with Article 20 the collective agreement of the designated employer.

  • Education and Training The foundation of this Program is education and voluntary compliance. It is recognized that alcohol and chemical dependency may make voluntary cessation of use difficult, and one of the Program’s principal aims is to make voluntary steps toward ending substance abuse easily available. The outside contractor shall review and develop on-going educational and training information on the adverse consequences of substance abuse and the responsibility to avoid being under the influence of alcohol or chemicals at work. Certain training required by the DOT Regulations shall be the responsibility of the Substance Abuse Program.

  • Assistance and Cooperation (a) Each of the Companies shall provide (and shall cause its Affiliates to provide) the other Companies and their respective agents, including accounting firms and legal counsel, with such cooperation or information as they may reasonably request in connection with (i) preparing and filing Tax Returns, (ii) determining the liability for and amount of any Taxes due (including estimated Taxes) or the right to and amount of any refund of Taxes, (iii) examinations of Tax Returns, and (iv) any administrative or judicial proceeding in respect of Taxes assessed or proposed to be assessed. Such cooperation shall include making available, upon reasonable notice, all information and documents in their possession relating to the other Companies and their respective Affiliates as provided in Section 9. Each of the Companies shall also make available to the other Companies, as reasonably requested and available, personnel (including employees and agents of the Companies or their respective Affiliates) responsible for preparing, maintaining, and interpreting information and documents relevant to Taxes. (b) Any information or documents provided under this Section 8 or Section 9 shall be kept confidential by the Company or Companies receiving the information or documents, except as may otherwise be necessary in connection with the filing of Tax Returns or in connection with any administrative or judicial proceedings relating to Taxes. Notwithstanding any other provision of this Agreement or any other agreement, in no event shall any of the Companies or any of their respective Affiliates be required to provide the other Companies or any of their respective Affiliates or any other Person access to or copies of any information if such action could reasonably be expected to result in the waiver of any Privilege. In addition, in the event that any of the Companies determine that the provision of any information to the other Companies or their respective Affiliates could be commercially detrimental, violate any law or agreement or waive any Privilege, the Parties shall use reasonable best efforts to permit compliance with their obligations under this Section 8 or Section 9 in a manner that avoids any such harm or consequence.

  • Technical Training The CAISO and the Participating TOs shall respond to reasonable requests for support and provide relevant technical training to each other’s employees to support the safe, reliable, and efficient operation of the CAISO Controlled Grid and to comply with any NERC or WECC operator certification or training requirements. Examples of such technical training include, but are not limited to: (1) the theory or operation of new or modified equipment (e.g., control systems, Remedial Action Schemes, protective relays); (2) computer and applicator programs; and (3) CAISO (or Participating TO) requirements. The Parties shall enter into agreements regarding the timing, term, locations, and cost allocation for the training.

  • First Aid Training In the interests of the occupational safety and health of employees, the Employer will undertake an in-service program of first aid training aimed at providing a first aid officer for each department.

  • EMPLOYEE DEVELOPMENT AND TRAINING 1. The State agrees to provide advice and counseling to employees with respect to career advancement opportunities and agency developments which have an impact on their careers. 2. Regular review of its job-related and career development and training programs will be made by the State in order to provide suitable programs for employees covered by this Agreement. When undertaking any such review, the State shall notify employees of such review and take into account suggestions and proposals made by employees. 3. Employees shall be given a reasonable notice of applicable, development and training programs available. Such notice shall include an explanation of the procedure for applying for the program. Notices of development and training programs shall be posted for reasonable periods in advance on bulletin boards at applicable work locations within the agencies involved. An appointing authority shall make every effort to permit employees' participation in such career development and training programs. Participation in any training inside or outside of work hours which is required by the State as a condition of fulfilling the requirements of the employee's job, or any in-service State training which is conducted or undertaken during normally scheduled work hours will be considered as time worked. 4. The State shall pay tuition, course-related fees, other approved course required costs and for necessary travel and lodging pursuant to established policies and procedures.

  • Professional Development and Training The Company shall pay for or reimburse the Executive for any reasonable professional development or training.

  • Job Training ‌ The Employer and the Union shall establish a Joint Committee on Training and Skill Upgrading for the following purposes: (1) for planning training programs for those employees affected by technological change; (2) for planning training programs to enable employees to qualify for new positions being planned through future expansion or renovation; (3) for planning training programs for those employees affected by new methods of operation; (4) for planning training programs in the area of general skill upgrading. Whenever necessary, this Committee shall seek the assistance of external training resources such as the Federal Human Resources Development Canada and Provincial Ministry of Labour, or other recognized training institutions.

  • Trainings Appointment of any length involving two (2) or more Consumers who might need to split up to join different trainings, group discussions, etc.

  • Customer Support and Training System Agency will provide support for the CMBHS, including problem tracking and problem resolution. System Agency will provide telephone numbers for Grantees to obtain access to expert assistance for CMBHS-related problem resolution. System Agency will provide initial CMBHS training. Grantee shall provide subsequent ongoing end-user training.
