Basic Services of Engineer. 1.1 ENGINEER shall provide for OWNER professional engineering services for all phases of the Project to which this Agreement applies as hereinafter provided. These services will include serving as OWNER's professional engineering representative for the Project, providing consultation and advice and furnishing customary engineering services.
1.2 By execution of this Agreement, OWNER authorizes ENGINEER to provide Basic Services for the Design Phase of the Project in accordance with Exhibit B, "Scope of Design Phase Services."
Basic Services of Engineer. 2.1 Perform professional services in connection with the Project as hereinafter stated.
2.1.1 The Scope of Services to be furnished by ENGINEER during the Project is included in Appendix A attached hereto and made part of this Agreement.
2.2 ENGINEER shall coordinate their activities and services with the CITY OF FAYETTEVILLE. ENGINEER and CITY OF FAYETTEVILLE agree that ENGINEER has full responsibility for the engineering services.
Basic Services of Engineer. 1.1 The Owner has retained Engineer to provide professional services. These parties have not entered into any joint venture or partnership with the other. The Engineer is not to be considered the agent of the Owner.

2.2 ENGINEER shall coordinate their activities and services with the CITY OF FAYETTEVILLE. ENGINEER and CITY OF FAYETTEVILLE agree that ENGINEER has full responsibility for the engineering services. SECTION 3 - RESPONSIBILITIES OF CITY OF FAYETTEVILLE
3.1 CITY OF FAYETTEVILLE shall, within a reasonable time, so as not to delay the services of ENGINEER:
3.1.1 Provide full information as to CITY OF FAYETTEVILLE’s requirements for the Project.
3.1.2 Assist ENGINEER by placing at ENGINEER’s disposal all available information pertinent to the assignment including previous reports and any other data relative thereto.
3.1.3 Assist ENGINEER in obtaining access to property reasonably necessary for ENGINEER to perform his services under this Agreement.
3.1.4 Examine all studies, reports, sketches, cost opinions, proposals, and other documents presented by ENGINEER and render in writing decisions pertaining thereto.
3.1.5 Provide such professional legal, accounting, financial, and insurance counseling services as may be required for the Project.
3.1.6 The City Engineer is the CITY OF FAYETTEVILLE’s project representative with respect to the services to be performed under this Agreement. The City Engineer shall have complete authority to transmit instructions, receive information, interpret and define CITY OF FAYETTEVILLE’s policies and decisions with respect to materials, equipment, elements and systems to be used in the Project, and other matters pertinent to the services covered by this Agreement.
Basic Services of Engineer. Owner shall pay Engineer for Basic Services of Engineer rendered under Section 1, as supplemented by Exhibit B, “Scope of Services”. Fees shall be paid per Section 5 of the Agreement. Compensation for the following Services actually completed shall be paid on a lump sum basis: Description I. Construction Administration $ Lump Sum Amount 324,256 II. Startup Services $ 15,440 III. Warranty Assistance $ 10,880 IV. CT Study Revisions $ 4,670 V. O&M Manual $ 8,620 VI. Subconsultants $ 130,658 VII. Reimbursable Expenses $ 11,280 TOTAL LUMP SUM AMOUNT $ 505,804 Compensation for the following Services actually completed shall be paid on a cost reimbursable basis in an amount not to exceed the following unless authorized in writing by the Owner:
Description I. Additional Engineering Site Visits and Reports $ Fee Not to Exceed 56,250 II. Additional Submittal Reviews, RFIs, and Contract Modifications $ 35,375 III. LOPR Site Visits 78,125 TOTAL ESTIMATED COST $ 169,750 Cost reimbursable compensation shall be based on Engineer’s personnel time at Engineer’s hourly labor rates attached hereto as Attachment A Hourly Fee Schedule. All direct expenses, including mileage, travel and lodging expenses, but excluding subcontract expenses, applied to the Basic Services of Engineer, shall be paid at invoice or internal office cost plus a ten percent (10%) service charge. Subcontract expenses shall be paid at direct cost plus a ten percent (10%) service charge. All sales, use, value added, business transfer, gross receipts, or other similar taxes will be added to Engineer's compensation when invoicing Owner.
