Contract Change Control. (a) From time to time during the Term, Customer or ACS may propose changes in or additions to the Services or other aspects of this Agreement. All such changes will be implemented pursuant to the procedures set forth in this Section 10.5 (the “Change Control Procedures”).
(b) If Customer desires to propose a change in or addition to the Services or other aspects of this Agreement, Customer’s Project Executive (or a person authorized in writing by Customer’s Project Executive) will deliver a written notice to the ACS Project Executive describing the proposal. ACS will respond to such proposal as promptly as reasonably possible by preparing, at ACS’ expense, and delivering to the Customer Project Executive a written document , indicating: (i)the effect of the proposal, if any, on the Charges and the manner in which such effect was calculated; (ii) the effect of the proposal, if any, on Service Levels and any necessary revisions thereto; (iii) the anticipated time schedule for implementing the proposal; and (iv) any other information requested in the proposal or reasonably necessary for Customer to make an informed decision regarding the proposal (“Change Control Document”).
(c) If ACS desires to propose a change in or addition to the Services, or the manner of their delivery as set forth in the Statement of Work, or other aspects of this Agreement, it may do so by preparing and delivering, at its expense, and a Change Control Document to the Customer Project Executive.
(d) No change in or addition to the Services or any other aspect of this Agreement will become effective without the written approval of each Party’s authorized representative. If Customer elects to accept the offer set forth in the Change Control Document, as evidenced by the written approval of the Customer Project Executive, any changes in or additions to the Services described in the Change Control Document will thereafter be deemed “Services,” any other changes described in the Change Control Document will be deemed to have amended this Agreement, and the Parties will agree on any further modifications to the Agreement required to reflect the Change Control Document.
Contract Change Control. These are considered to be of three types only:
a. Contract Amendments
Contract Change Control. The procedures (the “Contract Change Control Procedures”) that will govern (i) Contract Changes, (ii) the manner in which a Party may propose or request Contract Changes, (iii) the process to be followed by the Parties in analyzing the effects of, and deciding whether to adopt, any such Contract Changes, and (iv) the manner in which any agreed upon modifications are to be reflected in this Agreement are set forth in Schedule 3.5(b). The Contract Change Control Procedures apply also to any modifications required to be made to this Agreement to reflect modifications agreed upon by the Parties pursuant to the Operational Change Control Procedures.
Contract Change Control. 10.1 Where You or We see a need to make a Change to this Master Agreement, You may at any time request, and We may at any time recommend, such Change only in accordance with the provisions of an agreed Change Control Procedure.
10.2 Neither party shall unreasonably withhold its agreement to any Change.
Contract Change Control. Both parties may request changes to the CONTRACT and shall conduct discussions relating to proposed changes. Neither CPS nor the CONTRACTOR shall unreasonably withhold its agreement to any change. Until such time as a Contract Change Note (CCN) has been signed by both parties, the CONTRACTOR shall, unless otherwise expressly agreed in writing continue to provide the SERVICES in accordance with the CONTRACT. Any work undertaken in connection with any proposed change to the CONTRACT by the CONTRACTOR, its SUB-CONTRACTOR’s or agents shall be undertaken entirely at the expense and liability of the CONTRACTOR.
Contract Change Control. 9.1 The Customer may from time to time notify the Supplier that it wishes to cancel a Service (subject to payment of any additional charges as set out below), change one Service for another, and/or add a new Service or Services. For any of the abovementioned changes or any other requested changes, the Supplier will specify in writing the effect on Charges and the timescale applicable to the change and if accepted by Customer the relevant Service Schedule will be amended accordingly.
9.2 Any cancellation of a Service shall be conditional on Customer providing at least 90 days prior written notice of such cancellation.
9.3 For Services subject to a change the following additional charges may be applied by Supplier:
(a) for Services cancelled prior to the end of the Service Term, an amount representing the Charges that would otherwise have been payable up to the end of the Service Term had the cancellation not occurred;
(b) for Services that are moved or replaced, a new connection charge is payable;
(c) for all changes, an amount representing all costs and expenses incurred by Supplier in carrying out the change including without limitation payments or penalties due to third party suppliers, costs of moving or removing equipment at the Edge Sites, costs related to CPE depreciation and all other costs and expenses howsoever incurred.
Contract Change Control. (a) The Customer may at any time request, and the Company may at any time recommend, changes in the service.
(b) Neither party will be obligated to agree to any requested or recommended change but nether party will unreasonably withhold its Agreement to such request.
(c) The Company will advise the Customer of the likely impact of any requested or recommended change on the price and timescales for the service.
(d) Until such time as any change is formally agreed, the Company will, unless otherwise agreed, continue to perform and to be paid for the services as if such change had not been requested or recommended.
(e) The parties will respond in writing to, or will meet to discuss, any requested or recommended change as soon as practicable, and in any event within four weeks following receipt of the request or recommendation.
(f) Any Agreement to a requested or recommended change will become valid as an amendment to the Contract only when recorded in writing and signed by authorised representatives of both parties.
Contract Change Control. Both parties may request changes to the CONTRACT and shall conduct discussions relating to proposed changes. Neither CPS nor the CONTRACTOR shall unreasonably withhold its agreement to any change.
Contract Change Control. The Parties will comply with the following procedures to revise, amend, alter or otherwise change the Services being provided under this Agreement. These procedures do not apply to changes that result in New Services under a new Services Agreement.
(a) To request a Contract Change, Accenture or Client, as applicable, will deliver a written request (the “Change Request”) to the responsible Accenture Services Agreement Executive or the Client Services Agreement Executive as designated by the applicable Services Agreement, as the case may be, specifying in reasonable detail to the extent known: (i) the proposed Contract Change, (ii) the objective or purpose of such Contract Change, (iii) the particular Agreement and/or Services Agreement provisions that are affected by the Contract Change and (iv) the requested prioritization and schedule for such Contract Change.
(b) The Parties will cooperate with each other in good faith in discussing the scope and nature of the Change Request. As soon as practicable and to the extent applicable, Accenture will prepare and deliver to the Client Services Agreement Executive a written statement (the “Change Response”) describing any changes in methodology, procedures, prioritization, products, services, assignment of personnel and other resources that Accenture believes would be required to affect the Change. In addition, such Change Response will include, as appropriate or applicable, (i) an estimation of the net increase or decrease in the pricing that would be required, (ii) the categories of costs to be avoided as a result of such Contract Change (iii) a description of how the proposed Contract Change would be implemented, (iv) a description of the effect, if any, such Contract Change would have on the underlying Services Agreement, including, without limitation, on applicable Service Levels, (v) an estimation of all resources required to implement such Contract Change, including a description of the delivery risks and associated risk mitigation plans, and (vi) such other information as may be relevant to the proposed Contract Change. If applicable, any Change Response shall also address increased or decreased incremental or recurring costs being incurred or defrayed by Accenture during pendency of the Change Control Process in respect of the proposed Contract Change.
