Contractor Provisions. 7.1 At the direction of the State, Camelot shall be entitled to terminate this Agreement on immediate written notice and within such period as the State may specify, for any reasonable reason. In the event that Camelot terminates the Agreement under this clause 7.1, the Agreement shall terminate without any termination penalty or fee on the part of Camelot or the State that is in addition to the payments outstanding in the ordinary operation of the Agreement. 7.2 At the direction of the State, Camelot shall be entitled to require the Contractor to remove a Contractor employee(s) from providing Services. 7.3 The Contractor acknowledges that the Services are provided for the benefit of the State and that, accordingly, the State is an expressly intended third-party beneficiary of the Agreement, entitled to enforce any provision thereof in accordance with its terms. 7.4 The Contractor acknowledges that all insurance coverages required to be maintained by the Contractor name the State as an “Additional Insured” or as otherwise specified herein, and include the blanket additional insured endorsement or its equivalent. 7.5 The Contractor undertakes to provide and maintain insurance at levels customary and appropriate for the Services to cover, at a minimum, the following: 7.5.1 Commercial General Liability Insurance covering bodily injury and property damage. 7.5.2 Business Automobile Liability Insurance covering bodily injury, death and property damage, including all owned, non-owned, or hired autos. 7.5.3 Umbrella Liability Insurance providing umbrella coverage excess of the underlying limits for Workers’ Compensation, Commercial General Liability, Business Auto Liability. 7.5.4 Worker’s Compensation Insurance applicable to the laws of Illinois and Employers Liability Insurance which shall include a specific endorsement naming the State as an “Alternative Employer”. 7.5.5 Professional Liability Insurance which, if relevant to the Services, shall include cover for claims and losses relating to network risks (such as data breaches, unauthorized access/use, identity theft, invasion of privacy, damage/loss/theft of data and media liability arising from material on websites or offline publications). 7.5.6 Crime insurance covering any financial loss due to any fraudulent or dishonest acts on the part of the Contractor’s officers, employees, agents including coverage for third party theft of property in Contractor’s care, custody or control or while in transit, loss d...

Contractor Provisions. The Contractor shall include the provisions of subsections 1, 2, and 3 in every subcontract and said provisions shall be binding on each sub-contractor. The Contractor will take such action with respect to any subcontract as the State of Iowa may direct as a means of enforcing such provisions including sanctions for non-compliance.

Contractor Provisions. THE CONTRACTOR will provide all materials, equipment and labor necessary to perform the work stated in the Work Specifications. All work performed under this contract will be completed in a good and reasonable workmanlike manner in strict adherence to the Work Specifications. Any work performed by the Contractor which is not stated in the Work Specifications and Work Change Orders authorized by the Administrator will not be paid under the Contract.

Contractor Provisions. 4.1 DEPARTMENT shall engage a third party contractor or contractors ("Contractor") to perform all or a portion of the work allocated to DEPARTMENT pursuant to the "Scope of Work" (Exhibit A). 4.2 DEPARTMENT shall require the Contractor to perform such work in accordance with the CSXT Special Provisions, a copy of which is attached hereto as Exhibit C and made a part hereof (the "CSXT Special Provisions"). 4.3 Contractor shall not commence the work of the Project either on CSXT’s property or right-of-way or within fifty (50) feet of any railroad property or so as to affect any CSXT railroad bridge, trestle, tracks, roadbeds, tunnel, underpass or crossing, unless and until the Contractor satisfies the following conditions: (1) Contractor shall have executed and delivered to CSXT the Contractor's Agreement, a copy of which is attached to this Agreement as Schedule I; (2) Contractor has provided CSXT with proof of insurance required by the Contractor's Agreement satisfactory to CSXT; and (3) Contractor has otherwise complied with the notice requirements of Section IV of the CSXT Special Provisions.

Contractor Provisions. A) Said Contractor will update the parcel data based on documents filed April 2, 2022 to April 1, 2023. B) Said Contractor will revise the printed map sheets once during this contract. Said Contractor will provide one set of parcel maps at 1:5,000, one set at 1:5,000 with zoning, three reduced sets, one map at 1:10,000 of the whole town (the 'wall map'), and a PDF of each sheet. An index will be included for each sheet in the sets of parcel maps. C) Said Contractor will provide a geodatabase, shapefiles, a parcel shapefile suitable for VCGI, and a list of changes.
