Demand in the Community for Program Activities to Continue. During the final evaluation, group interviews were held as follows: 114 mothers in 16 communities, 48 CHWs in 16 communities, 7 schools, 1 CMC, and representatives from the MOH Regional Management Team, the Department of Education, and BASICS. (See Attachment C for a list of persons contacted.) It was clear from the group interviews that there is high interest and demand for project activities to continue. When asked what actions could be taken to make sure that CHWs remain active, and that monthly growth monitoring and Base Houses continue to function, respondents mentioned the importance of the monthly planning meeting at the Health Post and continued participation in training events. (See Attachment B for interview guides used during the final evaluation and answers.) CHWs mentioned many factors that motivate them to continue working in the community. These included: love for the community and for children, joy in giving service, encouragement through support from community members, and learning about health and sharing this important information with friends, family and neighbors. Interviews with mothers during the Final Evaluation showed the following as a result of their participation in community health activities. ❑ Mothers groups have been meeting monthly for approximately 3 years ❑ Grandmothers participate in some of the groups to share experiences. ❑ New mothers are invited and encouraged to attend the groups by peers. ❑ Almost all mothers mentioned using new feeding practices, such as quantity and frequency of meals, and use of green leaves in cooking. ❑ Many mentioned adoption of breastfeeding practices. ❑ Mothers like being able to have their baby weighed in the community, and expressed a desire to continue meeting, indicating that want to learn more and they save money be not going to the health post. ❑ Mothers have positive regard for the RAN and value her assistance. ❑ Good relationships exist with the CHWs, based on trust and friendship. ❑ The Base House is well regarded and provides an important service, plus it is located in the community. The CHWs give immediate treatment and refer cases. ❑ Breastfeeding support groups later included the methodology for other topics such as improved food production. There is a demand for health education in schools to continue. Demand in the Community for Program Activities to Continue. During the final evaluation, group interviews were held among 90 mothers and fathers, 33 health promoters, and 6 representatives from municipal governments in Carabuco, Ancoraimes and Puerto Xxxxxx. (See Attachment C for a list of participants in the group interviews.) It was clear from conversations in all of the group interviews that there is high interest and demand for project activities to continue. During the final evaluation interviews, municipal representatives were open to alternatives to provide incentives to HVs. Some suggestions were: include a line item in next year’s annual operating plan for HVs; give HVs training in crop improvement and veterinary services as an income generation incentive; and establish rotating funds for the sale of veterinary medicines by HVs. HVs mentioned many factors that motivate them to continue working in the community. These included: community service, a sense of satisfaction, a desire to prevent deaths in the community, a desire to continue to learn new things, commitment to the community, a desire to assist health personnel to “protect” the community from disease, and feeling appreciated by families during home visits. In order to improve their work in terms of quality and continuity, health volunteers offered the following suggestions: form a health volunteer association and request assistance from the municipal government; request assistance with transport to distant communities and the provision of basic equipment (scales, clean birth kits, rain ponchos, first- aid kits, educational materials, notebooks); provide additional training in skills that would appeal to farmers (e.g. small animal production); and share the results of their activities with local authorities and municipal government representatives. During the final evaluation interviews, mothers expressed several ideas about how to improve the work of the VH in the community. Some of these were: receive the HV with affection; receive the orientation that the HV gives; allow him/her to vaccinate one’s children; and receive veterinary and first aid services from the HV.

  • Agreement with Respect to Continuation of Group Health Plan Coverage for Former Employees of the Failed Bank (a) The Assuming Institution agrees to assist the Receiver, as provided in this Section 4.12, in offering individuals who were employees or former employees of the Failed Bank, or any of its Subsidiaries, and who, immediately prior to Bank Closing, were receiving, or were eligible to receive, health insurance coverage or health insurance continuation coverage from the Failed Bank ("Eligible Individuals"), the opportunity to obtain health insurance coverage in the Corporation's FIA Continuation Coverage Plan which provides for health insurance continuation coverage to such Eligible Individuals who are qualified beneficiaries of the Failed Bank as defined in Section 607 of the Employee Retirement Income Security Act of 1974, as amended (respectively, "qualified beneficiaries" and "ERISA"). The Assuming Institution shall consult with the Receiver and not later than five (5) Business Days after Bank Closing shall provide written notice to the Receiver of the number (if available), identity (if available) and addresses (if available) of the Eligible Individuals who are qualified beneficiaries of the Failed Bank and for whom a "qualifying event" (as defined in Section 603 of ERISA) has occurred and with respect to whom the Failed Bank's obligations under Part 6 of Subtitle B of Title I of ERISA have not been satisfied in full, and such other information as the Receiver may reasonably require. The Receiver shall cooperate with the Assuming Institution in order to permit it to prepare such notice and shall provide to the Assuming Institution such data in its possession as may be reasonably required for purposes of preparing such notice. (b) The Assuming Institution shall take such further action to assist the Receiver in offering the Eligible Individuals who are qualified beneficiaries of the Failed Bank the opportunity to obtain health insurance coverage in the Corporation's FIA Continuation Coverage Plan as the Receiver may direct. All expenses incurred and paid by the Assuming Institution (i) in connection with the obligations of the Assuming Institution under this Section 4.12, and (ii) in providing health insurance continuation coverage to any Eligible Individuals who are hired by the Assuming Institution and such employees' qualified beneficiaries shall be borne by the Assuming Institution. (c) No later than five (5) Business Days after Bank Closing, the Assuming Institution shall provide the Receiver with a list of all Failed Bank employees the Assuming Institution will not hire. Unless otherwise agreed, the Assuming Institution pays all salaries and payroll costs for all Failed Bank Employees until the list is provided to the Receiver. The Assuming Institution shall be responsible for all costs and expenses (i.e. salary, benefits, etc.) associated with all other employees not on that list from and after the date of delivery of the list to the Receiver. The Assuming Institution shall offer to the Failed Bank employees it retains employment benefits comparable to those the Assuming Institution offers its current employees. (d) This Section 4.12 is for the sole and exclusive benefit of the parties to this Agreement, and for the benefit of no other Person (including any former employee of the Failed Bank or any Subsidiary thereof or qualified beneficiary of such former employee). Nothing in this Section 4.12 is intended by the parties, or shall be construed, to give any Person (including any former employee of the Failed Bank or any Subsidiary thereof or qualified beneficiary of such former employee) other than the Corporation, the Receiver and the Assuming Institution any legal or equitable right, remedy or claim under or with respect to the provisions of this Section.

  • No Obligation to Continue Service Relationship Neither the Company nor any Subsidiary is obligated by or as a result of the Plan or this Award Agreement to continue the Grantee in employment or other service relationship and neither the Plan nor this Award Agreement shall interfere in any way with the right of the Company or any Subsidiary to terminate the employment or other service relationship of the Grantee at any time.

(b) The Asset Manager’s services to the Series are not exclusive. The Asset Manager may engage in other activities on behalf of itself, any other Managing Party and other clients (which, for the avoidance of doubt, may include other series of the Company). The Series acknowledges and agrees that the Asset Manager may, without prior notice to the Series, give advice to such other clients. The Asset Manager shall not be liable to account to the Series for any profits, commission or remuneration made or received in respect of transactions effected pursuant to the Asset Manager’s advice to another client and nor will the Asset Manager’s fees be abated as a result.

  • No Obligation to Continue Employment Neither the Company nor any Subsidiary is obligated by or as a result of the Plan or this Agreement to continue the Grantee in employment and neither the Plan nor this Agreement shall interfere in any way with the right of the Company or any Subsidiary to terminate the employment of the Grantee at any time.

  • Other Related Activities (a) The Administrator and Affiliates thereof shall have the right to engage in the following activities (subject to compliance with laws and intellectual property rights of third parties) in exchange for the payment of an annual royalty of $10.00 per annum: (i) Rights to commercialize the Artwork for the duration of the operations of the Issuer; (ii) The right to perpetually offer the Artwork for sale, display and exhibition rights; (iii) The right to lend the Artwork to museums, galleries, private entities, individuals and the like; and (iv) The right to lease the Artwork to companies, private entities and individuals, (v) The right to offer perks to owners of Shares, subject to compliance with applicable laws, and the costs of which will be paid by the Administrator. (b) The Administrator shall bear any incremental third-party costs associated with such activities related to the activities set forth in this Section 2 and in the event that any revenues are generated from such other activities, the Administrator may retain such revenues.

  • Limitation of Engagement to the Company The Company acknowledges that Xxxxxxxxxx has been retained only by the Company, that Xxxxxxxxxx is providing services hereunder as an independent contractor (and not in any fiduciary or agency capacity) and that the Company’s engagement of Xxxxxxxxxx is not deemed to be on behalf of, and is not intended to confer rights upon, any shareholder, owner or partner of the Company or any other person not a party hereto as against Xxxxxxxxxx or any of its affiliates, or any of its or their respective officers, directors, controlling persons (within the meaning of Section 15 of the Securities Act or Section 20 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”)), employees or agents. Unless otherwise expressly agreed in writing by Xxxxxxxxxx, no one other than the Company is authorized to rely upon this Agreement or any other statements or conduct of Xxxxxxxxxx, and no one other than the Company is intended to be a beneficiary of this Agreement. The Company acknowledges that any recommendation or advice, written or oral, given by Xxxxxxxxxx to the Company in connection with Xxxxxxxxxx’x engagement is intended solely for the benefit and use of the Company’s management and directors in considering a possible Offering, and any such recommendation or advice is not on behalf of, and shall not confer any rights or remedies upon, any other person or be used or relied upon for any other purpose. Xxxxxxxxxx shall not have the authority to make any commitment binding on the Company. The Company, in its sole discretion, shall have the right to reject any investor introduced to it by Xxxxxxxxxx.
