DEMISE AND RENTS. THE Landlord in consideration of the rents herein reserved (including the adjustments thereof following any Rent Review as hereinafter provided) and the covenants on the part of the Tenant and the Guarantor and the conditions hereinafter contained HEREBY DEMISES unto the Tenant the Demised Premises TOGETHER WITH the rights, easements and privileges specified in Schedule 2 EXCEPTING AND RESERVING the rights and easements specified in Schedule 3 TO HOLD the Demised Premises unto the Tenant from and including the Term Commencement Date for the Term YIELDING AND PAYING unto the Landlord or the Management Company (or any nominee of either in the case of any contribution to a sinking or reserve fund) as appropriate during the Term:- 3.1 yearly and proportionately for any fraction of a year, the Initial Rent and from and including each Rent Review Date, such yearly rent as shall become payable under and in accordance with the provisions of Schedule 4 and in each case to be paid by electronic funds transfer (or some other form of payment if requested by the Landlord, acting reasonably, during the Term and agreed with the Tenant) by equal quarterly payments in advance on the Quarterly Xxxx Days without any deduction, set-off or counterclaim whatsoever; 3.2 The Tenant’s due proportion of the sums (including the cost of periodic valuations for insurance purposes, provided that such valuations do not occur more than once in any twelve (12) month period) which the Landlord shall from time to time be required to pay for insuring the Building against the Insured Risks pursuant to Clause 6.1 all such sums to be paid within 30 (thirty) days of written demand the first payment to be made on the execution hereof and to be such amount as has been advised to the Tenant prior to the delivery of this Lease (the Tenant’s due proportion to be calculated on the basis of the proportion which the Floor Area of the Demised Premises bears to the total Floor Area of the Building); and 3.3 the Tenant’s Service Charge to be paid in accordance with the provisions hereof.

DEMISE AND RENTS. The Landlord DEMISES the Premises to the Tenant for the Contractual Term, TOGETHER WITH the rights set out in Part I of the First Schedule, EXCEPT AND RESERVING as mentioned in Part II of the First Schedule, subject to all rights enjoyed by the owners or occupiers of any neighbouring property over the Premises and subject to the Encumbrances, the Tenant paying by way of rent during the Term without any deduction, counterclaim or set off: 3.1 the Principal Rent and any VAT by equal quarterly payments in advance on the Quarter Days, to be paid by Banker's Standing Order to an account and bank within the United Kingdom if the Landlord so requires, the first payment for the period from and including the Rent Commencement Date to (but excluding) the next Quarter Day to be made on the Rent Commencement Date; 3.2 the Service Charge and any VAT at the times and in the manner set out in the Fourth Schedule, and the Outside Service Hours Charge and any VAT within 14 days of demand; 3.3 the following amounts and any VAT: 3.3.1 the sums specified in Clauses 4.2 (interest) and 4.5 (utilities); 3.3.2 the sums specified in Clause 6.2.1 (insurance); 3.3.3 all Costs incurred by the Landlord as a result of any breach of the Tenant's covenants in this Lease.

DEMISE AND RENTS. IN consideration of the rents and the Tenant's covenants hereinafter reserved and contained the Landlord HEREBY DEMISES unto the Tenant ALL THOSE the premises ("the Premises") being part Ground Floor of the building situate and known as 000/000 Xxxxxx Xxxxxx Xxxxxx Xxxx Xxxxxx NWl ("the Building") as the same is shown edged red on the plan ("the Plan") annexed hereto and includes: (i) all doors and windows and window and door frames and the glass (including any plate glass) fitted therein (but excluding the paintwork and decoration of the external surfaces of such doors windows and window frames): (ii) on half (severed vertically) of all non-structural partitions separating the Premises from any other part of the Building; (iii) all other internal non-structural partitions; (iv) the ceilings and floors; (v) the plaster or other finish on all structural walls and ceilings within the Premises; (vi) all pipes and sanitary and water apparatus which are within the Premises and serve the Premises alone but excludes: (i) the main structure of the Building including (but not by way of limitation) the roof and the roof joists above the ceilings of premises in the Building the foundations and the exterior and the load bearing columns and walls the main beams decks or girders supporting the floors of the Building of any premises comprised within the Building ("the Main Structure"); (ii) any pipes and other service conduits in the Premises which serve any other part of the Building. TOGETHER with the easements and rights set out in Part 1 of the First Schedule hereto but except and reserving from the demise in favour of the Landlord and the tenants and occupiers of other portions of the Building of which the Premises form part and other persons entitled thereto the easements and rights set out in Parl 2 of the First Schedule hereof TO HOLD unto the Tenant for a term of twenty five years from (and including) the 23rd day of October 1990 and expiring on the 22nd day of October 2015 ("the Term") subject to the restrictive covenants conditions stipulations exceptions reservations easements and other matters referred to or contained in the Entries on the Register at H M Land Registry of the Landlord's Title Number XXX000000 YIELDING AND PAYING therefor unto the Landlord yearly during the Term and so in proportion for any less time than a year the respective rents following (that is to say): FIRST from the commencement date of the Term until the 2nd day of September 1993 th...

DEMISE AND RENTS. 2.1 In consideration of the rents payable under this Lease and of the covenants on the part of the Tenant and of the conditions contained in this Lease the Landlord: 2.1.1 lets the Property to the Tenant for the Term; 2.1.2 grants to the Tenant for the benefit of the Tenant and all Lawful Occupiers and all others so entitled the rights set out in Schedule 1; and 2.1.3 excepts and reserves the matters set out in Schedule 2. 2.2 This Lease is subject to the matters mentioned in the deeds and documents set out in Schedule 3. 2.3 The Tenant will pay the Basic Rent and the Additional Rent in accordance with the provisions of Schedule 7. 2.4 The Landlord reserves as further and additional rent and the Tenant is to pay during the Term: 2.4.1 all monies payable by the Tenant pursuant to Schedule 6; 2.4.2 the sums specified in Schedule 8 as payable by the Tenant; 2.4.3 interest on any unpaid rents or other sums due under this Lease such interest to be calculated at the rate of 4% above the Base Rate from and including the day upon which the payment in question was due until the date it is actually paid; and 2.4.4 any VAT chargeable on the Basic Rent and sums reserved as additional rent by this Lease. 2.5 Any rents payable in respect of any period of less than a year and/or paid for a period extending beyond the end of this Lease are to be apportioned on a daily basis and an appropriate refund made to the Tenant if the rents have been paid in advance.
DEMISE AND RENTS. The Lessor DEMISES the Premises to the Tenant for the Term TOGETHER WITH the rights specified in schedule 2 exercisable in common (except in relation to the right granted in paragraph 2 schedule 2) with the Lessor and all others entitled and RESERVED to the Lessor and all other persons authorised by it the rights specified in schedule 3 but otherwise free from Encumbrances.
