Distributor Price. The following shall be added as Section 4.1.3 of the DHE General Terms:

Distributor Price. 6.1 The “Distributor Price” for each Included Program that is a Feature Film shall be determined by CDD in its sole discretion. The programs shall currently be priced pursuant to the following pricing tiers:

Distributor Price. For each Customer Transaction involving a Qualifying Movie in HD, Apple shall pay to CDD the Distributor Price based on the tier selected for such Qualifying Movie in HD by CDD, as set forth below. (a) Distributor Price Tiers for DHE Distribution of Qualifying Movies in HD. Tier Distributor Price 1 (Available on Online Store for 0-6 months) US$19.50 2 (Available on Online Store for 6-12 months) US$15.50 3 (Available on Online Store for 12+ months) US$10.50 Subject to the terms of this Section 3(a), the Distributor Price for each Qualifying Movie in HD shall be determined by CDD in its sole discretion by categorizing such wholesale price within one of the wholesale price tiers set forth above. CDD agrees that no Qualifying Movie provided for delivery in HD through the Online Store will be categorized in a higher tier than that Qualifying Movie is categorized (and wholesale priced) in Blu-ray format anywhere in Latin America. Subject to the foregoing CDD may elect to hold pricing on any Tier for any such Qualifying Movie beyond the timelines set out above; provided further that Apple shall have the right to cease making available on the Online Store the HD version of such Qualifying Movie in the event CDD holds pricing on any such Tier for more than ninety (90) days beyond the applicable timeline for such Tier. Apple may in its discretion make available additional tiers (e.g., via iTunes Connect), which CDD thereafter may choose to select for particular Qualifying Movies (subject to any applicable rules set forth by Apple). If market forces (e.g., declining consumer spending, challenging economic environment) or a change in business strategy lead CDD to adjust its pricing for Movies sold in other HD formats (e.g., Blu-ray), CDD will in good faith explore possible adjustments to the Distributor Price Tiers for DHE Distribution of Qualifying Movies in HD.

Distributor Price. The second sentence of Section 5.1 of the General Terms is deleted in its entirety and replaced with the following: “Licensor currently anticipates categorizing each Included Program that is not a Television Episode into one of the following pricing tiers, with the corresponding initial price points: 5.1.1 Standard Definition: a. Price Tier 1: $15.50 b. Price Tier 2: $8.50 c. Price Tier 3: $7.00 5.1.2 High Definition: a. Price Tier 1: $19.50 b. Price Tier 2: $15.50 c. Price Tier 3: to be discussed by the parties in good faith The Distributor Price for each Included Program that is a Television Episode shall be equal to: 70% of the greater of (a) (i) $1.99 if the Television Episode is offered in Standard Definition, (ii) $2.99 if the Television Episode is offered in High Definition or (iii) for multiple Television Episodes made available, in Licensor’s sole discretion, together in a single-price package on a season-by-season or other basis (“Season Pass”), an aggregate amount determined by Licensor in its sole discretion, which may be (but is not required to be) less than the sum of the Distributor Prices for each individual Television Episode thereof, and (b) the actual amount paid or payable by the Subscriber (whether or not collected by Licensee) on account of said Subscriber’s selection of such Television Episode or Season Pass, as applicable, from the Licensed Service.”

Distributor Price. 5.1 The “Distributor Price” for each Included Program shall be determined by Licensor in its sole discretion. Licensor currently anticipates categorizing Included Programs into one of the following pricing tiers, with the corresponding initial price points in U.S. Dollars: (i) Price Tier 1: $15.50, (ii) Price Tier 2: $8.50 and (iii) Price Tier 3: $7.00. Licensor shall notify Licensee of the Distributor Price for each Included Program in a written notice to Licensee from time to time. The parties agree that for each Included Program initially categorized in Price Tier 1, the Distributor Price for Price Tier 1 shall continue to apply to such Included Program through the date that is ninety (90) days following the date Licensor elects in its sole discretion to re- categorize the pricing tier for such Included Program to a tier other than “Price Tier 1”. Licensor may on reasonable written notice to Licensee update Distributor Prices and/or add or remove pricing tiers at any time in Licensor’s sole discretion pursuant to the notice procedures set forth in Section 5.2 of the General Terms; provided that if Licensor raises the Distributor Price for an Included Program more than ten percent (10%) in a Term Year then Licensee shall have the right to cease distributing such Included Program on the Licensed Service. 5.2 Notice of any adjustment to the Distributor Price for an Included Program (“Repricing”) shall be set forth in a written notice to Licensee not less than fifteen (15) days prior to the effective date of such Repricing. 5.3 The price charged to a Subscriber by Licensee (“Subscriber Price”) for each Subscriber Transaction shall be established by Licensee in its sole discretion. Licensor’s “Suggested Subscriber Price,” if any, for each Included Program or pricing tier shall be set forth in the availability list or Repricing notice for such Included Program or pricing tier.

Distributor Price. The initial price list for the sale of Products to Distributor is set out in Exhibit A. The Company may regulate the price list on or before March 1, July 1 or November 1, being effective 3. Months after said dates.. However, in the event of changes in the price basis of considerable impact on the price structure, price regulation may take place at any time of the year. Distributor shall regularly keep the Company informed of its price calculations and margins within the distribution channels as well as of further circumstances having an impact on consumer prices.

Notice of any adjustment to the Distributor Price for a Feature Film (“Repricing”) shall be set forth in a written notice to Licensee not less than 15 days prior to the effective date of such Repricing. The price charged to a Customer by Licensee (“Customer Price”) for each Customer Transaction shall be established by Licensee in its sole discretion. Licensor’s “Suggested Customer Price” or “SCP,” if any, for each Included Program or pricing tier may be set forth in the Availability Notice or Repricing notice for such program or pricing tier.
