Duties of the Plan Administrator. The Plan Administrator shall keep on file a copy of the Plan and the Trust Agreement(s), including any subsequent amendments, and all annual reports of the Trustee(s), and such annual reports or registration statements as may be required by the laws of the United States, or other jurisdiction, for examination by Members in the Plan during reasonable business hours. Upon request by any Member, the Plan Administrator shall furnish him with a statement of his interest in the Plan as determined by the Plan Administrator as of the close of the preceding Plan Year.

Duties of the Plan Administrator. (a) The Plan Administrator shall have the sole discretion and authority to control and manage the operation and administration of the Plan. (b) The Plan Administrator shall have complete discretion to interpret the provisions of the Plan, make findings of fact, correct errors, supply omissions, and determine the benefits payable under this Plan. All decisions and interpretations of the Plan Administrator made in good faith pursuant to the Plan shall be final, conclusive and binding on all persons, subject only to the claims procedure, and may not be overturned unless found by a court to be arbitrary and capricious. (c) The Plan Administrator shall have all other powers necessary or desirable to administer the Plan, including, but not limited to, the following: (1) To prescribe procedures to be followed by Participants in making elections under the Plan and in filing claims under the Plan; (2) To prepare and distribute information explaining the Plan to Participants; (3) To receive from Participants and Dependents such information as shall be necessary for the proper administration of the Plan; (4) To keep records of elections, claims, and disbursements for claims under the Plan, and any other information required by ERISA or the Code; (5) To appoint individuals or committees to assist in the administration of the Plan and to engage any other agents as it deems advisable; (6) To accept, modify or reject Participant elections under the Plan; (7) To promulgate election forms and claims forms to be used by Participants, which may be electronic in nature; (8) To determine and enforce any limits on benefit elections hereunder; and (9) To correct errors and make equitable adjustments for mistakes made in the administration of the Plan, specifically, and without limitation, to recover erroneous overpayments made by the Plan to a Participant or Dependent, in whatever manner the Plan Administrator deems appropriate, including suspensions or recoupment of, or offsets against, future payments due that Participant or Dependent .
Duties of the Plan Administrator. (a) The Plan Administrator shall advise the Trustee with respect to all payments under the terms of the Plan and shall direct the Trustee in writing to make such payments from the Fund; provided, however, in no event shall the Trustee be required to make such payments if the Trustee has actual knowledge that such payments are contrary to the terms of the Plan and the Trust. (b) The Plan Administrator shall from time to time establish rules, not contrary to the provisions of the Plan and the Trust, for the administration of the Plan and the transaction of its business. All elections and designations under the Plan by a Member or Beneficiary shall be made on forms prescribed by the Plan Administrator. The Plan Administrator shall have discretionary authority to construe the terms of the Plan and shall determine all questions arising in the administration, interpretation and application of the Plan, including, but not limited to, those concerning eligibility for benefits and it shall not act so as to discriminate in favor of any person. All determinations of the Plan Administrator shall be conclusive and binding on all Employees, Members, Beneficiaries and Fiduciaries, subject to the provisions of the Plan and the Trust and subject to applicable law. (c) The Plan Administrator shall furnish Members and Beneficiaries with all disclosures now or hereafter required by ERISA or the Code. The Plan Administrator shall file, as required, the various reports and disclosures concerning the Plan and its operations as required by ERISA and by the Code, and shall be solely responsible for establishing and maintaining all records of the Plan and the Trust. (d) The Fair Market Value of shares of Company Stock shall be determined as of each Valuation Date. In the case of a transaction between the Plan and a disqualified person within the meaning of Code Section 4975, the Fair Market Value of shares of Company Stock must be determined as of the date of the transaction. (e) The statement of specific duties for a Plan Administrator in this Section is not in derogation of any other duties which a Plan Administrator has under the provisions of the Plan or the Trust or under applicable law.

(d) The statement of specific duties for a Plan Administrator in this Section is not in derogation of any other duties which a Plan Administrator has under the provisions of the Plan or under applicable law. (e) Each Plan Sponsor shall indemnify and hold harmless each person constituting the Plan Administrator from and against any and all claims and expenses (including, without limitation, attorney's fees and related costs) arising in connection with the performance by the person of his or her duties in that capacity, other than any of the foregoing arising in connection with the willful neglect or willful misconduct of the person acting.

Duties of the Plan Administrator. 4.1 The Plan shall be administered by the Plan Administrator. 4.2 The Plan Administrator may from time to time establish rules and regulations for the administration of the Plan and adopt standard forms for such matters as elections, beneficiary designations and applications for benefits, provided such rules and forms are not inconsistent with the provisions of the Plan. 4.3 All determinations of the Plan Administrator shall be binding on all parties. In construing or applying the provisions of the Plan, the Corporation shall have the right to rely upon a written opinion of legal counsel, which may be independent legal counsel or legal counsel regularly employed by the Corporation, whether or not any question or dispute has arisen as to any distribution from the Plan. 4.4 The Plan Administrator shall be responsible for maintaining books and records for the Plan.

Duties of the Plan Administrator. During the term of this Agreement, the Plan Administrator shall be responsible for the following: A. The Plan Administrator shall provide to the Company periodic reports and information in order for the Company to effectively provide the services designated in this Agreement. These reports/information include: 1. A copy of all applicable Plan documents, including, but not limited to current and updated copies of the Plan and any Summary Plan Descriptions and revisions or amendments thereto as well as any summaries of material modifications; 2. Certification/verification of eligibility of employees and/or their dependents to become Members, which information shall be provided to the Company prior to the effective date of coverage; 3. All other membership or similar information that is required by the Company to fulfill its obligations under this Agreement and/or that may be necessary for the Company to provide cost estimates and analysis to the Plan Administrator; and 4. Completion of the employer section of the claim forms and timely submission of claim forms. 5. The Plan Administrator agrees to furnish the Company with any information required by the Company for the purpose of enrollment. Any changes affecting a Member's eligibility must be provided to the Company immediately, but in any event the Plan Administrator will notify the Company of any changes in a Member's eligibility within 31 days of the change. The Plan Administrator acknowledges and agrees that in the event there are premium payments made to the Company by the Plan Administrator based upon a failure by the Plan Administrator to notify the Company of any changes in enrollment or eligibility within 31 days of the change, that the Company shall retain any and all premium payments as consideration for the administrative costs and burden incurred by said failure to notify the Company of the change. All information shall be provided at such time as it is requested by the Company. The Company shall not be responsible for delay in the performance of the Agreement or for nonperformance of this Agreement which is caused by, or contributed to in whole or in part by, the failure of the Plan Administrator to immediately furnish required information or documentation. B. The Plan Administrator shall prepare and distribute Notice of Privacy Practices appropriate for the Plan so that the Plan may meet its notice obligations under federal law.
