Effect of Disability. If during the Contract Period and before his employment hereunder is otherwise terminated, Employee becomes disabled to such an extent that he is prevented from performing his duties hereunder by reason of physical or mental incapacity: (a) he shall be entitled to disability and other benefits at least equal to those that would have been available to him had the Company continued, throughout the period of Employee's disability, all of its programs, benefits, and policies with respect to disabled employees that were in effect immediately before the Change in Control; and (b) if he recovers from his disability before the end of the Contract Period he shall be reinstated as an active employee for the remainder of the Contract Period under and subject to all of the terms of this Agreement including, without limitation, the Company's right to terminate Employee with or without cause under Paragraph 11(b).
Effect of Disability. If the Employee at any time during the term of this Agreement should be unable to perform his duties under this Agreement because of personal injury, illness, or any other cause, the Employer may assign the Employee to other duties, and the compensation to be paid thereafter to the Employee shall be determined by the Employer in its sole discretion. If the Employee is unwilling to accept the modification in duties and compensation made by the Employer, or if the Employee's inability to perform is of such extent as to make a modification of duties hereunder not feasible, this Agreement shall terminate within 90 days.
Effect of Disability. In the event Executive’s employment is terminated on account of Disability (as defined in Section 9.7), Executive shall be entitled to payment of the difference between (a) any monthly disability payments provided through insurance plans offered by the Company, if any, provided Executive has enrolled in such plans, has paid the costs thereof and is otherwise eligible, and (b) the monthly Base Salary effective immediately prior to the date of termination, for a period of six (6) months following the date of termination, plus a prorated Target Bonus for such year through the date of termination, calculated on the basis of 100% achievement of target. Both (a) and (b) in the preceding sentence shall be paid in equal monthly installments during the six month period following the date of termination. All legally required and authorized deductions and tax withholdings shall be made from the payments described in the previous sentence, including for wage garnishments, if applicable, to the extent required or permitted by law.
Effect of Disability. If Employee becomes disabled and [his/her] disability does not rise to the level of a Total Disability during the Retention Period to such an extent that [he/she] is permanently prevented from performing [his/her] duties under this Agreement by reason of physical or mental incapacity:
(a) Employee will be entitled to disability and other benefits at least equal to those that would have been available to [him/her] had Nordson continued, throughout the period of Employee’s disability, all of its programs, benefits, and policies with respect to disabled employees that were in effect immediately before the Change in Control Date, and
(b) if Employee recovers from [his/her] disability before the expiration of the Retention Period, [he/she] will be reinstated as an active employee for the remainder of the Retention Period under and subject to all of the terms of this Agreement including, without limitation, Nordson’s right to terminate Employee with or without Cause under Sections 5(a) and 5(b), respectively.
Effect of Disability. In the event that the Optionee while employed by the Company becomes “disabled,” as that term is defined under the then existing long-term disability plan of the Company in which the Optionee participates (or if no such plan exists, as determined by the Committee), the Optionee will be deemed to be employed by the Company during his or her period of disability.

Effect of Disability. An employee who fails to receive an Employment Insurance Benefit because he is not physically able to work shall receive a Weekly Benefit if he is otherwise entitled and He became disabled while on layoff and after Sickness and Accident Benefits coverage ceased. In the case of a pregnancy commencing after a female employee's disability benefit's coverage has terminated, the employee will continue to be eligible for Weekly Benefits until she has completed her fifth month of pregnancy or until such time as she is no longer eligible for Weekly Benefits, whichever is earlier. At that time, an additional six (6)weeks of Weekly Benefits which will be in lieu of any further Weekly Benefits until two months after the date of childbirth. When pregnancy is prematurely terminated, eligibility for Weekly Benefits will commence when Employment Insurance Benefit payments are resumed (or would be resumed except that employee has exhausted maximum Employment Insurance Benefits), and He supplies the same certification of disability as would be required for Sickness and Accident Benefits if such coverage had not ceased. With respect to the period for which a Weekly Benefit is paid under paragraph above
Effect of Disability. In the event of Grantee’s Disability prior to an applicable vesting date for the Restricted Stock Units, the Service Requirements in the Notice of Grant shall be deemed satisfied; provided; however, that any vesting based on the Performance Goal included in the Vesting Criteria shall be satisfied solely to the extent certified by the Company as indicated in the Notice of Grant. For purposes of this Agreement, “Disability” shall mean the Grantee has been determined to be disabled under the long-term disability insurance policy of the Company or the Company determines that a qualified medical professional has opined that the grantee is unable to engage in any substantial gainful activity by reason of any medically determinable physical or mental impairment that can be expected to result in death or can be expected to last for a continuous period of not less than 12 months; provided however, if the Grantee is eligible for Retirement (without regard to any required approval of the Committee), then “Disability” shall mean as defined under Code Section 409A(a)(2)(C) and the regulations promulgated thereunder, and the Grantee shall be deemed to have a Disability on the earliest date that the Grantee is determined to have a Disability either by the Company or as otherwise permitted under Treasury Regulation § 1.409A-3(i)(4)(iii).
Effect of Disability a. In the event of the Disability of Executive during the Period of Employment, Executive shall be entitled to (i) all compensation, benefits and perquisites hereunder through the effective date of his termination of employment, (ii) an amount equal to the base salary provided for in paragraph 5(a)(i) above, at the rate being paid at the time of the commencement of Disability, for the period of such Disability plus six (6) months from the end of the period that establishes such Disability, as described in paragraph 10(c) below, (iii) the remaining installments of the Special Bonus provided for in paragraph 5(a)(iii) above, payable only to the extent and at such times as Executive would otherwise be entitled to the Special Bonus in accordance with such paragraph, and (iv) a pro rata portion of any bonus which would have been payable under the Management Incentive Compensation Plan for the year in which Executive's Disability occurs, payable on the date bonuses under such Plan are otherwise payable. The Period of Employment shall be deemed to have ended as of the last day of the period that establishes Disability.
b. The amount of any payments due under paragraph 10(a)(i) shall be reduced by any payments to which Executive may be entitled for the same period because of disability under any disability plan or insurance of Employer or as the result of workers' compensation or non-occupational disability payments.
c. The term "Disability", as used in this Agreement, shall mean an illness or accident occurring during the Period of Employment which prevents Executive from performing Executive's duties under this Agreement for a period in excess of 270 days (whether or not consecutive) or 180 consecutive days, as the case may be, in any twelve-month period during the Period of Employment.
