EMPLOYEES OF THE SUPPLIER. The Employees utilised by the Supplier to render the Services to the Customer will comprise of the Employees in number, name and/or credentials as set out in the Proposal, which Employees may be substituted from time to time by agreement between the Parties. Where the Customer is of the view that the Supplier has failed to dedicate a sufficient number of suitably qualified and trained Employees to render the Services or execute the Project in accordance with the timelines and or Standard of Performance (if any) contained in this Agreement, the Customer reserves the right to intervene and to instruct the Supplier to allocate additional resources to the Services or Project at no additional cost. Where the Supplier is providing resources to the Customer that are being paid for on a time and materials basis, the Customer further reserves the right to instruct the supplier to remove any redundant or over qualified Employees from the Services or Project. In providing the Services or executing the Project, the Supplier will use all reasonable endeavours to ensure that the Employees provide the Services or execute the Project with minimal disruption to the Customer and its personnel. The Customer may request the Supplier to replace an Employee who is incapable of achieving the Specified Objectives, or alternatively cannot meet the Standards of Performance (if any) set out in Schedule D or in the relevant SOW. Should it at any time become necessary to replace an Employee, either on request from the Customer or for any other reason, the Supplier will immediately remove the employee and within a maximum of 30 (thirty) days, or such alternative period as may be agreed between the Parties, substitute such Employee with an Employee that has similar skills, experience and qualifications. The Supplier will use reasonable endeavors to ensure the availability of its Employees approved by the Customer for purposes of providing the Services for the full Duration of the relevant SOW. Should any of the Supplier’s Key Personnel no longer be available to render the Services or execute the Project after the Effective Date, the Customer reserves the right to conduct a thorough assessment of the substitute Key Personnel proposed by the Supplier and if, in the Customer’s sole discretion, the Services or Project will be adversely affected through such substitution, the Customer may summarily terminate this Agreement, or the relevant SOW. EMPLOYEES OF THE SUPPLIER. 10.1 The right to issue instructions and directions towards the employees of the Supplier shall be retained without limitation by the Supplier, even if employees or other vicarious agents of the Supplier perform the Services on DXC’ or the DXC Customers premises. Supplier is responsible to decide on selection and the number of employees, working hours and instruction of any overtime, the grant of vacation and leisure time, the performance of work controls and monitoring that the work processes are duly performed. 10.2 Supplier is responsible to ensure that all employees assigned to the project are solely underlying the personnel management of the Supplier and not of DXC and that those employees will not be integrated into the operations of DXC, especially that they work in workplaces separated from DXC’ offices, and that they do not use any DXC equipment unless a specific technical access is required to provide the Services. 10.3 If employees of the Supplier allege any claims against DXC or the DXC Customer for whom the Services are provided due to a breach of any of the above- mentioned obligations of Supplier, Supplier will indemnify DXC or the Customer (whoever will be the party against whom the claims will be asserted by Supplier employees) from any costs resulting thereof.

If, in the opinion of Xxxx Xxxxx, personnel employed by the Supplier in the performance of the Agreement are insufficiently qualified, the Supplier shall be obliged to replace these personnel immediately. 2. The Supplier will only replace personnel by persons who are at least equally qualified, trained and experienced as the employees they replace.
EMPLOYEES OF THE SUPPLIER. 1. If, in the opinion of Xxxx Xxxxx, personnel employed by the Supplier in the performance of the Agreement are insufficiently qualified, the Supplier shall be obliged to replace these personnel immediately. 2. The Supplier will only replace personnel by persons who are at least equally qualified, trained and experienced as the employees they replace. 3. The Supplier will only replace personnel, either temporarily or permanently, with Xxxx Xxxxx’x prior written consent. Xxxx Xxxxx will not withhold its consent on unreasonable grounds. 4. In the event of sickness among personnel, or absence for another reason which means that personnel is unavailable for more than ten (10) working days (holidays/leave), the Supplier will replace the employee concerned when Xxxx Xxxxx so requests. 5. In addition, the Supplier will provide replacement personnel at its own expense if: a. it turns out that personnel does not meet Xxxx Xxxxx’x expectations; b. personnel acted in violation of the internal rules and rules of conduct applicable at Xxxx Xxxxx; c. Xxxx Xxxxx’x trust has been betrayed in other ways. 6. The rates applicable to the employees originally deployed will not be increased in the event of replacement. Training costs of replacement personnel will be payable by the Supplier. 7. If the personnel replacement measures taken by the Supplier do not produce the result desired by Xxxx Xxxxx, Xxxx Xxxxx will be entitled to terminate all or part of the Agreement in writing with immediate effect, without Xxxx Xxxxx being obliged to pay the Supplier any compensation.

EMPLOYEES OF THE SUPPLIER. No employee of the Supplier is admitted to any share or part of the Agreement or to any benefit to arise therefrom.
