Executive Benefit Programs. During the TERM, the EXECUTIVE shall be entitled to participate in all formally established benefit, bonus, insurance, profit sharing plans, stock benefit plans and similar programs (hereinafter collectively referred to as "BENEFIT PLANS"), in accordance with the terms and conditions of such BENEFIT PLANS that are maintained by the COMPANY or the HOLDING COMPANY from time to time and all EXECUTIVE benefit plans or programs hereafter adopted in writing by the Board of Directors of the COMPANY or the HOLDING COMPANY for which senior management personnel of the COMPANY are eligible. Notwithstanding any statement to the contrary contained elsewhere in this AGREEMENT, the COMPANY may at any time discontinue or terminate any BENEFIT PLAN now existing or hereafter adopted, to the extent permitted by the terms of such BENEFIT PLAN, and shall not be required to compensate the EXECUTIVE for such discontinuance or termination to the extent such discontinuance or termination pertains to all employees of the COMPANY who are eligible participants at the time.

Executive Benefit Programs. During the Specified Term, Executive shall be entitled to participate in all of Employer's Executive benefit plans (the "Plans") as are generally made available from time to time to Employer's senior executives, subject to the terms and conditions of such plans, and subject to Employer's right to amend, terminate or take other similar actions with respect to such plans. To the extent such Plans include life insurance, the Company agrees to provide Executive life insurance on terms and conditions no less favorable than similarly situated senior executives. The Executive shall receive a maximum reimbursement of five thousand dollars ($5,000) per calendar year for unreimbursed medically necessary expenses incurred in the same calendar year and submitted in accordance with Company expense procedures.
Executive Benefit Programs. Without limiting the compensation or other benefits to which the Executive may be entitled pursuant to any other provision of this Agreement, during the Employment Period the Executive shall be entitled to participate in any pension, retirement, insurance or other employee benefit plan that is maintained at that time by the Company for its employees generally, including, without limitation, programs of life, disability, basic medical and dental and supplemental medical and dental insurance. The Executive shall be entitled to the benefits under this Section on terms at least as favorable as those granted to other employees of the Consolidated Group. Notwithstanding the foregoing, during the Employment Period the Executive shall at all times be entitled to the following minimum benefits:

Such benefits, plans and programs may include, without limitation, pension, profit sharing, savings and other retirement plans or programs, medical, dental, hospitalization, short-term and long-term disability plans, life insurance plans, accidental death and dismemberment protection, travel accident insurance, and any other pension or retirement plans or programs and any other executive welfare benefit plans or programs that may be sponsored by the Company from time to time, including any plans that supplement the above-listed types of plans or programs, whether funded or unfunded. Executive shall be entitled to participate on a basis no less favorable than any other executive of the Company. The Company shall not, however, by reason of this paragraph be obligated to institute, maintain, or refrain from changing, amending or discontinuing, any such benefit plan or program as it applies to the Executive, so long as such changes are similarly applicable to all executive employees of the Company.

Executive Benefit Programs. Executive shall be entitled to participate in all Executive pension and welfare benefit plans and programs made available to the Company's senior level executives or to its executives generally, as such plans or programs may be in effect from time to time, including, without limitation, pension, profit sharing, savings and other retirement plans or programs, medical, dental, hospitalization, short-term and long-term disability and life insurance plans, accidental death and dismemberment protection, travel accident insurance, and any other pension or retirement plans or programs and any other Executive welfare benefit plans or programs that may be sponsored by the Company from time to time, including any plans that supplement the above-listed types of plans or programs, whether funded or unfunded. The Executive shall be entitled to participate in all such programs and plans on a basis that is no less favorable than any other person. With respect to any post-retirement welfare benefits, Executive shall be entitled to participate on a basis no less favorable than that of any other person provided that for this purpose the Executive's period of employment shall be deemed to be the period necessary to obtain the maximum level of such benefits.

However, any changes in these benefits after the date of this Agreement which result in increased costs to the Company shall not be made unless approved by AMSE.
