General Engagement. PBTC engages Service Manager as an independent contractor to provide certain services described in this Agreement relating to the business operations of PBTC, including without limitation with respect to its management, record-keeping, marketing and development and other business and operations. PBTC and Service Manager may from time to time agree to expand or reduce the scope of services to be provided hereunder and either party, upon request of the other, shall execute a schedule or amend any existing schedule that evidences the scope of services then being provided hereunder. Service Manager shall in good faith provide the services set forth in this Agreement in accordance with normal and prudent practices and shall have the authority to take all actions necessary or appropriate to fulfill its obligations.
General Engagement. Owner engages Service Manager as an independent contractor to provide certain services described in this Agreement relating to the administration and servicing of certain aspects of Owner's legal entity and the legal entities (whether partnerships, corporations or other business associations) that comprise Owner (the "ENTITIES" and each an "ENTITY"). Owner and Service Manager may from time to time agree to expand or reduce the scope of services to be provided hereunder and either party, upon request of the other shall execute a schedule that properly evidences the scope of services then being provided hereunder. The Service Manager shall in good faith provide the services set forth in this Agreement in accordance with normal and prudent practices and shall have the authority to take all actions necessary or appropriate to fulfill its obligations.
General Engagement. The Health District hereby contracts with AMISTAD to provide for the delivery of reasonable and necessary medical and related supporting services for treatment of COVID-19 positive patients at the Nueces County Community Clinic located at Physicians West Plaza at 0000 Xxxxxxxx Xxxx, Xxxxxx Xxxxxxx, Xxxxx 00000. As the need for these services was urgent and Amistad was directed by Health District representatives to proceed with providing such services on August 3, 2020. The parties hereby agree this agreement accurately represents the understanding of parties with regard to services that were performed by AMISTAD at the Clinic prior to execution of this written agreement, those services having begun August 3, 2020, hereby ratifying such understanding.
General Engagement. 7.1.1 Relationship management amongst all relevant stakeholders including but not limited to: Principal Contractors, Sub Contractors, and Recognised Trade Unions and contractors employees;
7.1.2 Ensure effective communication between all parties;
7.1.3 The building of trust between the Employer and organised labour, and between the Employer and the Contractors;
7.1.4 Consult and advice Contractors and organised labour on: the interpretation and application of legislative requirements; industry agreements; collective agreements, LPF policies; Employers policies and directives.
General Engagement. County hereby contracts with SHP to provide for the delivery of medical, basic dental and basic mental health services to inmates of Jail to the extent set forth herein. This care is to be delivered to individuals under the custody and control of County at the Jail, and SHP enters into this Agreement according to the terms and provisions hereof. Basic dental services shall mean the starting point of dental services whereby SHP medical staff will triage patients based on signs/symptoms, provide pain relief medication if needed, and treat any infection prior to scheduling dental services with an outside provider. Basic mental health services shall mean the starting point of mental health services whereby SHP medical staff will continue, to the extent practicable, any prior mental health treatment plan a now-incarcerated patient had in place, or, upon identification of a mental health service need, may have an on-site provider(s) prescribe a low-level mental health medication until patient can be scheduled and seen by an outside mental health professional, if needed.
General Engagement. (a) During the term of this Agreement, OSC shall provide (i) technical consulting services related to, among other activities, those scheduled on Exhibit A plus such other consulting services as may be requested from time to time by DynaSig (the "Services"). OSC is solely responsible for determining the manner in which the Services are to be provided; provided, however, that OSC shall provide the Services in accordance with standards reasonably acceptable to DynaSig.
(b) DynaSig acknowledges that OSC's performance of the Services may be dependent on timely decisions and approvals by DynaSig and OSC shall be entitled to rely on all decisions and approvals of DynaSig in connection with the Services. Further, DynaSig acknowledges that OSC will be relying upon the information that DynaSig provided or will provide and DynaSig hereby represents and warrants that such information is and shall be true, accurate and complete to the best of DynaSig's knowledge.
General Engagement. Client hereby engages Provider to provide the Services described on Exhibit A or otherwise set forth in this Agreement on Client’s applicants and employees and Provider hereby accepts such engagement according to the terms and conditions of this Agreement.
General Engagement. The County hereby contracts with the Contractor to provide for the delivery of medical, dental, and mental health care to individuals committed to the custody of any of the Facilities. The terms and conditions of the accepted Request for Proposal for “RFP# 17-037/YS” specific to “Inmate Healthcare Services for the Jefferson County Correctional Facility” is incorporated herein verbatim as if fully set forth. Individuals, who are unconscious, injured or seriously ill at the time of booking shall not be committed to the custody of the Facility. These individuals shall be immediately referred to a third party provider for medical attention and their admission and booking (or their return to the Facility) will be predicated on written medical clearance from the third-party provider. The Contractor will not be responsible for any cost associated with medical care that is delivered prior to an individual’s being booked into the facility. ORDER OF PRECEDENCE. The parties further agree that in the event of any conflict among the documents reference in this AGREEMENT, the order of precedence shall be as follows: 1) this AGREEMENT;

Owner engages Asset Manager as an independent contractor to provide certain services described in this Agreement relating to (i) the administration of certain aspects of Owner's legal entity and the legal entities (whether partnerships, corporations or other business associations) that comprise Owner (the "ENTITIES" and each an "ENTITY"); and (ii) the acquisition, financing, administration, supervision and disposition of the assets described in Schedule I (the "ASSETS" and each an "ASSET"). Additional Assets may be brought within the scope of this Agreement by a supplement to Schedule I signed by the parties. Owner may from time to time expand or reduce the scope of services to be provided hereunder and either party, upon request of the other shall execute a schedule that properly evidences the scope of services then being provided hereunder. The Asset Manager shall in good faith provide the services set forth in this Agreement in accordance with normal and prudent practices in the hotel real estate industry and shall have the authority to take all actions necessary or appropriate to fulfill its obligations.
