Leasing Functions. The Manager shall coordinate the leasing of the Properties and shall negotiate and use its best efforts to secure executed leases from qualified tenants, and to execute same on behalf of the Owner, if requested, for available space in the Properties, such leases to be in form and on terms approved by the Owner and the Manager, and to bring about complete leasing of the Properties. The Manager shall be responsible for the hiring of all leasing agents, as necessary for the leasing of the Properties, and to otherwise oversee and manage the leasing process on behalf of the Owner.

Leasing Functions. PECO will coordinate and negotiate the leasing of the Properties using reasonable commercial efforts to secure executed leases (both new and renewal) from qualified tenants for available space in the Properties. Such leases must be consistent with form and terms approved by Owner unless a tenant requires use of its own lease form. PECO shall be responsible for the hiring of all leasing agents as necessary for the leasing of the Properties, to work with outside brokers and leasing agents, and otherwise to oversee and manage the leasing process on behalf of Owner. PECO’s duties in this regard shall include, without limitation, (1) the preparation and distribution of listings to potential tenants and/or their representatives and to reputable and active real estate agents; (2) the supplying of sufficient information to cooperating brokers and agents to enable them to promote the rental of the Properties, (3) to market and promote the Properties, (4) at all times to maintain and update a merchandising and leasing plan for each Property, and (5) to provide an updated leasing budget and leasing reforecast for the following twelve (12) month period. Additionally, in connection with the budgeting process referred to above, PECO shall submit a yearly leasing budget for approval in accordance (and simultaneously) with the procedure set forth above for the approval of each Property’s budget by Owner.

Such duties include, without limitation, (1) the preparation and distribution of listings to potential tenants in the market, as well as to reputable and active real estate agents within a reasonable effective area surrounding each Property and (2) the supplying of sufficient information to cooperating agents to enable them at all times to promote the rental of the Properties. Owner agrees to refer to Manager all offerings and inquiries it receives regarding leasing activity at the Properties.
Leasing Functions. The Leasing Agent shall coordinate the leasing of the Properties and shall negotiate and use its commercially reasonable efforts to secure executed leases from qualified tenants, and to execute same on behalf of the Owner, if requested, for available space in the Properties, such lease to be in form and on terms approved by the Owner. The Leasing Agent shall be responsible for the hiring of all Sub-Agents, as determined by the Leasing Agent to be necessary for the leasing of the Properties, and to otherwise oversee and manage the leasing process on behalf of each Owner.
Leasing Functions. The Agent, by the execution hereof, accepts the ----------------- Owner's engagement of the Agent as the exclusive leasing and tenant coordination agent of the Partnership Properties for the term hereof, and agrees to use its best efforts to perform the following specific functions: (a) to seek diligently tenants and obtain signed leases for the Partnership Properties under the terms prescribed by the Owner; (b) to coordinate the planning of each tenant's space with the architect and obtain such tenant's approval of the plan; (c) to coordinate the construction of each tenant's space with the contractor or the Owner and prepare an accounting of tenant overage costs (if any) for such tenant; (d) to coordinate each tenant's moving into its completed offices; and (e) not later than 30 days before the anniversary of this Agreement and extensions thereof, the Agent shall prepare and submit to the Owner for its approval a marketing and leasing plan for the Partnership Properties for the calendar year immediately following such submission. The leasing plan shall be in the form approved by the Owner prior to the date thereof. As often as reasonably necessary during the period covered by any such plan, the Agent may submit to the Owner for its approval an updated plan incorporating such changes as shall be necessary to reflect leasing experience during such period. If the Owner does not disapprove any such plan within 30 days after receipt thereof by the Owner, such plan shall be deemed approved. If the Owner shall disapprove any such plan, it shall so notify the Agent within said 30 day period and explain the reasons therefor.

Manager’s duties in this regard include, without limitation, (1) preparing and distributing listings to potential tenants and/or their representatives and to reputable and active real estate agents; (2) supplying sufficient information to cooperating brokers and agents to enable them to promote the rental of the Properties, (3) marketing and promoting the Properties to potential tenants, current tenants and the general community, including, without limitation, by means and media as Manager deems appropriate such as attendance at ICSC and related leasing events, (4) maintaining and updating a merchandising and leasing plan for each Property, (5) providing an updated leasing budget and leasing reforecast for the then-following twelve (12) month period as part of the Plan, and (6) assist in securing leases with temporary tenants or licensees for the use of the Properties. Manager will (i) perform leasing analysis and credit underwriting with respect to prospective tenants (and subtenants and assignees) and prepare any leases and other tenant related documents and (ii) use commercially reasonable efforts to operate in accordance with the Plan unless otherwise specifically approved in writing by Owner, or except in the case of emergencies or uncontrollable expenses.

Leasing Functions. Notwithstanding anything in this Management Agreement to the contrary, unless requested in writing by Owner and agreed to in writing by Manager, Manager shall not perform (and, unless so requested and agreed in a separate written agreement, Manager shall not have any obligation to perform) any leasing functions, and unless so requested and agreed, all leasing functions will be performed by Owner or third parties pursuant to Section 8.4. For the avoidance of doubt, Manager shall not pay and Manager will not be reimbursed by Owner for, any expenses of leasing a Property (such as newspaper and other advertising, signage, banners, brochures, referral commissions, leasing commissions, finder’s fees and salaries, bonuses and other compensation of leasing personnel responsible for the leasing of the Property) unless Owner has requested Manager to perform such leasing functions or pay such amount and Manager has agreed, in accordance with this Section 2.4(c).

Unless a tenant requires use of its own lease form, any such leases shall be substantially in the form attached hereto as Exhibit E; provided, that PECO shall have the authority to negotiate the lease form without Owner’s approval solely to the extent that the terms of the negotiated lease are not materially worse for Owner than the terms set forth in the attached form of lease; provided further, that Owner’s approval shall be required for any lease of any Property in which (A) the leased premises exceeds 10,000 square feet, or (B) the net effective rent is more than five percent (5%) below the net effective rent Approved in the Annual Operating Budget, or, to the extent not addressed in the Annual Operating Budget, the net effective rent established in the Final Report or the multi-year underwriting projections for the applicable Property at the time such Property was acquired or any subsequent underwriting projections for the applicable Property Approved by the Members (the most recent Approved net effective rent shall be referred to herein as the “Approved Net Effective Rent”), or (C) the lease term (inclusive of any renewal or extension terms) is ten (10) years or less and the net effective rent is more than five percent (5%) below the Approved Net Effective Rent, or (D) the lease term (inclusive of any renewal or extension terms) exceeds ten (10) years and the net effective rent is below the Approved Net Effective Rent, or (E) the tenant is an affiliate of Manager. PECO shall be responsible for the hiring of all leasing agents as necessary for the leasing of the Properties, to work with outside brokers and leasing agents, and otherwise to oversee and manage the leasing process on behalf of Owner. PECO’s duties in this regard shall include, without limitation, (1) the preparation and distribution of listings to potential tenants and/or their representatives and to reputable and active real estate agents; (2) the supplying of sufficient information to cooperating brokers and agents to enable them to promote the rental of the Properties, (3) to market and promote the Properties, (4) at all times to maintain and update a merchandising and leasing plan for each Property, and (5) upon Owner’s request, to provide an updated leasing budget and leasing...
