MCC Sample Clauses

MCC. (i) Notwithstanding Section 3.11 of this Compact or any provision in this Program Annex to the contrary, and except as may be otherwise agreed upon by the Parties from time to time, MCC must approve in writing each of the following transactions, activities, agreements and documents prior to the execution or carrying out of such transaction, activity, agreement or document and prior to MCC Disbursements or Re-Disbursements in connection therewith: (1) MCC Disbursements; (2) Each Implementation Document (including each component thereto) and any material amendments and supplements thereto; (3) Any Audit Plan; (4) Agreements (i) between the Government and MCA-Mali, (ii) between the Government, a Government Affiliate, MCA-Mali or any other Permitted Designee, on the one hand, and any Provider or Affiliate of a Provider, on the other hand, which require such MCC approval under applicable law, the Disbursement Agreement, any Governing Document, or any other Supplemental Agreement, or (iii) in which the Government, a Government Affiliate, MCA-Mali or any other Permitted Designee appoints, hires, or engages any of the following in furtherance of this Compact: (A) Auditor; (B) Reviewer; (C) Fiscal Agent; (D) Procurement Agent; (E) Bank; (F) Implementing Entity (as required under Section 3(f) of this Program Annex); and (G) A member of the Board (including any Observer), any Officer or any other key employee of MCA-Mali (including agreements involving the terms of any compensation for any such person). (Any agreement described in clause (i) through (iii) of this Section 3(c)(i)(4) of this Program Annex and any amendments and supplements thereto, each, a “Material Agreement”); (5) Any modification, termination or suspension of a Material Agreement, or any action that would have the effect of such a modification, termination or suspension of a Material Agreement; (6) Any agreement that is (A) not at arm’s length or (B) with a party related to the Government, MCA-Mali or any of their respective Affiliates; (7) Any Re-Disbursement that requires such MCC approval under applicable law, any Governing Document, or any other Supplemental Agreement (each, a “Material Re-Disbursement”); (8) Any pledge of any MCC Funding or any Program Assets, or any guarantee, directly or indirectly, of any indebtedness (each, a “Pledge”); (9) Any decree, legislation, regulation, contractual arrangement (including the Governance Agreement), or other charter document establishing or governing M...
MCC. MCC agrees to take all appropriate actions to carry out its responsibilities in connection with this Agreement and the Program, including, without limitation, exercise of its approval rights. MCC’s management and oversight of the Program is expected to include an MCC country director based in Honiara and an implementation support team based at MCC headquarters, who shall manage the MCC Contracted Activities. MCC shall also engage MCC‐managed consultants, who work in Solomon Islands from time to time as necessary to perform their duties.
MCC. 1. Direct management and delivery of Listed Building Consent and Conservation Area Consent applications together with subsequent Discharge of Condition applications. (Heritage Officer is the case officer) 2. Monitoring of implementation of above applications on site, providing on going advice through the works and ensuring compliance. 3. Direct management and delivery of enforcement issues relating to Listed Buildings. (Heritage Officer is the case officer) 4. Direct management of Listed Buildings at risk advising Members and securing direct action through formal notices. (Heritage Officer is the case officer) 5. Direct management of Pre application advice requests relating to Listed Buildings. (Heritage Officer is the case officer. 6. Providing advice on pre- application advice requests in relation to development in Conservation Areas or setting of Listed Buildings. 7. Providing advice on all types of development in Conservation Areas. 8. Providing advice on wider aspects of the Historic Environment including regeneration/urban design/public realm schemes. 9. Writing/Managing the delivery of Supplementary Planning Guidance in relation to Conservation Area Appraisals 10. Advising on the development and implementation of policy and wider SPG in relation to the Historic Environment and support delivery of the LDP 11. Directly participating in regional learning frameworks such as SEWCOG (South East Wales Conservation Officers Group) 12. Shall report where necessary to committee, members and senior leaders in relation to all aspects of the service delivery above.

MCC. Divide the total square footage of gross floor area devoted to each Function of Space by the corresponding Occupant Load Factor to obtain the maximum occupancy of each Function of Space.

MCC. MCC shall take all appropriate actions to carry out its responsibilities in connection with this Agreement and the Program, including, without limitation, exercise of its approval rights. MCC oversight of the Program is expected to include an MCC resident threshold director based in Banjul and an implementation support team from MCC headquarters, as well as MCC‐managed consultants, who work in The Gambia from time to time as necessary to perform their duties.
MCC. USAID and the Government acknowledge and understand that XXX has charged USAID with responsibility for administering and overseeing the implementation of this Agreement under MCC principles of country ownership, accountability, and emphasis on results. It is further understood that the respective roles and responsibilities of USAID and MCC in connection with the implementation and furtherance of this Agreement are set forth in separate documents executed by USAID and MCC. USAID and the Government acknowledge and agree that MCC is not a party to this Agreement and will have no rights or obligations under this Agreement.
MCC. MCC has charged USAID with responsibility for administering and overseeing the implementation of this Agreement under MCC principles of country ownership, accountability and emphasis on results. MCC will have no rights or obligations under this Agreement.
