Meetings of the JDC. The JDC shall meet at least [***] ([***]) times annually during the Term or at such other frequency as mutually agreed by the Parties. The JDC shall meet on such dates and at such times as agreed to by Xxxxxxxx and Takeda, with all scheduled in-person meetings to alternate between an Orexigen site and a Takeda site as designated by the respective Party prior to such meeting, or at other locations as determined by the JDC. Meetings may be held by audio or video conference with the consent of each Party. Each Party shall be responsible for its own expenses for participating in each JDC. Meetings of the JDC shall be effective only if a majority of the representatives of each Party are present or participating.

Meetings of the JDC. (a) The JDC shall consist of an equal number of representatives appointed by each of Camurus and Rhythm. Each Party may, with notice to the other, substitute any of its members serving on the JDC and may invite ad hoc non-voting members as desired. The Parties may also, by mutual agreement, increase or decrease the number of members serving on the JDC; provided that the number of members representing each Party remains equal. Rhythm shall have the right to appoint one of its members to be the chairperson of the JDC, whose term shall run for so long as the JDC is in existence. (b) The JDC shall meet as necessary but in any event no less frequently than semi-annually. Meetings of the JDC may take place by telephonic or video conference unless otherwise agreed. Minutes from the meetings of the JDC shall be kept by the Chairman of the JDC and circulated to Camurus members within a reasonable time for comments and approval. Minutes shall not become official until approved by both Parties in writing; minutes shall be presented for approval as the first order of business at the subsequent JDC meeting, or if it is necessary to approve the minutes prior to such subsequent meeting, then the Parties shall approve the minutes within thirty (30) days of receipt thereof. (c) Each Party shall bear its own costs, including travel and lodging for its personnel serving on the JDC or attending meeting of the JDC. (d) Each Party shall submit to the JDC members ten (10) days in advance of each JDC meeting reasonably detailed progress and other reports to keep the JDC informed of the current progress and status of the conduct of its respective activities. (e) The quorum for JDC meetings shall be two (2) members, provided there are at least one (1) member from each of Camurus and Rhythm present. (f) Information that otherwise falls under the definition of Confidential Information contained in reports made pursuant to Section 3.3 or Section 3.4 will be subject to the confidentiality provisions of Section 8. (g) The term for the JDC shall commence on the date it is established by the Parties and continue until the Product receives regulatory approval in the United States or the EU.
Meetings of the JDC. The JDC shall meet as frequently as members of the JDC determine is required (but in no event, less frequently than once every month during the first six (6) months following the Effective Date and once every Calendar Quarter thereafter), on such dates and at such times as agreed to by PDL and Biogen Idec, with all scheduled in-person meetings to alternate between a PDL site and a Biogen Idec site as designated by the respective Party prior to such meeting prior to such meeting, or at other locations as determined by the JDC. Meetings may be held by audio or video conference with the consent of each Party, provided that at least two (2) meetings per calendar year shall be held in person. Additional consultant’s or representatives may from time to time, by mutual consent of the Parties, be invited to attend JDC meetings, subject to such consultant’s or representative’s written agreement to comply with the requirements of this Agreement. Each Party shall be responsible for its own expenses for participating in each JDC. Meetings of the JDC shall be effective only if more than one-half of the representatives of each Party are present or participating.
Meetings of the JDC. The JDC shall meet at least two (2) times every calendar year, unless otherwise agreed by the Parties, in each case unless a particular meeting is waived by mutual consent. In addition, each Party shall have the right to call a meeting of the JDC on reasonable notice to the other Party. Subject to the foregoing, the JDC shall meet on such dates and at such times as agreed by the JDC and shall meet via teleconference or videoconference or, if mutually agreed by the Parties, at a location determined by the JDC. Upon prior written notice to, and approval of, the JDC, each Party may permit visitors to attend meetings of the JDC, provided that any approved visitor shall be subject to confidentiality and non-use obligations no less stringent than the terms of Article 11. Each Party shall be responsible for its own expenses for participating in the JDC. Meetings of the JDC shall be effective only if at least one (1) representative of each Party is present or participating, subject to the following sentence. The Parties acknowledge and agree that Transcept shall have the right to opt out of its participation in the JDC, which shall only be effective if done in writing with specific reference to this subsection, at any time, in which case the JDC shall dissolve and all matters that previously fell within the purview of the JDC shall be decided by mutual consent of the Parties.
Meetings of the JDC. The JDC shall meet at an approximately biannual schedule, on an as-needed basis (or more often as the JDC may determine or as reasonably requested by either Party), at alternating sites, if not otherwise agreed. Each Party shall be responsible for its respective costs incurred in participating in such meetings. Such meetings may also be held by videoconference. Interim discussions may occur by means of videoconference or telephone conferences. The JDC shall keep accurate minutes of its meetings, including all proposed decisions and all actions recommended or taken.

The location of the JDC meetings will be Copenhagen, Denmark once per year, and Boston, Massachusetts for any additional annual meetings, or as may be agreed by the Parties. Upon prior written notice to, and approval of, the JDC, each Party may permit visitors to attend meetings of the JDC, provided that any approved visitor shall be subject to confidentiality and non-use obligations no less stringent than the terms of ARTICLE 10. Each Party shall be responsible for its own expenses for participating in the JDC. Meetings of the JDC shall be effective only if all voting representatives are present or participating.
Meetings of the JDC. The JDC shall meet at least two (2) times every calendar year until such time as the JDC is disbanded pursuant to the terms of this Agreement. Subject to the chairperson’s authority to call meetings as set forth in Section 4.1(c), the JDC shall meet on such dates and at such times and places as agreed to by Schering and Novacea. Meetings of the JDC may be held in person or by means of telecommunication (telephone, video or web conferences). Each Party may include a reasonable number of non-JDC member employees, consultants, representatives or advisors to participate in or present at JDC meetings; provided, however, that such persons are bound by obligations of confidentiality no less stringent than those set forth in Article 14. Each Party shall be responsible for its own expenses for participating in the JDC. Meetings of the JDC shall be effective only if at least one member of each Party is present or participating. To the extent an issue within the purview of the JDC is subject to a vote at a meeting where not all members of the JDC are present, the sole present member of the relevant Party shall be entitled to vote by proxy for the absent JDC member.

Meetings of the JDC. The chairperson of the JDC shall call meetings when deemed appropriate, at mutually convenient times on reasonable notice, currently anticipated to be no less frequently than once every three (3) months. If possible, the meetings shall be held in person, or otherwise by video or telephone conference. When held in person the location of the meeting shall alternate between Wyeth-Ayerst's facilities and Neose's facilities. The chairperson shall prepare an agenda for the meeting, and shall include in the agenda items proposed by Neose's representatives. Additional participants may be invited by any member to attend meetings where appropriate (e.g., outside consultants). Such additional participants shall have no vote. Minutes of each meeting of the JDC shall be exchanged for review and comment by the members. Thereafter, they shall be signed by the chairperson and distributed to each of the parties. Each party shall be responsible for the expense incurred by its representatives in attending such meetings.

Meetings of the JDC. The JDC shall meet at least once each four (4) month period during the period of time any Clinical Candidate is undergoing Full Development, through the initiation of Phase III Clinical Trials for the last Clinical Candidate in Full Development, at such times and places as agreed to by LIGAND and TAP, alternating between San Diego and Lake Forest, or such other locations as the parties shall agree.
