No Corruption. The Principal Recipient shall not, and shall ensure that no Sub-recipient or person affiliated with the Principal Recipient or any Sub-recipient:
No Corruption. Neither the Customer nor any employee or agent of the Customer shall offer, give or agree to give to the Council, its staff or agents any inducement or reward for doing or refraining from doing or having done or refrained from doing any act in relation to the obtaining or execution of this Contract or any other agreement or for showing or refraining from showing any favour or disfavour to any person in relation to this Contract or any other agreement.
No Corruption. Neither the Company nor any of its Subsidiaries or any of the officers, employees, directors, representatives or agents thereof, has made, offered or promised any bribe, rebate, payoff, influence payment, kickback or other unlawful payment of funds or received or retained any funds in violation of any Law, or is currently offering, promising, authorizing or making, directly or indirectly, or will in the future knowingly offer, promise, authorize or make, directly or indirectly, payments or other inducements to any Official (as defined below) in order to assist the Company or any of its Subsidiaries to obtain or retain business for or with, or directing business to, any Person, in any case in violation of the United States Foreign Corrupt Practices Act or other applicable Laws. For the purposes of this section, “Official” means an employee of a Governmental Authority, an official, a member of a political party, a political candidate, an officer of a public international organization, or an officer or employee of a state-owned enterprise.

Company represents, warrants and covenants that it is fully aware of and has complied and will comply with, and in the performance of its obligations to Samsung will not take any action or omit to take any action that would cause either Party to be in violation of, (i) U.S. Foreign Corrupt Practices Act and U.K. Anti-Bribery Act, (ii) any other applicable anti-corruption laws, or (iii) any regulations promulgated under any such laws. Company further represents, warrants and covenants that neither it, nor any of its employees, have provided or offered, or will provide or offer, any illegal or improper bribe, kickback, payment, gift or anything of value (but excluding any reasonable and ordinary business entertainment or gifts of an unsubstantial value, that are customary in local business relationships and permitted by applicable law) to Samsung, Customers or their respective directors, officers, employees and representatives in connection with this Agreement, the applicable Purchase Order or any sale of the XXXX Solutions hereunder. For the avoidance of doubt, any violation of this Section 8.2 shall be deemed to be a material breach of this Agreement.

Contractor represents, warrants and covenants that it is fully aware of and will comply with, and in the performance of its obligations to OneWeb will not take any action or omit to take any action that would cause either Party to be in violation of, (i) U.S. Foreign Corrupt Practices Act, U.K. Bribery Act, or (ii) any other applicable anti-corruption laws, or (iii) any regulations promulgated under any such laws. Contractor represents, warrants and covenants that neither it nor any of the Contractor’s Personnel is an official or employee of any government (or any department, agency or instrumentality of any government), political party, state owned enterprise or a public international organization such as the United Nations, or a representative or any such person (each, an "Official"). Contractor further represents, warrants and covenants that, to its knowledge, neither it nor any of the Contractor personnel has offered, promised, made or authorized to be made, or provided any contribution, thing of value or gift, or any other type of payment to, or for the private use of, directly or indirectly, any Official for the purpose of influencing or inducing any act or decision of the Official to secure an improper advantage in connection with, or in any way relating to, (i) any government authorization or approval involving One Web, or (ii) the obtaining or retention of business by OneWeb. Contractor further represents, warrants and covenants that it will not in the' future offer, promise, make or otherwise allow to be made or provide any such payment and that it will take all lawful and necessary actions to ensure that no such payment is promised, made or provided in the future by any of the Contractor personnel. Contractor may be required to attend OneWeb Anti-Corruption training. For the avoidance of doubt any violation of this Section shall be deemed to be a material breach of this Agreement.
No Corruption. The Supplier warrants and represents that it has not committed any offence under the Xxxxxxx Xxx 0000. Neither the Supplier nor any employee or agent of the Supplier shall offer, give or agree to give to the Customer, its staff or agents any inducement or reward for doing or refraining from doing or having done or refrained from doing any act in relation to the obtaining or execution of this Contract or any other agreement or for showing or refraining from showing any favour or disfavour to any person in relation to this Contract or any other agreement. Any breach of this Clause 26.4 will be considered a material breach incapable of remedy and shall allow the Customer to terminate this Contract in accordance with Clause 19.2.3.
No Corruption. 12.1. The Athlete, the Parent / Guardian, the Surety and /or the Kickboxing Federation of Singapore shall not, before during or after the signing of this Agreement, be involved in any corrupt practices.
No Corruption. Contractor, each of its subcontractors and each of their representatives shall not (a) commit or appear to commit any corrupt (including offering, giving, receiving or soliciting any thing of value to influence the actions of any public official) or fraudulent (including misrepresentation of facts to influence a procurement practice) action or practice or (b) otherwise make any payment, or have given or will give anything of value, in any case to any government official (including any officer or employee of any governmental authority) to influence his, her or its 27 CRS FORM NOTE: Insurance requirements to be determined on a project-by-project basis. Each Party (for themselves and their Affiliates) represents and warrants to the other Party that neither they, nor any of their officers, directors, employees, agents or other representatives has performed, or will perform, or will direct or otherwise cause the JVC to perform any of the following acts in connection with the transactions contemplated under this JVA, any sale made or to be made pursuant to this JVA, any compensation paid or to be paid pursuant to this JVA, or any other transactions involving the business interests of the JVC: pay, offer or promise to pay, or authorize the payment of, any money, or give or promise to give, or authorize the giving of, any services or anything else of value, either directly or through a third party, to any official or employee of any governmental authority or instrumentality, or of a public international organization, or of any agency or subdivision thereof, or to any political party or official thereof or to any candidate for political office for the purpose of: (i) influencing any act or decision of that person in his official capacity, including a decision to fail to perform his official functions with such governmental agency or instrumentality or such public international organization or such political party; (ii) inducing such person to use his influence with such governmental agency or instrumentality or such public international organization or such political party to affect or influence any act or decision thereof; or (iii) securing any improper advantage.
