Non-Monetary Relief. The Agency agrees to provide non-monetary relief, which includes remedial and prospective relief, as identified below. If there are any material deviations from the non-monetary relief provisions below that require alternative methods and means of relief or extensions of time due to infeasibility, USMS shall notify Class Counsel and provide written justification of its need to make material alterations from the terms outlined below and the Parties shall seek to reach agreement on the alternative method and means through the dispute resolution procedures set forth in Section VIII of this Settlement Agreement. Infeasibility includes, but is not limited to a lapse in appropriations (e.g., a government shutdown), relief requiring legislative, contractual or procurement approvals beyond DOJ or Agency control or authority, changes in statutory or regulatory law, Executive Orders, DOJ or Agency policies, guidance, and directives, as well as events beyond DOJ or Agency control such as natural disasters (e.g., hurricanes, tornadoes, and earthquakes, as well as human actions), armed conflict, and public health emergencies (e.g., a pandemic or man-made diseases). The Agency shall be responsible for the administration and implementation of the non- monetary relief provided herein, except for any expenses related to the Claims Administrator and Claims Allocator. The class of individuals covered by this Settlement are limited to and specifically enumerated in Section II(D), (F), and (G) as Class Agents, Class Members or Claimants. Accordingly, all remedies referenced are limited to the class of individuals covered by this Settlement.
Non-Monetary Relief any costs incurred by an Insured to comply with any order for remedial, preventive, injunctive or other non-monetary relief, or to comply with an agreement to provide such relief;
Non-Monetary Relief the cost of any non-monetary relief, including without limitation any costs associated with compliance with any injunctive relief of any kind or nature imposed by any judgment or settlement.
Non-Monetary Relief. In addition to the Class Benefit provided for in Section 3.1, Xxxx agrees to the following non-monetary relief with respect to Knix Products sold within the United States:
3.4.1 Manufacturing. Knix will continue to take measures to help ensure that PFAS are not intentionally added to Knix Products at any stage of production, including through periodic testing of its period underwear. For a period of two (2) years from the date of Preliminary Approval, Knix will also supplement its existing PFAS and fluorine testing procedures for Knix Products to increase the frequency of its finished-product PFAS and fluorine testing from annually to semi-annually. Knix will ensure that the lab(s) utilized for such testing will have state-of-the-art equipment and testing capabilities using testing methods that conform to current standards.
Non-Monetary Relief. MCG shall undertake, implement, and maintain certain 25 enhanced cybersecurity measures as set forth in Exhibit E to this Agreement. 26
Non-Monetary Relief. No later than the Effective Date, Oracle will certify that, for as long as it continues to offer the products and services described in the Second Amended Complaint (ECF No. 87), it will: (i) not capture (a) user-generated information within referrer URLs (i.e., the URL of the previously-visited page) associated with a website user or (b) except for Oracle’s own websites, any text entered by a user in an online web form,; and (ii) implement an audit program to reasonably review customer compliance with contractual consumer privacy obligations.
Non-Monetary Relief. 21 3.1 Formulation Commitment 22 Formation represents that the Covered Products distributed in California were a limited time, 23 exclusive arrangement with BevMo and that they only caused to be manufactured a very limited 24 amount of such Covered Products. After December 31, 2016 if Formation manufactures, causes to 25 be manufactured on its behalf, distributes or causes to be distributed on its behalf, or sells any 26 Covered Product in California, all such products shall be Lead Free. After December 31, 2016, 27 Formation shall no longer retain the option to manufacture, distribute or sell Covered Products in 28 California with a warning.
1 3.1.1 At any time after the Effective Date that Formation contracts with an existing or new 2 vendor of Covered Product 1 or Covered Product 2, Formation shall provide such vendor with the 3 Lead Free concentration standards of Section 2.4 and instruct its vendors not to incorporate any raw 4 or component materials into such Covered Products, especially brass materials, that do not meet the 5 Lead Free concentration standards of Section 2.4.
6 3.1.2 To the extent Covered Product 1 and Covered Product 2 are subject to Section 3.1.1 7 above, Formation shall maintain copies of all testing of such products it conducts or obtains 8 demonstrating compliance with this Section 3, shall maintain copies of material vendor 9 correspondence relating to the Lead Free standards and shall produce such copies to Davia within 10 fifteen (15) days of receipt of written request from Xxxxx. Davia shall not be entitled to request this 11 information more than once in 2016 and once annually thereafter, absent good cause shown.
Non-Monetary Relief. ACI has agree to provide non-monetary relief to the Settlement Class valued at $1,000,000. This will require ACI to provide evidence of implementing changes to its business practices so as to prevent similar ACH activity from occurring in the future. Non-Monetary Relief. Anything contained in this Agreement to the contrary notwithstanding, the limitations or indemnifications set forth in this Section 9 shall not impair the rights of either the Seller or the Purchaser:
(a) To seek non-monetary equitable relief including, without limitation, specific performance or injunctive relief to redress any inaccuracy in or breach or nonfulfillment of any representation, warranty, covenant, agreement or obligation made or incurred by either party herein or in any other agreement, instrument or document delivered by or on behalf of any party in connection herewith; or
(b) To seek enforcement or such non-monetary equitable relief to redress any subsequent default or breach of any non-competition agreement, transfer document, consent or other agreement to be delivered at Closing hereunder. In connection with seeking any non-monetary equitable relief, each of the parties acknowledges and agrees that the other party hereto would be damaged irreparably in the event of any of the provisions of this Agreement are not performed in accordance with their specific terms or otherwise are breached. Accordingly, each of the parties hereto agrees that the other shall be entitled to equitable or injunctive relief to prevent the breaches of the provisions of this Agreement and to enforce specifically this Agreement and the terms and provisions hereof in any competent jurisdiction over the parties.
Non-Monetary Relief. Defendants will retain a consulting Industrial/Organizational Psychologist (“I/O 5 Psychologist”) who will familiarize him or herself with Defendants’ existing practices 6 with respect to organizing jobs within Defendants’ job architecture. The I/O 7 Psychologist will then provide training to Defendants’ Compensation personnel 8 involved in organizing jobs within Defendants’ job architecture on best practices for 9 benchmarking jobs to external market data and organizing jobs within Defendants’ job 10 architecture. This training will occur in 2025. Defendants’ legal counsel will advise 11 Class Counsel of the identity of the I/O Psychologist selected by Defendants prior to 12 commencing work, and if Class Counsel have objections, the parties will meet and 13 confer before the final selection is made. Defendants’ counsel will also inform Class 14 Counsel when the training has been completed.
