Obligations of Chapter. In the event of a violation of Section 1 of this Article, the Chapter agrees to inform its members of their obligations under this Agreement and to direct them to return to work. Provided the Chapter complies with this Section 5 hereof, the Village agrees that the Chapter shall not be liable for any actions in violation of this Article by individual employees or any liability that might arise therefrom.
Obligations of Chapter. Chapter will:
3.1 Attest and document that the Chapter and any subsidiary or related entities (i.e., foundation) are in good standing to conduct business within their geographic border.
3.2 Provide to CSI contemporaneous copies of Chapter’s Bylaws, Articles of Incorporation or business license, and IRS determination letter of tax-exempt status if applicable (“Enabling Documents”).
3.3 Attest and document that the Chapter’s Enabling Documents will be reviewed by independent legal counsel experienced in non-profit law prior to adoption of any amendments.
3.4 Provide Chapter’s annual financial statements Statement of Activities, Balance Sheet, and Cash Flow Statement. Provide copies of Chapter’s tax returns upon request.
3.5 Acknowledge that membership dues are determined and collected by CSI, and the Chapter portion remitted to the Chapter by CSI, and that no other form of membership dues may be assessed.
3.6 Annually submit to CSI a list of its Chapter Officers and Board of Directors, along with contemporaneous contact information. Provide to CSI all Chapter finance, accounting, or legal contacts upon request.
3.7 Use only the forms of CSI Properties that CSI provides to Chapter, only in compliance with the then-current Guidelines and only in connection with Chapter’s services. Chapter will get CSI's written approval before Chapter: 1) alters any CSI Property or CSI-provided CSI-Chapter logo; 2) creates materials or promotions using the CSI Properties; or 3) allows any third party to use a CSI Property. This paragraph survives Agreement termination or expiration.
3.8 Acknowledge that CSI owns the CSI Properties during and after the Term and that nothing in this Agreement or Chapter’s use of the CSI Properties gives Chapter any ownership rights in the CSI Properties. Chapter will immediately notify CSI when Chapter becomes aware of any third-party infringements of the CSI Properties, and will, at CSI's request and expense, assist CSI in defending the CSI Properties. Chapter’s acknowledgement in this paragraph survives Agreement termination or expiration, and Chapter’s notification and assistance obligations in this paragraph survive for three years after Agreement termination or expiration.
3.9 Align with CSI’s mission and related policies to the extent applicable, and with CSI policies as those policies may relate to content and promotions. Chapter may promote its operations via the Internet, but may not operate in another Chapter or Region’s authorized geo...

A. Organizational Status. CHAPTER warrants that it is incorporated as a nonprofit corporation in good standing or an unincorporated association in good standing as defined by the state or commonwealth in which the CHAPTER has its primary place of business, and that it shall remain in good standing.
Obligations of Chapter. AACN operates on a fiscal year (FY) of July through June. For compliance with reporting requirements, it is highly recommended that chapters follow the same fiscal year. It is important that the chapter financial reports are submitted on or before the required deadlines. The chapter must use the online reporting forms to submit financial reports. Doing so provides the chapter with an immediate confirmation number and confirming email with a copy of the submission, allows AACN to trace reports if lost, and for faster processing so that national AACN can meet its reporting deadlines to the government. It is the responsibility of the full chapter board to regularly check the Chapter’s Good Standing grid in the Chapter Portal on the Chapter Officers Home Page of the website to ensure the chapter is in full compliance at all times. Obligations of Chapter. CHAPTER agrees to the following:
8.1 CHAPTER agrees to comply with all Bylaws, policies, procedures and regulations as may be adopted from time to time by the membership or Board of Directors of Connect.
8.2 CHAPTER warrants that is has complied and agrees that it shall continue to comply with all applicable laws, regulations, and other requirements that affect its performance of this Agreement.
8.3 CHAPTER agrees to make all filings required by local, state, provincial, national or other government agencies having jurisdiction over CHAPTER.
8.4 CHAPTER agrees to designate one individual to serve as its official representative to the Connect Global Chapter Advisory Council.
Obligations of Chapter. The Chapter certifies it was established as an LGHN Chapter on [insert date] and has submitted bylaws approved by its governing body. The Chapter will provide bylaws updates to the LGHN national organization. The Chapter shall have as its purposes those set forth in their bylaws, shall conduct its activities at all times in accordance with such bylaws and all other Chapter-related policies, procedures or other written guidance. The Chapter certifies that it is and shall remain in full compliance with all applicable laws, regulations and other legal standards that may affect its performance under this agreement. The Chapter shall make all required filings, such as annual corporate reports and tax filings that may affect its corporate or tax status. [Note: language for this section is flexible because all chapters may not be fully incorporated.] The Chapter shall maintain reasonable records related to all of its programs, activities and operations. The Chapter shall submit regular written reports, no less than once a year, to LGHN summarizing its programs, activities and operations; and a list of officers and directors. Develop and promote Chapter mission, goals and objectives; promote LGHN mission, goals and objectives. Develop and maintain Chapter board and committee structure. Board Participation. Develop members to increase their eligibility to serve on the LGHN and ICMA boards of directors.

A. Association of ASA members. Chapters must be made up of a minimum of 10 members of the ASSOCATION whose membership is in good standing.

It is important that Chapter financial reporting is submitted in a timely manner using the online reporting forms, which provide an immediate confirmation number and confirming email with a copy of your submission, and allows NABWIC to comply with government reporting requirements. It is the responsibility of the full Chapter board to regularly check their Chapter’s Membership grid of he Chapter Officers Home Page of the website to ensure the Chapter is in full compliance at all times. Contractual agreements in which the Chapter intends to enter into must be submitted to NABWIC to review and approve so that NABWIC can ensure the Chapter/NABWIC are legally protected, A summary of Chapter’s obligations under this Agreement follows.
