Operations Services. (a) The Manager shall develop standards for the technical operation of the vessels owned or operated by the Company, as applicable (the “Vessels”) and a policy in this respect. (b) The Manager shall assist in the supervision of the activities of third party contractors employed by the Company in respect of certain elements of the technical management of the Vessels and, in particular: (i) look for similarities between the services utilized by other vessel owning companies in the Seadrill Group and potential for improvements or savings in this respect; (ii) propose, and support implementation of, strategies for the long term maintenance of the Vessels; (iii) supervise and co‑ordinate the policies in relation to emergency events; (iv) promote the most economical ways of operating the Vessels without compromising the safety of any Vessel or its crew; (v) minimize the environmental impact of the operation of the Vessels without compromising the safety of the Vessel or its crew; and (vi) ensure compliance with industry-based best practice “norms.” (c) The Manager shall, on a regular basis, provide audits of contractors of technical services and equipment and crewing services, such audits to include physical inspections. (d) The Manager shall provide assistance in purchasing materials and supplies for the Vessels and endeavour to achieve competitive terms from adequate suppliers. (e) The Manager shall provide assistance as may be necessary to enable the Company to do everything required for the proper xxxxxxx of the Vessels including (but not limited to) making arrangements for the selection, appointment, employment, dismissal, welfare, training, administration and remuneration of the crew and the fixing of the crew's number and their conditions of service in accordance with all relevant laws, regulations, union agreements, client’s requirements and otherwise pursuant to Manager's usual practices. (f) In order to minimise down time, the Seadrill Group maintains a pool of capital equipment for Vessels that are available to be deployed to the Vessels at short notice in the event that the item of capital equipment operated by the Vessel requires repair (“Capital Spares Pool”). The Manager shall facilitate access by the Company, where relevant, to the Capital Spares Pool.

Operations Services. Assistance in the establishment of global operating procedures and standards of the Company Rigs, as well as ongoing evaluation and support, including: (a) minimum operating standard procedures, including onshore emergency contingency procedures, offshore contingency plans, rig move procedures and review, station keeping procedures, on station marine activities and procedures, drilling and well control activities and procedures; (b) operation service standards, including monitoring drilling unit compliance with maintenance standards and regulations, flag and coastal state requirements, Classification Society requirements, operational management plans for each drilling contract, equipment list maintenance procedures and drilling unit operational capability procedures; and (c) safety management systems including procedures, monitoring programs and best-practice sharing.
Operations Services. Boomerang will manage and operate the System and shall have sole discretion in respect of the same. Without prejudice to the foregoing, operations will consist of the following: 3.1.1 System Updates Boomerang will implement all system updates (with same or higher functionality) to the System when in Boomerang’s determination, such updates are necessary to meet the target performance indicators outlined in Section 5. Boomerang will deploy additional hardware and software as it determines are required to address System performance measurements from time to time.
Operations Services. Operations Services provides the following services in the indicated areas: Stores - Centralizes materials supply and distribution; Technical Services - Provides electrical equipment repair and testing; Transportation - Handles fleet management and repair services; Safety, Quality and Training - Develops safety and training programs; Building Services - provides building maintenance and management, and offices services; Substations - Builds, operates, and maintains substations and equipment; T & D Operation - Performs switching functions for all facilities above distribution voltage; Forestry - Provides maintenance services for electrical facilities rights-of-way; Planning - Provides planning services for all non-network electrical facilities; Lines Services - Provides lines support for lines teams in service centers; and Telecommunications - Provides support and maintenance for the telecommunications systems.
Operations Services. Utility Contractor shall perform all of ATCLLC's requirements for Operation Services identified in Exhibit A as specified and directed by ATCLLC. Exclusive of Emergency Response Services, which are addressed separately below, Operation Services consist of the following: (i) field switching of transmission equipment, (ii) investigating system anomalies and performing other field operational activities necessary or appropriate for the operation of the Transmission System. Utility Contractor shall perform these switching and related activities using its employees who typically perform such functions.

Operations Services a. Vendor shall perform the following Operations Services: • Monitoring of systems consoles during operational hours. • Performing checks to ensure Machines are operating optimally. • Monitoring of all jobs and applications to ensure that they are running properly based upon supplied documentation. • Responding to system messages and request for resources as required. • Coordinating system startups and shutdowns with Customer Contract Managers. • Documenting cause and nature of both scheduled and unscheduled outages. • Maintaining the Customer tape inventory stored at the Vendor Service Location and offsite at Iron Mountain. • Reporting Machines malfunctions to responsible parties. • Responding to system requests for tape/cartridge mounts. • Providing timely process on daily and weekly backups. • Performing job scheduling. • Providing data center operations support availability 24 hours a day seven days a week on mainframe/communications availability and related software issues.
Operations Services. 4.1 WALTHAM FACILITY AND ATLANTA FACILITY Licensor will operate and maintain the Waltham Facility and the Atlanta Facility. Such operation and maintenance will include, without limitation, the acquisition, installation, maintenance, upgrading, monitoring and all aspects of the operation of all computer hardware and equipment, and all services related thereto, for the Waltham Facility and the Atlanta Facility necessary in connection with the provision by the Licensor of the Data Services provided hereunder. 4.2 COMMUNICATIONS The Licensor will receive data at the Atlanta Facility and the Waltham Facility and transmit data from from such facilities via communications channels which may include the Internet, a virtual private network or dedicated point-to-point circuits. Licensor shall at all times maintain agreements for high speed connections for the receipt and transmission of such data (except that Licensee acknowledges that Licensor does not have direct connections to ATPCO or Innovata and receives data from such Data Providers via a high-speed internet connection). (a) All hardware, software and services associated with communications between the Atlanta Facility and the Licensee Facility, including maintenance thereof, will be the responsibility of Worldspan. The cost of such services from Worldspan will be for the account of Licensee and Worldspan will invoice Licensee therefor directly. Such hardware, software and services will not be included within any of the service level or support commitments contained in this Agreement. (b) All hardware, software and services associated with communications between the Waltham Facility and the Licensee Facility, and between the Atlanta Facility and the Waltham Facility, including maintenance thereof, will be provided by the Licensor and charged to Licensee pursuant to the provisions of Section 6.4.2 hereof. (c) Licensee expressly acknowledges that the flow of data to or from the Atlanta Facility or the Waltham Facility will depend in large part on the performance of hardware, software and services provided or controlled by third party communications providers and by Worldspan. Licensor disclaims any and all liability resulting from or related to Licensee's inability to communicate with the Atlanta Facility or the Waltham Facility, to the extent such inability is the result of the failure of hardware, software or services provided by such third party communications providers and/or Worldspan.
