Optional Enhancements. The parties record that the Provider has offered to provide the optional enhancements to the System detailed in Schedule 4 for the indicative prices set out in Schedule 4 during the Initial Term. If the Provider is requested by the Authority, under clause 7 of the agreement, to provide costs for a System change for any of the following developments, the parties must follow the change management process in clause 7 of the agreement provided that the Provider must base any proposed changes to the fees on the indicative prices set out in Schedule 4 (adjusted for CPI). If any charges or prices proposed by the Provider for such a System change are 10% or more above the indicated pricing (adjusted for CPI) then the Provider must provide justification for the price difference to the reasonable satisfaction of the Authority. If the Provider does not demonstrate such a change to the Authority's reasonable satisfaction, any increase in pricing beyond 10% will not apply:

Optional Enhancements. The County may exercise the option to request modifications to the ITSP to meet regulatory or compliance requirements, or to include or update processes. Optional Enhancements. LCC shall make Optional Enhancements available to Nextel as they are commercially released by LCC for such additional fees and/or charges, and upon such other terms, as may be mutually agreed upon by the parties. The mutually agreed terms upon which additional Optional Enhancements shall be delivered to Nextel shall be reflected in an amendment to this Agreement. Upon the execution of any such amendment, the Optional Enhancement covered thereby shall become a part of the Software for all purposes of this Agreement, as so amended.

Related to Optional Enhancements

  • System Enhancements State Street will provide to the Fund any enhancements to the System developed by State Street and made a part of the System; provided that State Street offer the Fund reasonable training on the enhancement. Charges for system enhancements shall be as provided in the Fee Schedule. State Street retains the right to charge for related systems or products that may be developed and separately made available for use other than through the System.

  • Special Programs In consideration of the sale of the Eligible Loans under these Master Sale Terms and each Sale Agreement, Purchaser agrees to cause the Servicer to offer borrowers of Trust Student Loans all special programs whether or not in existence as of the date of any Sale Agreement generally offered to the obligors of comparable loans owned by Xxxxxx Mae subject to the terms and conditions of Section 3.12 of the Servicing Agreement.

  • Enhancements No Enhancement shall be provided in respect of any Series of Notes, nor will any Enhancement Provider have any rights hereunder, as third-party beneficiary or otherwise, unless the Servicer has provided its prior written consent to such Enhancement, such consent not to be unreasonably withheld.

  • Additional Benefits/Card Enhancements The Credit Union may from time to time offer additional services to your account, such as travel accident insurance, at no additional cost to you. You understand that the Credit Union is not obligated to offer such services and may withdraw or change them at any time.

  • Distribution Upgrades The Connecting Transmission Owner shall design, procure, construct, install, and own the Distribution Upgrades described in Attachment 6 of this Agreement. If the Connecting Transmission Owner and the Interconnection Customer agree, the Interconnection Customer may construct Distribution Upgrades. The actual cost of the Distribution Upgrades, including overheads, shall be directly assigned to the Interconnection Customer. The Interconnection Customer shall be responsible for its share of all reasonable expenses, including overheads, associated with owning, operating, maintaining, repairing, and replacing the Distribution Upgrades, as set forth in Attachment 6 to this Agreement.

  • Maintenance Plan Maintenance plan for the Project Facility for the next quarter and a report on maintenance carried out during the previous quarter (including any material deviation from expected maintenance activities as set out in the maintenance plan).

  • SPECIALIZED JOB CLASSES Where there is a particular specialized job class in which the pay rate is below the local market value assessment of that job class, the parties may use existing means under the collective agreement to adjust compensation for that job class.

  • Maintenance Programme (i) The Contractor shall prepare a monthly maintenance programme (the “Maintenance Programme”) in consultation with the Authority’s Engineer and submit the same to the Authority’s Engineer not later than 10 (ten) days prior to the commencement of the month in which the Maintenance is to be carried out. For this purpose a joint monthly inspection by the Contractor and the Authority’s Engineer shall be undertaken. The Maintenance Programme shall contain the following: (a) The condition of the road in the format prescribed by the Authority’s Engineer; (b) the proposed maintenance Works; and (c) deployment of resources for maintenance Works.

  • Replacement Provider In the event the Agreement (or any portion thereof) is terminated in accordance with this Article II, the Sellers shall be responsible for engaging one or more qualified replacement providers of the Services of the Serviced Appointments that are subject to such termination (each, a “Replacement Provider”), which may be any Seller, any other member of the Seller Group or any third party acceptable to the Sellers. Upon request by the Sellers, the Purchasers shall provide the Sellers with reasonable assistance in marketing the Services subject to such termination to potential third party Replacement Providers, including by providing any information reasonably requested by the Sellers; provided, that any potential third party Replacement Provider shall have executed a customary confidentiality agreement before any confidential information of the Purchasers is disclosed by the Sellers to such potential third party Replacement Provider.
