Participant’s Duties. Participant shall: (1) maintain access to and conditions at the Site in accordance with Schedule ESBPP; (2) ensure reliable access to wireless internet service at the location of the EVSE to ensure remote reading of the EV charger’s consumption for use in billing; and (3) pay all charges due and owing to Liberty-Empire in accordance with Schedule ESBPP. Participant hereby grants, or shall cause the Property owner to grant, Liberty-Empire and its agents access to on, over and under the Property for the purposes of installing, operating, maintaining and removing the ESVE, and shall execute, or cause the Property owner to execute, a recordable easement and access agreement if requested by Liberty-Empire. Participant shall allow, or shall cause the Property owner to allow, access by governmental authorities to the Property for their inspections and approvals of the EVSE. Participant has communicated with its insurers who have consented to Participant entering into this Agreement. Participant hereby verifies that any and all representations and warranties made in each of the Contract Documents prior to the Effective Date are true and accurate as of the Effective Date.

Participant’s Duties. In exchange for Liberty-Empire providing, installing providing utility services and maintaining the Liberty-Empire branded EVSE set forth in Section 1 above, Participant shall (a) grant Liberty-Empire Premises access consistent with Section 6 below; (b) pay Liberty-Empire for the energy costs and customer charges consistent with the provisions of the Tariff; (c) remain enrolled in the Program and pay the associated Tariff fees for a time period no less than until the expiration of the Remaining Pilot Term (as such term is defined in the Tariff); (d) maintain a working, secure and reliable wireless network at the Premises that is positioned to communicate reliably with the EVSE, maintain internet connectivity for the duration of this Agreement, comply with all reasonable cybersecurity protocols adopted by Liberty-Empire and communicated to Participants in writing from time-to-time, comply with all applicable agreements, terms of use and service, and other policies of each device manufacturer and your internet service provider (ISP) and grant Liberty-Empire the right to access this wireless network connection for the sole purpose of collecting EVSE consumption data for subsequent use in billing and/or program participation analytics and other information permitted by this Agreement or the Tariff; (e) secure the EVSE with reasonable security protections to ensure unauthorized access to the EVSE; (f) use the EVSE charger solely for the purposes of charging the EV(s) owned, leased or otherwise controlled by the members of Participant’s household and invitees; (g) comply with all warranty requirements relating to the EVSE, not tamper with the EVSE and permit only Liberty-Empire or its approved contractors to work on remove, replace, relocate, alter or repair the EVSE; and permit the, or any tampering with, the EVSE without the written permission of Empire; and
Participant’s Duties. Participant shall: (1) per the Site Plan, furnish one dedicated parking space per EVSE charging port immediately adjacent to the EVSE; (2) ensure reliable access to wireless internet service at the location of the EVSE to ensure remote reading of the EV charger’s consumption for use in billing; and (3) pay all charges due and owing to Liberty-Empire in accordance with Schedule RCPP. Participant hereby grants, or shall cause the Property owner to grant, Liberty-Empire and its agents access to on, over and under the Property for the purposes of installing, operating, maintaining and removing the ESVE and related improvements, and shall execute, or cause the Property owner to execute, a recordable easement and access agreement if requested by Liberty-Empire. Participant shall allow, or shall cause the Property owner to allow, access by governmental authorities to the Property for their inspections and approvals of the EVSE and related improvements. Participant has consulted with its insurers and lenders, if any, who have consented to Participant entering into this Agreement. Participant hereby verifies Participant warrants that any and all representations and warranties made in each of the Contract Documents prior to the Effective Date are true and accurate as of the Effective Date.

Participant’s Duties. (a) Participant agrees that, upon attending and completing the Course, Participant will have been trained by the Institute to physically and/or digitally take groups or individuals through a LifeStretch® mobilization-stretch class workout for fitness. Participant agrees that Participant has NOT been taught how to teach the techniques and methods of LifeStretch® for the purpose of training and/or certifying others as LifeStretch instructors, and therefore, Participant has NOT been certified by the Institute to train others as LifeStretch® instructors. Participant recognizes that, by entering into this Agreement, Participant is prohibited from teaching LifeStretch® for such purposes as previously just mentioned to any person, group, company or institution, and in such event, Institute reserves the right to institute civil and/or criminal action against Participant to resolve the violation.

Participant’s Duties regarding a claim event It is a condition precedent to liability that in addition to the requirements of 3. Claims under the General conditions of this agreement, no claim under this section shall be payable unless the terms of this specific condition have been complied with and in the event of non-compliance therewith in any respect any payment on account of the claim already made shall be repaid to the Company forthwith. On the happening of any incident in consequence of which a claim might be made under this Sub- section the participant shall as soon as reasonably possible inform the Company in writing and with due diligence do and concur with the Company’s Representatives(s) in presenting, doing and permit to be done all things which may be reasonably practicable to avoid or diminish the loss and in the event of a claim being made under this Sub-section shall, not later than thirty days after the expiry of the Indemnity Period, or within such further time as the Company may in writing allow, at their own expense deliver to the Company in writing a statement setting forth particulars of their claim together with details of all other covers covering the loss or any part of it or consequential loss of any kind resulting therefrom.

  • Transition of Services Upon request by the State prior to expiration or earlier termination of this Contract or any Services provided in this Contract, Contractor shall provide reasonable and necessary assistance to accomplish a complete transition of the Services from Contractor to the State or any replacement provider designated solely by the State without any interruption of or adverse impact on the Services. Contractor shall cooperate fully with the State or any successor provider and shall promptly take all steps required to assist in effecting a complete transition of the Services designated by the State. All services related to such transition shall be performed at no additional cost beyond what would be paid for the Services in this Contract.
