POWERS AND DUTIES OF THE PLAN ADMINISTRATOR. A. The Plan Administrator may, by appointment, allocate the duties of the Plan Administrator among several individuals or entities. Such appointments shall not be effective until the party designated accepts such appointment in writing.

POWERS AND DUTIES OF THE PLAN ADMINISTRATOR. (a) The Plan Administrator (either directly or through its designees) will have power and authority to interpret, construe, and administer this Plan, provided that the Plan Administrator's authority to interpret this Plan shall not cause the Plan Administrator's decisions in this regard to be entitled to a deferential standard of review in the event that the Executive or her Beneficiary seeks review of the Plan Administrator's decision, as described below.
POWERS AND DUTIES OF THE PLAN ADMINISTRATOR. The Plan shall be administered by a Plan Administrator who shall be the Company or, in the alternative, one or more persons who shall be appointed by the Company. The Plan Administrator may delegate to any person or entity any powers or duties of the Plan Administrator under the Plan. To the extent of any such delegation, the delegate shall become the named fiduciary responsible for administration of the Plan (if the delegate is a fiduciary by reason of the delegation), and references to the Plan Administrator shall apply instead to the delegate. Any action by the Company assigning any of its responsibilities as Plan Administrator to specific persons who are all directors, officers, or Employees of the Company shall not constitute delegation of the Plan Administrator's responsibilities but rather shall be treated as the manner in which the Company has determined internally to discharge such responsibility. The Plan Administrator may be removed at any time without cause. Compensation of the Plan Administrator and all usual and reasonable expenses of administration, including but not limited to actuarial, legal and accounting fees may be paid in whole or in part by the Employer, and any expenses not paid by the Employer shall be paid by the Trustee out of the principal or income of the Trust Fund. The source of such payments may differ from year to year. No Employee shall receive compensation with respect to services as the Plan Administrator.

Subject to the provisions of any claims procedure hereunder, the Plan Administrator's decision with respect to any matter shall be final and binding on all parties concerned, and neither the Plan Administrator nor any of its directors, officers, employees or delegates nor, where applicable, the directors, officers or employees of any delegate, shall be liable in that regard except for gross abuse of the discretion given it and them under the terms of this Plan. The Plan Administrator may, from time to time, by action of its appropriate officers, delegate to designated persons or entities the right to exercise any of its powers or the obligation to carry out any or all of its duties as Plan Administrator.

  • Powers and Duties of the President Subject to the powers of the Chairman, if there be such an officer, the President shall be the principal executive officer of the Trust. The President may call meetings of the Trustees and of any Committee thereof when he deems it necessary and, in the absence of the Chairman, shall preside at all meetings of the Shareholders and the Trustees. Subject to the control of the Trustees, the Chairman and any Committees of the Trustees, within their respective spheres, as provided by the Trustees, the President shall at all times exercise a general supervision and direction over the affairs of the Trust. The President shall have the power to employ attorneys and counsel for the Trust or any Series or Class thereof, and other advisers and agents for the Trust and to employ such subordinate officers, agents, clerks and employees as the President may find necessary to transact the business of the Trust or any Series or Class thereof. The President shall also have the power to grant, issue, execute or sign such powers of attorney, proxies or other documents as may be deemed advisable or necessary in furtherance of the interests of the Trust or any Series or Class thereof. The President shall have such other powers and duties, as from time to time may be conferred upon or assigned to him by the Trustees.
