PROHIBITED GOODS AND SERVICES a. The U.S. Government prohibits the importation of goods or the purchase of services, and certain financial transactions, from certain countries, which list may change from time to time. Seller represents and warrants that it and its officers, employees, agents and representatives have not purchased or otherwise obtained, and agrees that it and its officers, employees, agents and representatives will not purchase or otherwise obtain goods or services, either directly or indirectly, from any prohibited country in providing goods or services to Buyer under this AGREEMENT. Seller may obtain an updated list of such countries by visiting the U.S. Treasury Department’s website at xxxx://xxx.xxxxx.xxx/ofac/. The Seller agrees that, as a condition of doing business with the Buyer, Seller will provide all goods or perform all Services with integrity and within the law. Xxxxxx further agrees to be aware of Xxxxx's "Standards of Business Conduct" as outlined at Buyer's website xxx.xxxxxx.xxx/Xxxxx_XX/Xxxxxxxxx in the Ethics Standards and guidelines for Supplier Personnel.

MERCHANT is jointly and severally liable for the obligations of MERCHANT’S Establishments under the Agreement. MERCHANT must not accept the Card to verify a cardholder’s age or for any of the following: (i) adult digital content sold via Internet Electronic Delivery; (ii) amounts that do not represent bona fide sales of goods or services (or, if applicable, amounts that do not represent bona fide charitable contributions made) at MERCHANT’S Establishments; for example, purchases at MERCHANT’S Establishments by MERCHANT’S owners (or their family members) or employees contrived for cash flow purposes, or payments that MERCHANT have accepted in order to advance cash to cardholders in connection with the transaction; (iii) amounts that do not represent bona fide, direct sales by MERCHANT’S Establishment to Card Members made in the ordinary course of MERCHANT’S business; (iv) cash or cash equivalent (e.g., gold, silver, platinum, and palladium bullion and/or bars), but collectible coins and jewelry are not prohibited; (v) charges that the cardholder has not specifically approved; (vi) costs or fees over the normal price of the goods or services (plus applicable taxes) that the cardholder has not specifically approved; (vii) damages, losses, penalties, or fines of any kind; (viii) gambling services (including online gambling), gambling chips, gambling credits, or lottery tickets; (ix) unlawful/illegal activities, fraudulent business transactions or when providing the goods or services is unlawful/illegal (e.g. unlawful/illegal online internet sales of prescription medications or controlled substances; sales of any goods that infringe the rights of a rights-holder under laws applicable to us, MERCHANT, or the cardholder; online child pornography); (x) overdue amounts or amounts covering returned, previously dishonored or stop-payment checks (e.g., where the Card is used as a payment of last resort); or (xi) sales made by third parties or Entities conducting business in industries other than Merchant’s.

No goods or services from prohibited countries, entities, or individuals may be used directly or indirectly in the activities covered by this Order. PROHIBITED GOODS AND SERVICES. 21.1. The Merchant acknowledges and agrees that disputes between The Merchant and Customers shall be resolved between you and the Customers directly and that we shall not be obliged to become a party to any such dispute. 21.2. The Merchant may not seek to accept payments through the use of our services for any of the following: 21.2.1. Gambling services (including but not limited to online casinos, sports betting, spread betting, reverse auctions and lotteries); 21.2.2. Get rich quick schemes, Ponzi schemes, snowball schemes, investment clubs or similar activities; 21.2.3. Adult content or sexually explicit material, escort services or modelling agencies; 21.2.4. Payment services, virtual wallets, cash services, foreign exchange services, prepaid cards, virtual currencies; 21.2.5. Mass email services, SMS services or customer marketing lists; 21.2.6. Astrological services, paranormal services, counselling, psychological services, on-line health assessment, star naming services; 21.2.7. Prescription drugs, prohibited substances or their components; drug paraphernalia; 21.2.8. Fake or counterfeit goods, novelty IDs; 21.2.9. Dangerous or restricted goods (including but not limited to explosives, radioactive materials, toxic substances, batteries, fireworks 21.2.10. Weapons, knives and ammunition; 21.2.11. Protected works of art, history and culture; 21.2.12. Restricted electronics (such as cable TV decoders, radars and surveillance equipment); 21.2.13. any other goods or services whose sale, provision, delivery, offering or marketing is prohibited or restricted in the jurisdiction of the Merchant or in any jurisdiction where any of its customers is located. 21.3. The list of prohibited goods or services in clause 21.2. may be changed or extended by DPS at any time by notice to The Merchant. If The Merchant provides goods or services, that fall within the subsequent extension of the list in clause 21,2, The Merchant shall immediately terminate the provision of such goods or services. In the event, The Merchant will not proceed to such termination; DPS retain the right to terminate the effect of this Agreement. If The Merchant is in any doubt whether The Merchant goods or services fall under any of the categories listed, The Merchant must first consult with DPS before offering such goods or services.

  • Goods and Services 4.3.1. The Supplier shall ensure that the Goods and/or the Services provided are fit for the purposes that may reasonably be inferred from the technical specifications and in accordance with the timetable for performance defined in the Contract. In any event the Supplier commits himself to achieve performance and results stipulated in the Contract. 4.3.2. The Goods and/or Services shall be delivered in a state of full completion with the complete “Documentation” (any operation and maintenance manuals, drawings, calculations, technical data, logic diagrams, progress reports, quality documentation, conformity certificates, test reports, bill of lading, certificates of origin, export control classification list number as per any applicable export regulation - such as the European Council Regulation 428/2009 (as amended) and/or the U.S. Export Administration Regulations (“EAR”), percentage of U.S. origin content, U.S. Export Control Classification Number (“ECCN”) or U.S. Munitions List category (“USML”) (if applicable) export authorizations and licenses, Harmonized Tariff Code - and any such other documents required under the Contract and/or applicable Laws) associated therewith as well as all instructions, recommendationsandother indicationsnecessaryin orderfor themtobeused correctly and under the appropriate safety conditions. If so required by the Purchaser, the Supplier shall submit any such Documentation to the Purchaserwith sufficient timeforreview andapproval by the Customer, in accordancewith the time-lines agreed between the Purchaser and the Customer. Where the Documentation provided by the Supplier is not compliant with Purchaser’s contractual requirements, the Supplier must make the necessary modifications, and indemnify the Purchaser for any costs, liabilities or penalties incurred by the Purchaser as a result of the non-compliance and/or delay. 4.3.3. Goods or Services that donotmeetall the requirements set in this Article 4.3 shall be considered as having a Non-Conformity as per Article 10 of these General Conditions and may be recorded as a non-conformity event (NCE) as defined in the Supplier Quality Manual. 4.3.4. If the Supplier is not certain that the results of the Services or Goods comply with the requirements defined in this Article 4.3, it shall inform immediately the Purchaser thereof in writing, providing all the needed indications concerning the risks of non- compliance and the measures that the Supplier intends to take in order to remedy the situation. The Purchaser shall notify its acceptance or rejection of the Supplier’s proposals as soon as possible and in writing. 4.3.5. If the Purchaser assesses on its part that the Supplier is not performing the Services and/or supplying the Goods in accordance with the Contract, itmay require the Supplier to indicate to it, in writing, the measures that the Supplier intends to take to remedy the situation. The Purchaser shall notify the Supplier in writing as soon as possible of its acceptance or rejection of the Supplier’s proposals.

  • Procurement of Goods and Services (a) If the HSP is subject to the procurement provisions of the BPSAA, the HSP will abide by all directives and guidelines issued by the Management Board of Cabinet that are applicable to the HSP pursuant to the BPSAA. (b) If the HSP is not subject to the procurement provisions of the BPSAA, the HSP will have a procurement policy in place that requires the acquisition of supplies, equipment or services valued at over $25,000 through a competitive process that ensures the best value for funds expended. If the HSP acquires supplies, equipment or services with the Funding it will do so through a process that is consistent with this policy.

  • Eligible Goods and Related Services 4.1 All the Goods and Related Services to be supplied under the Contract shall have their origin in any country that is eligible in accordance with ITT 3.9. 4.2 For purposes of this ITT, the term “goods” includes commodities, raw material, machinery, equipment, and industrial plants; and “related services” include services such as insurance, installation, training, and initial maintenance.

  • PAYMENT FOR GOODS AND SERVICES a. DIR Customer shall comply with Chapter 2251, Texas Government Code, or applicable local law, in making payments to the Vendor. Payment under a DIR Contract shall not foreclose the right to recover wrongful payments. b. Payments must be made in accordance with laws and procedures applicable to DIR Customer. c. DIR Customer agrees to pay the rates and/or prices set by DIR with its vendors. DIR Customer understands these rates and/or prices include a DIR administrative fee. d. All purchases executed under a DIR Contract will require a DIR Customer purchase order.

  • Agricultural Export Subsidies 1. The Parties share the objective of the multilateral elimination of export subsidies for agricultural goods and shall work together toward an agreement in the WTO to eliminate those subsidies and prevent their reintroduction in any form. 2. Neither Party shall introduce or maintain any export subsidy on any agricultural good destined for the territory of the other Party.

  • Third Party Products and Services Any third-party hardware, software and/or services that is delivered by ResMed for use either standalone or in conjunction with ResMed products and/or services, shall be subject to the third-party terms and conditions and/or license agreements between Customer and the third party. Such third-party hardware, software and/or services is provided by ResMed "AS IS," without any warranty of any kind. Any representations or warranties as to such hardware, software and/or services shall only be as granted by the applicable third parties, if any, that accompany such products and/or software and/or services. Any representations, warranties, or other similar obligations with respect to such third-party hardware, software and/or services flow directly from the third party to Customer and ResMed shall have no responsibility at all for any such representations, warranties, obligations or lack thereof.

  • Procurement for Goods and Works Except as ADB may otherwise agree, Goods and Works shall only be procured on the basis of the methods of procurement set forth below: National Competitive Bidding Shopping The methods of procurement are subject to, among other things, the detailed arrangements and threshold values set forth in the Procurement Plan. The Borrower may only modify the methods of procurement or threshold values with the prior agreement of ADB, and modifications must be set out in updates to the Procurement Plan.
