Purchaser Furnished Items. To enable Contractor to perform the Work, in particular the Launch Segment Services and On-Orbit Support Services, Purchaser shall be responsible for timely making available to Contractor the Purchaser Furnished Items indicated in Section 10 of the Statement of Work. Such Purchaser Furnished Items shall be adequate for the required purposes and shall be made available free of charge for Contractor’s use during the period commencing on the dates established in the Statement of Work and continuing as defined in the Statement of Work. Purchaser and Contractor will conduct a meeting on the date established in the Statement of Work to confirm the availability of such Purchaser Furnished Items. The Parties agree and acknowledge that title and risk to all Purchaser Furnished Items shall be governed by the provisions of Article 12.3. In addition, Purchaser shall timely provide to Contractor any available Iridium Block 1 documentation or information as defined in the Statement of Work.
Purchaser Furnished Items. For any Purchaser Furnished Items that are physically delivered to Contractor’s facilities, risk of loss of or damage to such Purchaser Furnished Items shall pass to Contractor upon delivery to the Contractor. Purchaser shall declare to Contractor the value of any Purchaser Furnished Items no later than [***…***] days prior to the delivery thereof to Contractor. Upon completion of the applicable portion of the Work and the physical return of the Purchaser Furnished Items by the Contractor to the Purchaser, risk of loss of or damage to such Purchaser Furnished Items shall revert back to the Purchaser. Purchaser Furnished Items. Purchaser-Furnished Support To enable Contractor to perform Launch Support and Mission Operations Support Services, Purchaser shall timely make available to Contractor the Purchaser-furnished equipment, facilities and services described in the Statement of Work. Such equipment, facilities and services shall be in good working condition and adequate for the required purpose and shall be made available free of charge for Contractor's use (including Acceptance inspection pursuant to Article 11) during the period commencing sixty (60) days prior to such Launch and continuing through completion of the Satellite Acceptance Review. Purchaser and Contractor will conduct an interface meeting approximately one hundred eighty (180) days prior to such Launch to confirm the availability and adequacy of Purchaser-furnished equipment, facilities and services.

Purchaser Furnished Items. The Purchaser shall provide the following items to the Contractor for use in the production of the Satellites. Should this list evolve, the Contractor shall maintain a Purchaser Furnished Item List (PFIL) for all Purchaser items transferred or provided to the Contractor for use in the production of the Satellites. The Contractor shall maintain configuration management and appropriate storage and use of Purchaser owned property.
6.4.1 Block-2 [***] Unit The [***] is a contributed asset which SFI will transfer to the Contractor (see Contribution Agreement) for use in the development and production of the Satellites. This transfer will occur once the [***] has also transferred to the Contractor. The [***] will be used and maintained by the Contractor’s engineering team. Access to the [***] will be granted by the Contractor to the Purchaser. In case of conflicting needs to use the [***] by the Contractor and Purchaser, precedence will be given the [***]. Purchaser [***] access will be possible directly at the Contractor’s site or remotely if the Purchaser and the Contractor implement a means for such remote access. The [***] shall be delivered no later than 15 December 2018.
Purchaser Furnished Items. Purchaser shall provide to Contractor the items set forth below to ensure successful completion of IOT and verification of Satellite performance, status, configuration and health.
2.4.1 Equipment, Facilities, and Services Purchaser-furnished personnel, equipment, facilities, and services required are summarized in the following paragraphs. Purchaser shall provide documentation, satisfactory to Contractor, supporting calibration for items furnished by Purchaser. GBBF The Purchaser and/or GBBF supplier shall provide adequate Satellite GBBF Compatibility Test documentation for review and approval by the Contractor to ensure the safety of the Satellite during Satellite GBBF Compatibility Tests. Purchaser Furnished Items. 6.1 Facilities for In-Orbit Testing For the purposes of In-Orbit Testing (IOT) of the Satellite, Purchaser shall make available to Contractor reasonable use of designated satellite control facilities, equipment and support personnel and provide reasonable access to the communications uplink facility as described in Exhibit A. Such facilities, equipment, and support personnel are to be suitable for the IOT and available for Contractor’s use seventy-five (75) days prior to Launch, and continuing through completion of IOT. Purchaser and Contractor will conduct an interface meeting approximately ninety days (90) days prior to Launch to confirm the availability and adequacy of facilities and support.
6.2 Satellite Reports Upon a written request from Contractor, Purchaser shall provide to Contractor within thirty (30) days, no more frequently than semi-annually during the Service Life of the Satellite, an informal letter report that describes the general health and operating status of the Satellite and specifically identifies any defined Satellite Anomalies. For the purpose of this Article 6, a Satellite Anomaly means any in-orbit occurrence that has a material impact on the life, health or performance of the Satellite that was known by Purchaser and was not anticipated in the Satellite Orbital Operation Handbook delivered to Purchaser pursuant to Exhibit A. Any such letter report will not cause a waiver of any of Purchaser’s rights and shall not be warranted to be complete although Purchaser shall use reasonable efforts to make such report complete.
6.2.1 Satellite Anomalies At Purchaser’s request, Contractor shall investigate any Satellite Anomaly after completion of IOT and in cooperation with Purchaser use its best efforts to correct such Satellite Anomaly, provided, however, Contractor shall have no liability arising from such assistance, except in the event of Contractor’s willful misconduct (in which case Contractor’s liability shall be subject to the limitation set forth in Article 41.
