Quality Assurances. The Licensor may provide a Certificate of Equivalency satisfactory in form and substance to the Licensee or to its sublicensee with respect to Licensed Products manufactured using a Special Material, Formula, or Process after the Licensee has demonstrated that Licensed Products using the Special Material, Formula, or Process meet the finished product specifications provided by the Licensor.

Quality Assurances. UBSN represents and warrants that any Products produced by UBSN (a) satisfy national, local, and regional health and safety laws, ordinances and regulations in the United States, (b) are of merchantable quality fit for human consumption, and (c) satisfy the quality control standards and procedures established by UBSN from time to time. UBSN shall provide MBC with all necessary and appropriate documentation and certifications evidencing its compliance with the above. UBSN's representation and warranty under this Section 4.2 shall not apply to any Products produced by MBC pursuant to that certain Brewing License Agreement between the parties dated as of , 2001.
Quality Assurances a. Establish, in coordination with the Project Consultant, and implement procedures for expediting the processing, review, approval and distribution of shop drawings, catalogs, and samples and any revisions and clarifications to the Contract Documents. The Manager shall promptly advise the University of any undue delay in connection therewith that affect the schedule for the Project(s). b. Prepare and maintain a log of all submittals and architectural responses to all shop drawings, catalogs and samples. c. Review coordination drawings and shop drawings for coordination and fit and, within five (5) working days after receipt, either return them to the Contractor as unacceptable, together with the reasons therefor or forward them together with recommendations to the Project Consultant. d. Determine the need for and the amount of testing laboratory services required and/or desirable, and coordinate, review and monitor the performance and findings of such services. The Manager shall provide the University with reports setting forth the date, persons present, test criteria and standards and the results of such tests together with recommendations relating to same. e. Review the adequacy of the Contractors' personnel and equipment and the availability of necessary materials and supplies and submit recommendations to the University and the Project Consultant relating to same. f. Make recommendations to the University and the Project Consultant regarding the approval of subcontractors and material vendors. g. Oversee and inspect the work of the Contractors, until final completion and acceptance of the Project(s) by the University, in an effort to see that the materials furnished and work performed are in accordance with the construction contract documents and that the work on the Project(s) is progressing on schedule and, when the work is completed, make recommendations relating to acceptance thereof by the University and the Project Consultant. h. Inspect materials and equipment prior to installation for conformance to the Construction Contract Documents. i. Oversee and coordinate the commissioning of the building systems by the Contractors and Project Consultants. j. Promptly advise all Contractors of any work, material or equipment deficiencies and request corrective action on their part. Quality Assurances. LTS shall comply with each requirement set forth in the Quality Assurance Agreement with respect to manufacturing (and associated support functions including without limitation testing, release, stability studies), storage, handling and delivery of Clinical Samples to NeurogesX hereunder; provided, however, the provisions concerning LTS responsibility and liability as set forth in this Agreement shall supersede any conflicting provisions in the Quality Assurance Agreement or any amendment thereof.
Quality Assurances. Licensee hereby covenants that (a) the nature and quality of all Licensed Products sold by Licensee under the Licensed Xxxx pursuant to this Agreement, as well as any advertising and promotional materials relating to the same, shall be of at least the same grade and quality as that offered or provided by Licensee under the Licensed Xxxx immediately prior to the Closing (and Licensee shall not depart therefrom in any material respect without Licensor’s prior written consent), and (b) all Licensed Products will be manufactured, sold and distributed in accordance with all applicable laws and regulations. Periodically, upon the request of Licensor, Licensee shall furnish to Licensor, free of cost for its approval, a reasonable number of samples of each Licensed Product, its cartons, containers, and packaging and wrapping materials. The quality of such Licensed Products as well as any carton, container or wrapping material shall be subject to the approval of Licensor (which such approval shall not be unreasonably withheld by Licensor). In the event that the Licensed Products do not conform to the quality standards referenced in Paragraph 6 hereof in any material respects, Licensee shall cease the manufacture, assembly, sale and distribution of the Licensed Products until any such deficiencies therein have been remedied to the reasonable satisfaction of Licensor. Licensee shall at all times be and remain solely and exclusively responsible for all warranty claims and other claims of any nature whatsoever made by any third parties whatsoever relative to the Licensed Products sold by Licensee.

  • Quality Assurance The parties endorse the underlying principles of the Company’s Quality Management System, which seeks to ensure that its services are provided in a manner which best conforms to the requirements of the contract with its customer. This requires the Company to establish and maintain, implement, train and continuously improve its procedures and processes, and the employees to follow the procedures, document their compliance and participate in the improvement process. In particular, this will require employees to regularly and reliably fill out documentation and checklists to signify that work has been carried out in accordance with the customer’s specific requirements. Where necessary, training will be provided in these activities.

  • Quality Assurance Program An employee shall be entitled to leave of absence without loss of earnings from her or his regularly scheduled working hours for the purpose of writing examinations required by the College of Nurses of Ontario arising out of the Quality Assurance Program.

  • Quality Assurance Requirements There are no special Quality Assurance requirements under this Agreement.

  • Quality Assurance/Quality Control Contractor shall establish and maintain a quality assurance/quality control program which shall include procedures for continuous control of all construction and comprehensive inspection and testing of all items of Work, including any Work performed by Subcontractors, so as to ensure complete conformance to the Contract with respect to materials, workmanship, construction, finish, functional performance, and identification. The program established by Contractor shall comply with any quality assurance/quality control requirements incorporated in the Contract.

  • COUNTY’S QUALITY ASSURANCE PLAN The County or its agent will evaluate the Contractor’s performance under this Contract on not less than an annual basis. Such evaluation will include assessing the Contractor’s compliance with all Contract terms and conditions and performance standards. Contractor deficiencies which the County determines are severe or continuing and that may place performance of the Contract in jeopardy if not corrected will be reported to the Board of Supervisors. The report will include improvement/corrective action measures taken by the County and the Contractor. If improvement does not occur consistent with the corrective action measures, the County may terminate this Contract or impose other penalties as specified in this Contract.

  • Quality Management Grantee will: 1. comply with quality management requirements as directed by the System Agency. 2. develop and implement a Quality Management Plan (QMP) that conforms with 25 TAC § 448.504 and make the QMP available to System Agency upon request. The QMP must be developed no later than the end of the first quarter of the Contract term. 3. update and revise the QMP each biennium or sooner, if necessary. Xxxxxxx’s governing body will review and approve the initial QMP, within the first quarter of the Contract term, and each updated and revised QMP thereafter. The QMP must describe Xxxxxxx’s methods to measure, assess, and improve - i. Implementation of evidence-based practices, programs and research-based approaches to service delivery; ii. Client/participant satisfaction with the services provided by Xxxxxxx; iii. Service capacity and access to services; iv. Client/participant continuum of care; and v. Accuracy of data reported to the state. 4. participate in continuous quality improvement (CQI) activities as defined and scheduled by the state including, but not limited to data verification, performing self-reviews; submitting self-review results and supporting documentation for the state’s desk reviews; and participating in the state’s onsite or desk reviews. 5. submit plan of improvement or corrective action plan and supporting documentation as requested by System Agency. 6. participate in and actively pursue CQI activities that support performance and outcomes improvement. 7. respond to consultation recommendations by System Agency, which may include, but are not limited to the following: i. Staff training; ii. Self-monitoring activities guided by System Agency, including use of quality management tools to self-identify compliance issues; and iii. Monitoring of performance reports in the System Agency electronic clinical management system.

  • Quality Management System Supplier hereby undertakes, warrants and confirms, and will ensue same for its subcontractors, to remain certified in accordance with ISO 9001 standard or equivalent. At any time during the term of this Agreement, the Supplier shall, if so instructed by ISR, provide evidence of such certifications. In any event, Supplier must notify ISR, in writing, in the event said certification is suspended and/or canceled and/or not continued.

  • Training and Orientation (a) No employee shall be required to work on any job or operate any piece of equipment until he/she has received proper training and instruction. (b) The Employer shall provide sufficient and adequate training and/or orientation to any employee working in a new or unfamiliar work area or position.

  • Quality Specifications SANMINA-SCI shall comply with the quality specifications set forth in its Quality Manual, incorporated by reference herein, a copy of which is available from SANMINA-SCI upon request.

  • Training and Professional Development 11.1 The Employer will develop and maintain an employee training and development plan and provide such plan to the Union upon request. Staff training is intended to provide an opportunity for classified staff employees for training sponsored by the University Training and Development and the UW Medical Centers Organizational Development and Training. Education/Professional Leave is intended to facilitate employee access to continuing education opportunities. Training and educational/professional leave may be used for the purpose of improving job performance, maintaining and increasing proficiency, preparing staff for greater responsibility, or increasing promotional opportunities within the framework of staff positions available at the University. 11.2 Any release time for training for employees accepted for such classes shall be in accordance with the Executive Order (currently No. 52) governing this matter. In the event that two or more employees request the same training period and supervision must limit the number of persons who may participate at one time due to work requirements, the selection will be made on a mutually agreeable basis within the department. 11.3 The training program is a proper subject for discussion by either departmental or University-wide Joint Union/Management Committees. 11.4 If the Employer requires an employee to receive training, reimbursement will be provided in accordance with the University travel rules. Employee attendance at Employer required training, either during or outside working hours, will be considered time worked and compensated in accordance with the provisions of this Agreement. 11.5 Employee attendance at training not required by the Employer and not covered by Executive Order 52, either on approved leave from or outside of working hours, will be voluntary and not considered time worked.
