Routine Operations. City, at its sole cost and expense, shall schedule and perform Fiber Optic Infrastructure alterations, and routine operations, maintenance and repairs. City shall identify the time, location, and nature of each alteration or maintenance and repair job potentially affecting the Leased Infrastructure and/or Lessee’s Infrastructure, and notify Lessee's Representative, via E-mail or facsimile transmission, at the earliest possible time but not less than 96 hours prior to the scheduled time.

Routine Operations. Operator shall perform or cause to be performed duties that include all day-to-day activities relating to the operation and management of the Properties with the objectives of optimizing production, maintaining the associated oil and gas leases, extending the productive lives of the Properties, maximizing economic reserve recovery, and minimizing expenses (collectively, “Routine Operations”), including:
(a) supervision of daily operations;
(b) engagement of contract pumpers and other contractors, drilling contractors, service companies, drilling consultants, geologists, reserve engineers, completion consultants, regulatory consultants, legal and land consultants;
(c) review of reservoir and well production performance and operating expenses, including the performance of studies to develop cost reduction measures, alternative solutions to recurring problems, production improvements, and methods of early detection of problems to the extent requested or approved by Company;
(d) preparation of engineering, planning, and cost estimates for operations to be conducted on the Properties;
(e) coordination of monthly oil and gas production information with Company for marketing purposes;
(f) handling of oil and gas production, and delivery thereof to purchasers, pipelines, tanks and/or other facilities; and
(g) otherwise the performance of such operations on the Properties as are necessary or appropriate consistent with the standard of the reasonably prudent operator.
Routine Operations. After an uplink has successfully completed a UAT and has established nominal operating levels, it is not necessary to contact STC for routine operations. The Licensee is solely responsible for proper operation of the earth uplink terminal. If the transmitting chain is changed in any way that might affect the uplink's ability to operate within the specified operating parameters, STC should be contacted and the uplink's performance re-evaluated. The STC will assist Licensees in the determination of proper parameters upon request.
Routine Operations. Service Provider shall act for and on behalf of Owner with respect to routine day-to-day administration and management of the Assets. Technical Advice. Upon request, furnish qualified geologists, geophysicists, and petroleum engineers currently on Service Provider’s staff or Third Party consultants to evaluate and analyze the results of any drilling, testing, logging, or other operations on any lands constituting part of the Assets or pooled, unitized, or communitized with such land, advise Owner with respect thereto, and recommend for or against other operations based thereon. Regulatory Compliance. Prepare, apply for, submit, file, receive, hold, use, abandon, and/or relinquish, as appropriate, all routine, non-tax registrations, permits, reports, statements, certificates, applications, and filings with Governmental Authorities and other Persons that are contemplated by, or are required in connection with, the activities described in the Development Plan and Budget or are required by applicable law, rules, regulations, or ordinances, in connection with the Assets, including, without limitation, drilling permits, and production reports. In the case of any of the foregoing activities that must be performed by Owner directly, Service Provider shall notify Owner of such obligation and assist Owner in such performance. Marketing. Upon the request of Owner, assist Owner in producing, treating, storing, transporting, and marketing production attributable to any Asset, and collecting the proceeds thereof, including balancing receivables; solicit, negotiate, and receive offers to purchase such production; recommend acceptance or rejection of such offers; furnish to Owner following receipt by Service Provider proposed purchase contracts and division or transfer orders for execution; recommend actions with respect to production, treatment, storage, and transportation of such production; and carry out Owner’s instructions with respect to the foregoing.
Routine Operations. The Professional Learning Advisory Council shall act as one group and not as individuals. All action must be the decision of the group. Routine Operations. Field Operator will conduct all routine field operations for the Facilities, and shall procure and furnish all materials, equipment, services, supplies and labor necessary for the routine, prudent, safe and environmentally sensitive operation, maintenance, engineering and construction of the Facilities and the warehousing and security thereof, including, without limitation, the following:
(i) Maintain and operate flow and pressure control, monitoring and over-pressure protection;
(ii) Maintain and operate all measurement in accordance with the requirements in Exhibit “B” attached hereto;
(iii) Maintain pipeline integrity systems including performance of pipeline coating maintenance (as required) and maintenance and operation of cathodic protection systems;
(iv) Periodic testing, calibration, adjustment and external and internal inspection so as to keep the Facilities in good working order;
(v) Routine equipment repair, reconditioning, overhaul and replacement so as to keep the Facilities in good working order and maintain the Premises;
(vi) Select and engage third party personnel as required to perform the construction, operation, and maintenance of the Facilities subject to Section 2.2;
(vii) Obtain and keep in force and effect, in the name of Owner, all permits and make all operation, environmental and safety regulatory filings and maintain records thereof as required by the Subject Laws (hereafter defined);
(viii) Acquire and maintain title to the rights-of-way and permits, associated records and files relating to same;
(ix) Create and maintain information systems with respect to permits, regulatory filings and rights-of-way so that matters such as renewals, expenditures, terminations, limitations on assignments and notification requirements can be tracked, maintained and complied with in accordance with applicable terms; and
(x) Reject and refuse to carry in the Facilities any gaseous or other materials that do not meet the quality specifications of the Owner.
Routine Operations. As to the Properties it now operates, Seller shall continue to operate the same until the Closing Date, when such operation shall be turned over to, and shall become the responsibility of, Buyer; provided, however, Buyer shall bear all costs thereof accruing after the Effective Date in accordance with other provisions of this Agreement.
