RTI. No Loan Party shall, nor shall it permit any Subsidiary to, permit RTI to own any assets, have any liabilities or conduct any business, and not withstanding anything in this Agreement, Parent shall be permitted to liquidate or dissolve RTI.
RTI. Cross border strategy meeting: Act | East supported MOH to attend a cross border strategic planning meeting in Eldoret, Kenya from 11–12 April 2022. The meeting was attended by Senior MOH Officials, technical and political district leaders, and partners supporting trachoma elimination in the region. This meeting reviewed the region’s trachoma situation, action points from the FY21 cross-border meeting that took place in Mbale, and the new Trachoma Expert Committee (TEC) recommendations. The highlight of the meeting is that both countries agreed to have joint MDA launch on 15 June 2022 in Turkana region of Kenya. • Data Quality Assessment (DQA): Act | East also supported MOH to conduct a DQA in Moroto District from 25 April to 4 May 2022. Act | East and MOH staff conducted interviews at national, district, subcounty, parish, and community level to assess data systems and gaps that affect the quality NTD data. The team also conducted data verification using standard tools to establish the variance in data captured and the reasons for variance. Preliminary recommendations include the necessity for enhanced supervision for data verification, early MDA registration, and use of EDC where possible. Act | East and MOH staff will discuss these and other findings during upcoming MDA micro-planning meetings.

RTI. 22.1 Subject to a referral to the dispute resolution procedure referred to in section 11, any appeal to an Arbitrator under the dispute resolution procedure and subject to section 22.2, if an Excessive Toll Debt has not been paid in full within 120 days of the date that a Toll payment forming part of the Excessive Toll Debt became due, then TransLink may at any time thereafter: (a) if a Transponder has been issued to you, cancel the Transponder without refunding the Security Deposit; (b) in respect of any amount referred to in section 21.2 that is outstanding and any other subsequent Toll payment or other amount that becomes outstanding which in the aggregate equals or exceeds the Excessive Toll Debt (such amounts collectively in this section called the “Outstanding Amounts”), request ICBC to exercise the rights and remedies available under section 26(1)(f) and section 26(2)(d) [refusal to issue licences] of the Motor Vehicle Act (British Columbia). For the purpose of this paragraph (b), “Outstanding Amounts” means any amount which is overdue more than 120 days in combination with any other overdue amount, whether or not overdue by 120 days that in the aggregate is equal to or greater than the Excessive Toll Debt. For example, if there is an amount of $20 outstanding for more than 120 days and subsequently a Toll for $10 is not paid within the applicable payment period, the aggregate Outstanding Amount of $30 entitles TransLink to request ICBC to exercise on behalf of TransLink the remedies under sections 26.(1)(f) and 26.(2)(d) of the Motor Vehicle Act (British Columbia); and
RTI. Bi-annual Trachoma MDA Implementation: The MOH, with technical and financial support from Act | East, conducted bi-annual trachoma MDA in Nabilatuk and Moroto districts in partnership with the government of Kenya’s Turkana County. The MDA included enhanced supervision by both MOH and RTI, use of the supervisor’s coverage tool, microplanning with districts and Kraals leaders, improved social mobilization with mobile vans and speakers announcing importance of MDA and details. Health workers, government offices, and markets were used in hard-to-reach areas and urban and peri-urban populations. In coordination with Turkana County in Moroto and Napak districts, we targeted the Turkana kraals that migrate into Uganda in search of water and pastures for their animals. Over 5000 Turkana pastoralists were treated for trachoma over the course of 5 days. • Summarized and shared training content on integrating GESI in MDA and an accompanying facilitator's guide on two practical exercises for use during the district and sub-county MDA supervisors' training. Copies of the same were also shared with the sub-county supervisors in Moroto and Nabilatuk Districts for use when training parish supervisors and when supervising VHT/CMD training. • Trained district and sub-county supervisors’ on GESI integration in MDA in Moroto and Nabilatuk districts. A total of 25 people took part in the Moroto training. Training participants were updated on Moroto and Nabilatuk specific barriers to MDA identified through the GESI behavior change activity in the two districts. • Supervised treatment in Turkana and Karamajong kraals and watering points in support of MDA in Moroto in Nabilatuk districts. We also conducted training and supervised treatment in Nabwal Sub- County of Napak District where a large number of migrant farmers from Nabilatuk District spend a lot of time. • Introduced the GESI behavior change activity in Nakapiripirit District to a total of 21 district stakeholders. Nakapiripirit’s previous MDA data was reviewed and four villages from three sub- counties were selected for implementing the GESI behavior change activity. An action plan on how to proceed with the behavior change activity start-up tasks was agreed at the end of the meeting. • Held check-in meetings with root agents and behavior change teams in seven sub-counties of Nabilatuk and Amudat districts.   • Wellness i. To support the statewide goal for a healthy and productive workforce, employees are encouraged to participate in a Well-Being Assessment survey. Employees will be granted work time and may use a state computer to complete the survey. ii. The Coalition of Unions agrees to partner with the Employer to educate their members on the wellness program and encourage participation. Eligible, enrolled subscribers who register for the Smart Health Program and complete the Well-Being Assessment will be eligible to receive a twenty-five dollar ($25) gift certificate. In addition, eligible, enrolled subscribers shall have the option to earn an annual one hundred twenty-five dollars ($125.00) or more wellness incentive in the form of reduction in deductible or deposit into the Health Savings Account upon successful completion of required Smart Health Program activities.   • Distributor The Trust hereby appoints the Distributor as general distributor of shares of beneficial interest (“Series shares”) of the Trust’s WCM Funds series (the “Series”) during the term of this Agreement. The Trust reserves the right, however, to refuse at any time or times to sell any Series shares hereunder for any reason deemed adequate by the Board of Trustees of the Trust.

  • Manufacturing and Supply (a) Depomed shall supply Product for use in conducting Depomed’s development activities for Product in the Field and in the Territory as set forth in Exhibit D. (b) During the four-year period beginning on the Effective Date (the “Supply Period”), Depomed shall supply and package (or have supplied and packaged) Product pursuant to this Section 4.8. Depomed will use commercially reasonable efforts to enter into a long-term Product supply agreement with [***] days after the Effective Date (the “Depomed Supply Agreement”) that will be freely assignable to Solvay or its Affiliates, successors or assigns at any time.
