Sales Channels. The Service Provider (and its Subsidiaries) shall be able to decide on the type of method for sales of products (including reselling, joint bids, sub-contracting, consortium), it being agreed that whenever the chosen method for sales requires the transfer of a margin, such margin will be charged according to the provisions of Section 2 of Annex 1. The Parties and their local subsidiaries shall be free to agree and execute necessary agreements to govern such sales.
Sales Channels. In the event that any third party -------------- sales channel (e.g., Intellysis) facilitates the participation of any Level One or Level Two service corporate client, then the parties agree to renegotiate (and equitably adjust) the terms of consideration set forth in Schedule I hereto to take into consideration any commission payment which may be due to such third party sales channel.
Sales Channels. BBC is entitled to produce, package, market, advertise, sell and distribute Licensed Products to individual consumers, retailers, wholesalers, distributors and institutional accounts in and through all media and distribution channels. The foregoing notwithstanding, BBC shall not distribute Licensed Products to weight loss centers (other than the Centres) without the prior approval of JC. BBC's distribution of Licensed Products to the Centres shall be permitted as set forth in Section 6.6.
Sales Channels. Company will use commercially reasonable efforts to select appropriate sales channels to sell Service Items, but makes no representation that a given Service Item will sell, or that the channel(s) selected will yield the highest possible sales price. Company has no liability with respect to sales channel selection, or the price at which a sale is made, absent willful misconduct on the part of Co mpany.
Sales Channels. Người Việt Shop defines sales channel as follow:
(a) Người Việt Shop Direct: Sales to end-user/consumers from Người Việt Sales counter at Người Việt Daily News, Người Việt Online Store at Xxxxxxxxxxxxx.xxx, Người Việt Online at Xxxxx-Xxxx.xxx, Người Việt Shop Seller Store on Xxxxxx.xxx.
Sales Channels. Natura’s products may be sold by Distributor only through Distributor’s retail stores, clinics, or websites. Under no circumstances shall Distributor sell Natura’s products through the websites or retail stores of any third parties such as Amazon, eBay, Walmart or other like e-commerce sites. Distributor shall not sell wholesale or by consignment through any other distributors or brokerage.
Sales Channels. As a Dealer, each Party will only allow its Representatives, which must be employees of such Party, to sell Products of its Primary Party through the: (a) direct-to-home sales channel; (b) retail sales channel; and (iii) inside sales channel, in each case subject to the requirements set out in this Section 3. Neither Party is permitted to use sub-dealers and subcontractors in connection with reselling Products of its Primary Party. For the avoidance of doubt, there is no restriction on selling a Party’s own Primary Products through any sales channel or using any sub-dealers, subcontractors or distributors in connection therewith.
Sales Channels. Marketeer may request access to sell and deliver Items via various services provided by CaReady Health tools: Marketplace, Non-Delivery, and Marketeer Managed Delivery (each, a "Sales Channel" described in more detail below). By electing to use a Sales Channel, Marketeer agrees to accept any relevant Sales Channel Addenda as follows:
i) MARKETPLACE: Marketeer may sell Items/services through the "Marketplace Sales/bookings Channel," whereby Marketeer’s Items are presented in the CaReady Health Web portal or App to Customers who access and request on-demand delivery services provided by Delivery People as defined herein.
Sales Channels. Merchant may request access to sell and deliver Items via various services provided by Euforia Singapore: Marketplace, Non-Delivery, and Merchant Managed Delivery (each, a “Sales Channel” described in more detail below). By electing to use a Sales Channel, Xxxxxxxx agrees to accept any relevant Sales Channel Addenda as follows:
i) MARKETPLACE: Merchant may sell Items through the “Marketplace Sales Channel,” whereby Merchant’s Items are presented in the DaBaoNow SG Website / App to Customers who access and request on- demand delivery services provided by Delivery People as defined herein.
ii) NON-DELIVERY: Merchant may sell Items through the “Non-Delivery Sales Channel,” whereby Merchant’s Items are presented on the DaBaoNow SG Website / App to Customers for pick-up at Merchant’s Location (i.e., without the use of a Delivery Person). For the avoidance of doubt, the provisions relating to Delivery People in the Terms will not apply to the sale of Items through this Non-Delivery Sales Channel.
iii) MERCHANT MANAGED DELIVERY: Merchant may sell Items through the “Merchant Managed Delivery Channel,” whereby Xxxxxxxx’s Items are presented on the DaBaoNow SG Website / App to Customers who access and request on-demand delivery services provided by Merchant Managed Delivery Staff (i.e., employees, contractors, workers or agents of Merchant who provide delivery services on Merchant’s behalf, arranged independently of Euforia Singapore). Additional Merchant Managed Delivery Sales Channel Addendum terms are listed at the end of this agreement.
Sales Channels. The Parties currently contemplate that the JV Companies will not build direct sales forces but will utilize the established sales forces and networks of the Bunge Group, or sales personnel of the Solazyme Group, on the terms set forth below and in the Manufacturing and Supply Agreements and the Sales Affiliate License Agreements. For the avoidance of doubt, no JV Company may make any sales except through a primary or secondary sales channel as described in this Section 7.5 or as otherwise approved in writing by the Bunge Group and the Solazyme Group. No Sales Affiliate or Brazil Affiliate shall sell Products to a customer with knowledge that such Product is to be used outside of the fields or territory authorized in this Agreement and the applicable Manufacturing and Supply Agreement and Sales Affiliate License Agreement. * Certain information in this document has been omitted and filed separately with the Securities and Exchange Commission. Confidential treatment has been requested with respect to the omitted portions.
(a) The Bunge Group will be the sole primary sales channel for * Products for the Food Field, for * Products for the Food Field and the Feed Field and, provided it meets the Conditions Precedent (as defined below) by *, for * Products for the Food Field and the Feed Field (the “Bunge Primary Fields”). As such, the Bunge Group (i) will make all marketing and sales decisions for Products in the Bunge Primary Fields, including each decision to approach a potential customer or to consummate an individual sale (except with prior authorization as contemplated by (ii)) and (ii) must provide prior consent before the Solazyme Group or any other authorized secondary sales channel may approach a potential customer or consummate a sale of a Product in the Bunge Primary Field (it being understood that such consent may be provided on a blanket basis for a particular customer or group of customers). Such products will be cobranded at the point of sale in accordance with guidelines agreed between BGI and Solazyme (as may be updated from time to time). Notwithstanding the foregoing, the Bunge Group will keep the Solazyme Group apprised of significant marketing and sales decisions for such products for the Bunge Primary Fields and will have periodic meetings with the Solazyme Group regarding the same and will consider any feedback or suggestions members of the Solazyme Group have in regard to such marketing and sales.
