Scope and goals. The foundation for collaboration as specified in this QAA is sustainable, comprehensive supplier quality capability based on an effective management system. This Quality Assurance Agreement applies to suppliers who provide drawing parts, suppliers who provide or produce substances, components or auxiliary and operating materials for production purposes, if they affect quality. It also applies to suppliers who produce according to our specifications, to suppliers who buy and sell goods, and to dealers/traders. It is an integral part of the following Agreements: ▪ the applicable Framework Supply Contract ▪ the applicable Individual Supply Contract ▪ the General Terms and Conditions of Purchase The Quality Assurance Agreement is valid upon signature, as long as deliveries are made under the individual supply contracts or until a follow-up quality assurance agreement is entered into with KACO. This Quality Assurance Agreement and all related agreements have the status of customer re- quirements as defined by the IATF 16949 and VDA/AIAG standards. Unless otherwise stated in this document, the terms used here shall have the meaning that is defined in the relevant regula- tions. The quality of our products and the satisfaction of our customers have the highest priority in our company, a supplier to the automotive industry. Purchased products also contribute significantly. It is therefore essential that all products that are delivered to us be manufactured with processes that meet the highest standards and undergo constant improvements in productivity and quality performance. To ensure that Supplier products maintain consistently high quality, technical and organizational minimum requirements for the Supplier’s management system are defined below. This Quality Assurance Agreement shall become part of all contracts concluded with the Supplier. The Quality Assurance Agreement also applies to all contracts concluded between KACO Group companies and the Supplier, as well as companies affiliated to the Supplier. Companies affiliated to a party are all companies which exercise a controlling influence over the party or over which the party exercises a controlling influence. A controlling influence is presumed to exist when one entity can directly or indirectly influence the management and policies of the other company, regardless of whether this occurs through majority ownership, majority voting or otherwise.

Scope and goals. This certification program, adopted by the Biodegradable Products Institute (“BPI”) and the United States Composting Council (“USCC”) and entitled “Certification Program for Products Made of Compostable Plastics” (“Certification Program”), applies to plastic and polymer products for which an application for certification is made and approved and for which a license to mark such products with the Logo is sought and granted. BPI shall administer the Certification Program on behalf of BPI and the USCC. Administrative tasks to be carried out by BPI include but are not limited to the maintenance of contracts, collection of fees, monitoring of Logo usage, and promotion and educational efforts. The USCC shall be a sponsor of the Certification Program and assist with its promotion. The goal of the Certification Program is to identify plastic products that will compost satisfactorily in a wide array of municipal or commercial composting facilities operated in accordance with best composting management practices (including but not limited to the Compost Facility Operating Guide ( U. S. Composting Council, 1994 and 1997), as may be amended from time to time; the cover, title page, table of contents, list of figures, and initial pages of appendices of the current edition are attached as Appendix A). The Certification Program also is intended to educate consumers, composters and others as to the appropriate uses and recovery avenues for such compostable plastic products. The Certification Program is limited to an assessment of whether a product presented for review by an applicant will biodegrade and disintegrate in accordance with standard D- 6400-99 of the American Society for Testing and Materials (“ASTM”) entitled “Standard Specifications for Compostable Plastics,” provided that to the extent products certified under this program are not composted under best composting management practices, the certification and logo shall be deemed inapplicable. A party whose Product is deemed to conform to ASTM D-6400-99 and otherwise is in compliance with these Program Rules shall be authorized to use the Logo on such Product, subject to the terms and conditions set in a Logo Use Agreement between such party and BPI. The Certification Program is not, and is not intended to be, a substitute for any federal, state or local regulations or other legal requirements that may apply to the sampling, testing, labeling, marketing, or use of compost products. Contractor is, however, encouraged to make every good faith effort to promote and assist the participation of MWBEs on this Contract for the provision of services and materials.
