Suspending Services i) Notice – Board may, by written notice to Consultant, suspend at any time the performance of any of the Services.
Suspending Services. 10.1 We may suspend any or all of the Service(s) immediately without notice if: a. you have broken this agreement (including additional policies, like the 'acceptable use policy' (and in such an instance we reserve the right to reduce the level of Service(s) affected); b. you exceed any allowance applicable to your Service(s) (and in such an instance we reserve the right to reduce the level of Service(s) affected); c. maintenance, repairs or improvements to any part of the Service(s) or the system need to be carried out; d. we have to do so by law or in line with a third party contract; e. you go over any credit limit on your account; f. we have reason to believe that you have provided us with false, inaccurate or misleading information either for the purpose of obtaining the Service(s) and/or the equipment or at any time during the provision of the Service(s); g. we believe that you or another person at your home have committed, or may be committing, any fraud against us, and/or any other person or organisation by using the Service(s) or Equipment (or both); h. you or anyone you authorise to deal with us on your behalf acts in a way towards our staff or agents which we reasonably consider to be inappropriate; or i. in our reasonable opinion it is necessary to do so. 10.2 If the Service(s) is/are suspended because you have broken this agreement or if paragraphs 10.1(b), (e), (f), (g) or (h) apply, we may make a charge to reflect our costs in connection with suspending and starting the Service(s) again. In normal circumstances, you must pay this charge before you can use the Service(s) again. You may also be liable for all charges for Service(s) during this period of suspension. 10.3 If the Service(s) is/are reduced because paragraphs 10.1(a) or (b) apply, then during any period of reduction, you will remain liable for the payment of your original level of charges. 10.4 For your and our protection we can suspend the Service(s) if the number of calls or charges for calls made by you has increased to such an extent that it appears, in our reasonable opinion, that the Service(s) are not being used in a manner consistent with your previous use. We will make reasonable efforts to contact you before suspending the Service(s) but we are not liable for any loss you may suffer through this suspension. We will not provide the Service(s) again until we are satisfied that you know of the increased usage and are aware of the consequences of that increased usage. We may ...
Suspending Services. Board may, by written notice to Consultant, suspend at any time the performance of any of the Services. Upon receipt of a suspension notice, Consultant must, unless the notice requires otherwise, (a) immediately discontinue suspended Services on the date and to the extent specified in the notice; (b) place no further orders or Subcontracts for items of personal property or facilities with respect to suspended Services, other than to the extent required in the notice; (c) take any other reasonable steps to minimize Costs associated with the suspension; (d) follow any other reasonable directives from Board concerning the suspended Services.
Suspending Services. 9.1 Globalinternet shall be entitled forthwith and with prior notice - where possible - to suspend the provision of part or all of the Services and (where applicable) to disconnect, switch off, block access to and/or remove CPE, including its data and / or cables, if: ∙ Globalinternet or its Local Supplier is requested to do so by a governmental or regulatory authority; ∙ the quality or availability of Service(s) provided by Globalinternet to other customers is, or is threatened to be, adversely affected by the conduct of the Customer, End User or by its equipment; ∙ the Customer or End User breaches the Acceptable Use Policy. Customer shall be obliged to pay all Fees payable throughout the period of suspension. The suspension be lifted within three (3) Business Days after the grounds giving rise to the suspension have ceased to exist. Globalinternet shall be entitled to charge reconnection fees incurred by Globalinternet when lifting the suspension and resuming the provision of the Service(s).
Suspending Services. 11.1 Reasons to suspend the services because of our actions. We are entitled to suspend services to you: a) to deal with technical problems or make minor technical changes; b) to update the services to reflect changes in relevant laws and regulatory requirements and/or codes c) to make changes to the services as requested by you or notified by us to you. 11.2 We will do our best to ensure that any necessary maintenance and support work is carried out overnight and also to give you reasonable warning by email or SMS, prior to such work being carried out. However you acknowledge that this may not always be possible if the problem is urgent or an emergency. 11.3 Reasons to suspend the services because of your actions. We are entitled to suspend services to you: a) if you fail to pay any amount due under our payment terms on the due date for payment under the contract; b) if you misuse our network or do not comply with our Acceptable Use Policy or any corporate policies c) if you breach any term of the contract (including any provisions under these Terms and Conditions), or any laws, regulations and/or codes of practice which apply to your use of our network and/or services. 11.4 If we suspend the services because of your actions. You must still pay for the services during the period of suspension and we may charge you for re-activating the services to you at the end of the period of suspension.
Suspending ServicesThe Company may suspend services or terminate the Agreement in the event that any invoice has not been paid within 45 days of the date of the Invoice.
Suspending Services. If the Client shall default in any payment due to PDSVISION or if its financial condition shall at any time seem to PDSVISION inadequate to warrant further services, PDSVISION shall have at its sole discretion a right to cancel any delivery and suspend the performance of any services under this Agreement to the Client until payment is made or assurances required by PDSVISION are received.
Suspending Services. Provider shall be entitled forthwith and without prior notice to suspend the provision of part or all of the Services and (where applicable) to disconnect, switch off, block access to and/or remove RoamSignal’s Equipment, including its data and/or cables, in the following occasions: i. if and in so far as Provider is requested to do so by a governmental or regulatory authority, is required to do so to comply with statutory or regulatory requirements (or enforcement thereof) or is required to do so pursuant to an order of a court; ii. Customer fails to comply with legal or regulatory requirements with respect to the use of Services; iii. if the quality or availability of Service(s) provided by Provider to other customers is or is threatened to be, adversely affected by the conduct of Customer or its Personnel or by its equipment or cables; iv. if the safety of persons or property is (or is threatened to be) adversely affected by the conduct of Customer or its Personnel; v. if Customer or its Personnel breach the Acceptable Use Policy; and vi. in case of an emergency. Customer shall be obliged to pay all Fees payable throughout the period of suspension as referred to this Clause (except for Sub-Clause i).
Suspending Services. 1. We may suspend or reduce any of the services, immediately without notice for as long as the suspension event persists if: 1. you have broken this agreement in a serious and non-minor way (and in such an instance we may also reduce the level of services affected); 2. you exceed any allowance applicable to your services (and in such an instance we may also reduce the level of services affected); 3. you go over any credit limit on your account or you cancel your direct debit; 4. we have reason to believe that you have provided us with false, inaccurate or misleading information either for the purpose of obtaining the services, SIM and/or the equipment or at any time during the provision of the services; 5. we believe that you or another person at your home have committed, or may be committing, any fraud against us, and/or any other person or organisation by using the services, SIM and/ or equipment; 6. you or anyone you authorise to deal with us on your behalf acts in a way towards our staff or agents which we reasonably consider to be inappropriate; 7. you have broken any of your obligations in Section R; 8. you have failed to notify us that the SIM is lost or stolen; or

  • Ordering Services a) By submitting an Order to Megaport: 1. Customer warrants that the information Customer provides to Megaport in an Order is true and correct and that Megaport may rely upon it; and 2. Customer is making a binding offer to acquire the Services described in the Order on the terms set out in this Agreement, which Megaport may accept at its discretion. An agreement to supply a Service is formed on the date Megaport provisions that Service and charges apply from the Billing Commencement Date.

  • Monitoring Services IDT staff shall, using methods that include face-to-face and other contacts with the member, monitor the services a member receives. This monitoring shall ensure that: a. The member receives the services and supports authorized, arranged for and coordinated by the IDT staff; b. The services and supports identified in the MCP as being provided by natural and community supports are being provided; and c. The quality of the services and supports received is adequate and still necessary to continue to meet the needs and preferences of the member and support the member’s outcomes identified in the MCP.

  • Training Services Training Services may include pre-packaged training Products, and/or the development or customization of training programs as requested, including Live Training, Computer Based/Multi-Media Training which encompasses Internet-Delivered Training, and/or Video Based Training.

  • Program Services a) Personalized Care Practice agrees to provide to Program Member certain enhancements and amenities to professional medical services to be rendered by Personalized Care Practice to Program Member, as further described in Schedule 1 to these Terms. Upon prior written notice to Program Member, Personalized Care Practice may add or modify the Program Services set forth in Schedule 1, as reasonably necessary, and subject to such additional fees and/or terms and conditions as may be reasonably necessary. b) Program Member acknowledges that the Program Services are services that are not covered services under any insurance contract to which Program Member may be a party, including, without limitation, Medicare, and are not reimbursable by Program Member’s insurer, health plan or any governmental entity, including Medicare. Program Member agrees to bear sole financial responsibility for the Member Amenities Fee and agrees not to submit to Program Member’s insurer, health plan or governmental entity any xxxx, invoice or claim for payment or reimbursement of such Member Amenities Fee. c) Personalized Care Practice or its designated affiliate will separately charge Program Member or Program Member’s insurer, health plan or governmental entity for medical, clinical, diagnostic or therapeutic services rendered by Personalized Care Practice or its designated affiliate to Program Member, and Program Member may seek payment or reimbursement from Program Member’s insurer or health plan for any such service to the extent covered by Program Member’s insurer, health plan or governmental entity. d) Program Member understands, agrees and covenants that this Agreement is a service contract, and not a contract for insurance.

  • Disaster Services In the event of a local, state, or federal emergency, including natural, man-made, criminal, terrorist, and/or bioterrorism events, declared as a state disaster by the Governor, or a federal disaster declared by the appropriate federal official, Grantee may be called upon to assist the System Agency in providing the following services: i. Community evacuation; ii. Health and medical assistance; iii. Assessment of health and medical needs; iv. Health surveillance; v. Medical care personnel; vi. Health and medical equipment and supplies; vii. Patient evacuation; viii. In-hospital care and hospital facility status; ix. Food, drug and medical device safety; x. Worker health and safety; xi. Mental health and substance abuse; xii. Public health information; xiii. Vector control and veterinary services; and xiv. Victim identification and mortuary services.

  • Offering Services The Manager shall manage and supervise: (i) the development of any offering of Shares that is qualified or registered with the Commission (an “Offering”), including the Company’s initial Offering pursuant to Regulation A, including the determination of the specific terms of the securities to be offered by the Company, preparation of all offering and related documents, and obtaining all required regulatory approvals of such documents; (ii) the preparation and approval of all marketing materials to be used by the Company or others relating to an Offering; (iii) the negotiation and coordination of the receipt, collection, processing, and acceptance of subscription agreements, commissions, and other administrative support functions; (iv) the creation and implementation of various technology and electronic communications related to an Offering; and (v) all other services related to an Offering.

  • Provider Services Charges for the following Services when ordered by a Physician for the treatment of an Injury or Illness.

  • Funding, Services and Reporting The HSP represents warrants and covenants that (a) the Funding is, and will continue to be, used only to provide the Services in accordance with the terms of this Agreement; (b) the Services are and will continue to be provided: by persons with the expertise, professional qualifications, licensing and skills necessary to complete their respective tasks; and in compliance with Applicable Law and Applicable Policy; and (c) every Report is accurate and in full compliance with the provisions of this Agreement, including any particular requirements applicable to the Report and any material change to a Report will be communicated to the Funder immediately.

  • Authorization to Perform Services The Consultant is not authorized to perform any services or incur any costs whatsoever under the terms of this Agreement until receipt of a written Notice to Proceed from the City.

  • Ongoing Services It is important to review every investment you hold and at regular intervals. At the time of, or prior to, our recommendation to you we will discuss our on-going service proposition. This is confirmed in our ‘service proposition and engagement’ document which will be sent to you separately from this agreement.
