THE LESSOR’S COVENANTS. Not to alter remove or conceal or permit or suffer to be altered removed or concealed any name plate or inscription intimating that any apparatus is the property of the Company.
THE LESSOR’S COVENANTS. The Lessor hereby covenants with the Lessee:
7.1. That the Lessor shall pay all rents, rates, assessments, impositions, including Government Land Rent and Municipal Rates which now are or at any time during the Term may be assessed or imposed on the Certificate of Title or the Property (including for the avoidance of doubt, in relation to any buildings, structures and/or fixtures constructed by the Lessor thereon) or any part thereof by the Government or Municipal local or other authority save for the express provisions to the contrary herein.
7.2. The Lessor shall assist the Lessee for the purpose of obtaining the necessary approvals, permits and registrations for the implementation of any construction and improvement works that the Lessee may seek to carry out on the Property.
THE LESSOR’S COVENANTS. 7.1 The Lessor shall not cause any interference with the Lessee’s right to receive continuous and uninterrupted passage of light at all times across the Gedu Site and/ or have access to the Gedu Site.
7.2 The Lessor shall, as promptly as possible, notify the Lessee of the occurrence of any event or the existence of any condition or circumstance that it becomes aware of, in relation to the Gedu Site, and that in the Lessor’s reasonable judgment, poses an imminent threat or hazard to the safety of the Gedu Site, public health or public safety.
7.3 The Lessor shall, upon request by the Lessee, grant to the Lessee easements and rights-of- way as are necessary for the Permitted Uses and as are necessary to install any Equipment or facilities necessary for the Project.
7.4 The Lessor shall reasonably cooperate with the Lessee, so that the Lessee can procure all permits and approvals for the Project, and operation, and maintenance of the Gedu Mining Farm, and meet its obligations under this Lease.
7.5 The Lessor agrees and undertakes that this Lease and all access rights to the Gedu Site shall run with the Gedu Site and shall survive any transfer, or assignment of the Gedu Site, to the extent permitted under this Lease. The Lessor shall give the Lessee at least six (6) months written notice prior to any transfer or assignment of all or a portion of the Gedu Site identifying the transferee, the portion of the Gedu Site to be transferred and the proposed date of transfer or assignment. In the event of transfer or assignment, of the Gedu Site, the Lessor shall cause the proposed transferee to execute prior to the proposed date of transfer an agreement identical in terms and conditions for the lease of the Gedu Site with the Lessee, for a term equal to the Term outstanding at the date of such transfer.
7.6 The Lessor shall not, directly or indirectly, cause, create, incur, assume or suffer to exist any mortgage, pledge, lien, charge, security interest, encumbrance or claim, on or with respect to the Gedu Site, except with the prior written consent of the Lessee.
7.7 The Lessor will not initiate or conduct activities that it knows, or is reasonably expected to know to cause damage, impair or otherwise adversely affect the Gedu Mining Farm or its functioning without the Lessee’s prior written consent, which consent shall not be unreasonably withheld or delayed.

THE LESSOR’S COVENANTS. The Lessor covenants to the Lessee as follows:
7.1 The Lessor owns the Leased Premises and has the right to lease the Leased Premises to the Lessor evidenced.
7.2 The Lessor agrees that the Lessee duly observing and performing the covenants herein contained may possess and peaceably enjoy the Leased Premises without any intervention from the Lessor or any third person acting on behalf of the Lessor, throughout the lease term and the renewal thereof.
7.3 Throughout the lease term, if the Lessor defaults on its obligations with any relevant lenders or mortgagors or any person who may or has rights or encumbrances against the Leased Premises in respect of the Leased Premises, the Lessor hereby agrees to indemnify the Lessee against forfeiture of the premises resulting from such default and shall compensate the Lessee for any loss or damage directly resulting from such forfeiture.
7.4 To facilitate the moving of the Lessee's property after the termination or expiration of the lease term, the Lessor grants to the Lessee the access to said Leased Premises within reasonable specified period without any written consent from the Lessor.
THE LESSOR’S COVENANTS. 7.1 The Lessor hereby covenants with the Lessee that (subject only as is hereinafter contained) it will observe and perform the obligations on its part set out in the Seventh Schedule hereto but the Lessor (here meaning Xxxx Xxxxxx Xxxxx & Xxxxxxxx Xxxxxxx Xxxxx) shall not be liable under their obligations contained in this Lease (other than obligations expressed to be personal to them) after they have disposed of the reversion to the Demised Premises under the Estate Lease or otherwise
THE LESSOR’S COVENANTS. The Lessor to the extent that these obligations agreed upon under this Lease Agreement may continue throughout the term of the Lease, and any renewal thereof, hereby covenants with the Lessee as follows:
i) The Lessor shall, for and during the period of the lease and any renewed terms of this lease, bear and pay all existing and future property taxes, water taxes and other taxes and increases thereof which are now or may at any time hereafter during the period of the lease, be assessed, charged or imposed in respect of the Premises or any part thereof. Any taxes, levies etc arising out of usership of the premise shall be paid by the Lessee including but not limited to service tax, lease tax etc.
ii) The Lessor shall be responsible for carrying out, at it’s cost, all structural repairs (including any leakages and seepages) to the Premises as well as the Fortius building as may be required. In the event the Lessor fails to carry out any such repairs as may be required, within 30 days the Lessee may to carry out such repairs. The Lessee on carrying out such repairs shall be entitled to either reimbursement of expenses incurred for such repairs or adjustments of the same towards the subsequent lease rent payable on producing the requisite vouchers of expenses.
iii) The Lessor shall not do anything or omit or suffer to be done anything whereby the Lease agreed to be granted is prejudicially affected.
iv) The Lessee shall be entitled to use and enjoy the common areas and facilities appurtenant to the Premises including the following:
a. Porch, Entrance Lobby and Common Passages;
b. Lifts/Pumps/Generators of the building.
c. Lift lobbies, staircase lobbies, terraces, stairs, basement, approach way to the building, circulation space including driveway surrounding the building
d. Any such utility space which the Lessee will share with the other occupants of the building. The Lessee shall be authorized to enter any common utility space / building (e.g. generator room etc.) only with the escort of a representative of the maintenance company / the Lessor.
v) The Lessor shall provide the required Wet riser, fire hydrant, sprinklers, Public announcement system and smoke detectors and all other safety equipment as per agreed specifications in the Common areas and within the Premises.

THE LESSOR’S COVENANTS. The Lessor hereby covenants with the Lessee that the Lessor will perform and observe the covenants set out in the Third Schedule hereto and to provide the services set out in the Second Schedule Part II.
THE LESSOR’S COVENANTS. The Lessor covenants with the Lessee:
5.1 that the Lessee paying all money due under this Lease and observing and performing the covenants conditions and provisions contained in this Lease to permit the Lessee peaceably and quietly to hold and enjoy the Premises without any interruption or disturbance from or by the Lessor or any person claiming under or in trust for the Lessor
5.2 if so reasonably required by the Lessee to enforce or to assist the Lessee in enforcing the observance and performance by the lessee or occupiers of the other units of the Building of the covenants and conditions contained in the leases of the other units of the Building so far as they affect the Demised Premises PROVIDED THAT the Lessee shall indemnify the Lessor against all proper and reasonable costs and expenses of such enforcement
5.3 subject to the Lessee paying all money due under this Lease to procure that the Building is insured and kept insured in the name of the Head Lessor against loss or damage by the Insured Risks. For the avoidance of doubt, the Lessor has no liability to insure anything contained or stored within the Demised Premises
5.4 to pay the Service Charge, Electricity Rent and Insurance Rent for any period during which the Lessee is not obliged to pay those sums by reason of the operation of clause 2.2 above
5.5 To comply fully with the tenant covenants in the Head Lease, save in so far as those covenants fall to be observed by the Lessee pursuant to this Lease, and indemnify the Lessee in respect of any breach or non observance thereof
THE LESSOR’S COVENANTS. Upon payment by the Lessee of the rents including and without restricting the generality of the foregoing the minimum rent, the additional rent, and any other charges hereunder set out in this Lease and upon observance and performance of all covenants, terms and conditions on the Lessee's part to be observed and performed, the Lessor hereby covenants with the Lessee:
(a) For quiet enjoyment for the term hereby demised without hindrance or interruption by the Lessor, or any other person or persons lawfully claiming by, through or under the Lessor.
(b) Subject to Article V, to cause to be paid from the sums paid by the Lessee all the realty taxes, all business taxes, if any, from time to time payable by the Lessor, levied or assessed against the Leased Premises.
THE LESSOR’S COVENANTS a. Upon the observance and performance of all the covenants, terms and conditions on the Lessee’s part to be observed and performed, the Lessee shall peaceably and quietly hold and enjoy the Property for the term hereby demised without hindrance or interruption by the Lessor or any other person or persons lawfully or equitably claiming by, through or under the Lessor, subject nevertheless, to the terms and conditions of this Lease.
b. Upon execution of this Lease, the Lessor covenants to allow the Lessee and its agents, contractors, suppliers and invitees of the Lessee to have access to the Leased Premises for the purposes of commencing construction of the Active Transportation trail.
c. The Lessor covenants to pay all taxes, levies, charges and assessments with respect to the Leased Premises as they become due.
