Transfer and Assignments. You may not grant, transfer or assign any of your rights to an account without our prior written consent. We are not required to accept, pass upon or recognize an attempted assignment of an account, including a savings account, or any interest in it.
Transfer and Assignments. 1. Transfers Initiated by the Board
Transfer and Assignments. Allegheny may transfer, convey, assign or otherwise dispose of, in whole or in part, its percentage interest in the Company to any person. No other Member of the Company may transfer, convey, assign or otherwise dispose of, in whole or in part, its percentage interests in the Company; provided, that MLIBK may transfer, convey, assign or otherwise dispose of its percentage interests in the Company as permitted by Section 5.18 of the Asset Contribution and Purchase Agreement. If any Member transfers all of its percentage interest in the Company pursuant to and in accordance with this Section 21, the transferee shall be admitted to the Company as a member of the Company upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of this Agreement, which instrument may be a counterpart signature page to this Agreement. Such admission shall be deemed effective immediately prior to the transfer and, immediately following such admission, the transferor Member shall cease to be a member of the Company. Notwithstanding anything in this Agreement to the contrary, any successor to a Member by merger or consolidation shall, without further act, take the place of such Member hereunder, and such merger or consolidation shall not constitute an assignment for purposes of this Agreement and the Company shall continue without dissolution.
Transfer and Assignments. PTV may at its own discretion involve subcontractors for the provision of the MSAS. Notwithstanding the terms of section 3.2, PTV may at its own discretion transfer the responsibilities to provide the MSAS to the VAR or take them over from the VAR.
Transfer and Assignments. (a) The Borrower shall not have the right to assign this Agreement or any of the Borrower's obligations hereunder, or any interest herein, to any other party unless such assignment has been consented to by Issuer pursuant to Issuer's rights set forth in the Redevelopment Agreement and by Senior Lender pursuant to the Senior Credit Facility.
Transfer and Assignments. The Independent Member may not transfer or assign its membership interest or any of its rights or responsibilities. A Member may not transfer or assign, in whole or in part, its membership interest without the express written consent of the Independent Member. In the event of a transfer or assignment of a Member's interest, the transferee shall be admitted to the Company upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of the provisions of this Agreement. Such admission shall be deemed effective immediately prior to the transfer, and immediately following such admission, the transferor Member shall cease to be a Member of the Company.
Transfer and Assignments. Any transfer or assignment of its interest in the Trust Estate (including the trust certificates) shall be subject to, and shall be effected in accordance with, the terms and provisions of Section 12.

A Member may not transfer or assign, in whole or in part, its membership interest without the express consent of the Independent Member; provided, however, that notwithstanding the foregoing, so long as any certificates, indebtedness or other obligations remain outstanding under any of the Transaction Documents, no Member may transfer or assign, in whole or in part, its membership interest unless the Rating Agency Condition is satisfied. In the event of a transfer or assignment of a Member’s interest, the transferee shall be admitted to the Company upon its execution of an instrument signifying its agreement to be bound by the terms and conditions of the provisions of this Agreement. Such admission shall be deemed effective immediately prior to the transfer, and immediately following such admission, the transferor Member shall cease to be a Member of the Company.
Transfer and Assignments. The Borrower hereby acknowledges and consents to the transfer and assignment by the Authority to the Trustee, pursuant to the terms of the Trust Agreement, of all of the Authority's rights and interest under the Loan Agreement, the Mortgage, the Mortgage Note and this Agreement, and acknowledge that upon such transfer and assignment the Trustee shall be entitled to all of the benefits and security thereof and hereof. The Authority acknowledges and consents to the transfer and assignment of the Borrower's interest in this Agreement and the other Collateral Documents in accordance with and subject to compliance with the terms of the Loan Agreement.
