Záruky. INSTITUTION and INVESTIGATOR represent and warrant that: ZDRAVOTNICKÉ ZAŘÍZENÍ a ZKOUŠEJÍCÍ prohlašují a zaručují následující:
2.1 INSTITUTION and INVESTIGATOR have the experience, capabilities and resources, including but not limited to: (a) sufficient personnel and equipment; and (b) sufficient patients which will be meeting enrollment criteria and will not a be screen failure (“ENROLLED SUBJECTS”), to efficiently and expeditiously perform the STUDY in a professional and competent manner, and will dedicate the necessary resources at all times to perform STUDY in such a manner. 14.2 Institution warrants that it and the Institution Parties shall comply with all Applicable Laws.
Záruky. Supplier shall provide Product(s), Service(s) and Deliverable(s) according to the Agreement, especially in terms of quantity, quality and finishing and guarantee their indefectible functionality.
Záruky. Aniž by byla dotčena obecná platnost oddílu 5.1, Centrum zaručuje, že zavede a zavedlo a bude udržovat a aktualizovat fyzické, administrativní a technické záruky a další bezpečnostní opatření uvedená v Příloze 3.
Záruky. Poskytovatel poskytuje CRO a společnosti [Xx xX] tyto záruky:
a. Veškeré informace, které Poskytovatel poskytl CRO nebo společnosti [Xx xX] v rámci prověrky due diligence provedené společností [Xx xX] v souvislosti s předcházením korupci jsou úplné a pravdivé.
b. Pokud se v průběhu trvání této Smlouvy změní jakákoli z odpovědí, které Poskytovatel poskytl o sobě, o jakékoli fyzické osobě uvedené v dotazníku nebo jejích Rodinných příslušnících (jak ▇▇ ▇▇▇▇▇ pojem vymezen v uvedeném dotazníku) v dotazníku CRO nebo společnosti [Xx xX] v rámci prověrky due diligence, Poskytovatel o ▇▇▇ informuje CRO.
c. V důsledku financování poskytnutého CRO nebo společností [Xx xX] na základě této Smlouvy neučiní Poskytovatel nic, co by zajistilo CRO nebo společnosti [Xx xX] neoprávněné získání nebo udržení obchodní příležitosti nebo získání neoprávněné obchodní výhody. Poskytovatel nepřijal a nepřijme žádnou platbu nebo hodnotu, pokud by v jejich důsledku CRO nebo společnost [Xx xX] neoprávněně získaly nebo si udržely obchodní příležitosti nebo získaly neoprávněnou obchodní výhodu. Poskytovatel přímo ani nepřímo nenabídl, neuhradil ani neschválil nabídku či úhradu žádné peněžní či jiné hodnoty ve snaze ovlivnit jakéhokoli Státního úředníka nebo jakoukoli jinou osobu, ani tak v budoucnu neučiní.
Záruky. Hlavný skúšajúci a inštitúcia zaručujú CRO a spoločnosti Pfizer nasledujúce:
a. Any information that Principal Investigator or Institution provided to CRO or Pfizer as part of CRO’s or Pfizer’s anti- corruption due-diligence process is complete and accurate.
a. Akékoľvek informácie, ktoré hlavný skúšajúci alebo inštitúcia poskytli CRO alebo spoločnosti Pfizer počas hĺbkovej protikorupčnej previerke (due diligence) vykonávanej CRO alebo spoločnosťou Pfizer, sú úplné a presné.
b. If any response that Principal Investigator or Institution provided on the CRO or Pfizer due- diligence questionnaire in regard to Principal Investigator or Institution, any individuals identified in the questionnaire, or the Family Relatives (as defined in the questionnaire) of those individuals changes during the term of this Agreement, Principal Investigator or Institution will notify CRO.
c. The funding provided by CRO or Pfizer under this Agreement will not cause Principal Investigator or Institution to do anything that would result in CRO or Pfizer improperly obtaining or retaining business or gaining any improper business advantage. d. Principal Investigator and Institution have not and will not accept any payment or anything of value that would result in CRO or Pfizer
