Common use of Miscellaneous Clause in Contracts

Miscellaneous. 19.1. Assignments and delegations of rights and duties of the Supplier under the contract made with LEONI shall be valid only with XXXXX’x written consent. If, contrary to the first sentence hereof, the Supplier assigns a receivable against LEONI to a third party without XXXXX’x consent, such assignment shall be nevertheless valid. However, LEONI may, at its option, make pay- ment with debt-discharging effect either to the Supplier or the third party. 19.2. The contractual language is German. The German version of the present Terms and Conditions shall have priority over the English version in case of contradictions in the content between the German and the English version. 19.3. In the event that any term of the present Terms and Conditions and the further agreements made hereunder should be or become void or invalid, the validity of the remaining provisions and the further agreements shall remain unaffected thereby.
