Agreement to Provide Services. Xxxxxxx Sachs hereby engages the Contract Underwriter, and the Contract Underwriter hereby agrees, to provide the following Services: (a) establish and maintain (or assist the Company in establishing and maintaining) relationships with owners of Contracts who are its customers or customers of other broker-dealers with whom it has entered into agreements to sell the Contracts (“Selling Dealers”); (b) provide Contract owners with “personal services” (within the meaning of NASD Conduct Rule 2830(b)(9)); (c) assist in the preparation of advertisements and other sales literature for the Contracts that describes or discusses the Funds; (d) provide sales compensation to representatives of the Contract Underwriter; (e) pay money to Selling Dealers for any of the foregoing purposes; and (f) perform any additional services primarily intended to result in the distribution of the Contracts and the sale of the Service Shares to the Company.
Agreement to Provide Services. Contractor agrees to provide the District with the services described in Exhibit A to this Contract. Payment for Work. No payments shall be made until this Agreement is fully executed by both parties. Contractor is responsible for providing appropriate documentation of wages for BOLI prevailing wage when necessary. Agreement to Provide Services. The County, by and through its Sheriff, agrees to provide certain law enforcement services for the City, within the City's corporate limits. "Law enforcement services" shall mean response to emergency calls for service, investigation/enforcement of violations of state statutes and certain city code violations, random patrols, regulation of traffic control within City limits, animal control services and shall include the quality of service customarily rendered by the Skamania County Sheriff's Office.
Agreement to Provide Services. In the event that (i) a Person commences a tender offer to become the beneficial owner, directly or indirectly, of securities of DPL or DP&L representing fifteen percent (15%) or more of the combined voting power of the then outstanding securities of DPL or DP&L, as the case may be, or (ii) a Change of Control occurs consisting of the entering into of an agreement referred to in item (ii) or (iii) of paragraph 2 above, you agree that you will perform services for the Company and that you will not voluntarily terminate your employment with the Company until the first to occur of the following: (i) the abandonment or termination of such tender offer or the transaction that is the subject of the agreement; or (ii) the occurrence of a Change of Control (other than the commencement of the tender offer or the entering into of an agreement referred to in item (ii) or (iii) of paragraph 2 above).
Agreement to Provide Services. Antero hereby agrees to provide, or cause to be provided to, the General Partner, the Partnership and the subsidiaries of the Partnership (other than Antero Midstream Partners LP (“Antero Midstream”) and its subsidiaries and Antero Midstream Partners GP LLC, the sole general partner of Antero Midstream) (collectively, subject to such exclusions, the “Partnership Group”) with certain corporate, general and administrative services as set forth on Exhibit A hereto (collectively, the “Services”). Antero shall provide, or cause to be provided to, the Partnership Group the Services in a manner consistent with the nature and quality of the services that Antero undertakes in the management of its own business and affairs.
Agreement to Provide Services. Antero hereby agrees to provide, or cause to be provided to, the Partnership and its subsidiaries (collectively, the “Partnership Group”) with certain centralized corporate, general and administrative services, such as accounting, audit, billing, business development, corporate record keeping, treasury services, cash management and banking, real property/land, legal, engineering, planning, budgeting, geology/geophysics, investor relations, risk management, information technology, insurance administration and claims processing, regulatory compliance and government relations, tax, payroll, human resources and environmental, health and safety, including without limitation permit filing, support for permit filing and maintenance (collectively, the “Services”). Antero shall provide, or cause to be provided to, the Partnership Group with such Services in a manner consistent in nature and quality to the services of such type that Antero performs in the management of its own business and affairs.
Agreement to Provide Services. Until such time as this Agreement is terminated as provided in Section 6.4, NRGY GP and NRGY hereby agree to provide the Partnership Group with such general and administrative services and management and operating services as may be necessary to manage and operate the business and affairs of the Partnership Group, including accounting, audit, business development, corporate record keeping, treasury services (including cash management), real property/land, legal, operations/engineering, geology/geophysics, investor relations, risk management, commercial/marketing, information technology, insurance, government relations/compliance, tax, payroll, human resources and environmental, health and safety (collectively, “Services”). The Services shall be consistent in nature and quality to the services of such type previously provided by NRGY GP and NRGY in connection with the management and operation of the Partnership Assets prior to the Closing Date.
Agreement to Provide Services. 2.1. Intersections shall, subject to the terms and provisions of this Agreement, provide Equifax with (i) Credit Watch (Offline) Services as described on Exhibit B, and Credit Watch On-line Ordering Services as described in Exhibit B-1 and (ii) such other services as the Parties may from time to time mutually agree upon pursuant to Sections 5 or 6 hereof (collectively, the "Intersections Services"). 2.2. Equifax shall, subject to the terms and provisions of this Agreement, provide Intersections with (i) Online Ordering for Tri-Bureau Reports Services as described on Exhibit C and (ii) such other specific services as the Parties may from time to time mutually agree upon pursuant to Sections 5 or 6 hereof (collectively, the "Equifax Services").
Agreement to Provide Services. (a) CLIENT hereby retains SOFTSERVE to provide various professional services, including services to design, develop, test (QA) and maintain software, as such services are further described in individually executed Scope of Work documents, (each a “Scope of Work”). The first Scope of Work is attached hereto as Appendix A. The services to be performed by SOFTSERVE under each Scope of Work shall be referred to hereinafter as the “Services”. Except as otherwise set forth in the applicable Scope of Work, each Scope of Work shall be subject to the terms and conditions of this Agreement. SOFTSERVE agrees to perform all Services in accordance with each Scope of Work, subject to the terms and conditions of this Agreement. The term of a Scope of Work shall cover the period of time described in the Scope of Work for the performance of all Services to be performed thereunder. The term for each Scope of Work shall be as specified within the applicable Scope of Work. (b) Concurrent with the execution and delivery of this Agreement, CLIENT and SOFTSERVE agree to execute the first Scope of Work as set forth in Appendix A, which is incorporated herein by this reference and made a part hereof. (c) In addition and not by way of limitation to the Services described above and in each Scope of Work, throughout the term of this Agreement, SOFTSERVE shall: (i) develop Client’s products and maintain them in accordance with specifications and approved coding conventions from time to time provided by CLIENT to SOFTSERVE; (ii) keep CLIENT informed about on-going activities and deliveries; (iii) no later than each Tuesday during the term, send to Client a weekly status report containing a description of all activities completed during the prior week and a description of the time expended by SOFTSERVE in connection with such services; (iv) assemble and make reasonable efforts to retain the same core team of software engineers throughout application development; and (v) provide a weekly delivery of source code, together with a script that can be run to prove that all code can actually be compiled and properly executed. (d) To the extent that a Scope of Work requires SOFTSERVE to prepare any new developments, works, customizations, work product or other deliverables (collectively, “Deliverables”) for CLIENT, SOFTSERVE shall prepare and deliver to CLIENT the Deliverables in accordance with this Agreement and the requirements of the applicable SCOPE OF WORK, including any acceptance proces...
Agreement to Provide Services. (A) Subject to the terms and conditions of this Agreement and upon the written request of the Company, WBS shall provide certain corporate services (together, the “WBS Services”) to the Company, each of which is more particularly described in Schedule I, and the Company shall accept and use the WBS Services. (B) Notwithstanding any provision herein to the contrary, the parties agree that there shall be no minimum purchase obligation with respect to any of the WBS Services under this Agreement. (C) WBS agrees to use, and to cause its employees and agents to use, good faith efforts to provide the WBS Services in a good, workmanlike and professional manner as if such entities were performing such services on their own respective behalf. (D) Notwithstanding any other provision herein to the contrary, the parties agree that in no event shall WBS be entitled to any payment with respect to the activities related to managing the investment or holdings of WBS or any of its “affiliates” (as such term is defined by the U.S. Securities Exchange Act of 1934) in the Company (including, without limitation, any activities in connection with consolidating the financial statements of the Company with the financial statements of WBS or any of its affiliates or the preparation or filing of any tax returns with respect to WBS or any of its affiliates) and such activities shall not constitute WBS Services under this Agreement; provided, however, that this paragraph shall not preclude WBS or its affiliates from receiving standard and customary director fees or reimbursement of director expenses in connection with service by any such WBS affiliate on the Board of Directors of the Company.
