The Gift Fund shall have the right, but not the obligation, to sell the Initial Contribution and any subsequent contributions and invest the proceeds of any sale in accordance with the Policies and Guidelines and this Agreement.
The negotiated percentage is subject to the Gift Fund’s approval (which approval shall not be unreasonably withheld, conditioned, or delayed) and will be reflected in an Addendum to this Agreement.
In the event of a conflict in terms or provisions with other Gift Fund related documents, the terms and provisions of this Agreement take precedence.
The Donor (and/or Joint Adviser) may terminate this Agreement by notifying the Gift Fund in writing and making a recommendation to distribute the balance, less applicable fees, of the Discretionary Sub-Fund to one or more qualified charities including Tulane University, as outlined in paragraph 4 of this Agreement.
In the event there is no succession plan for the Discretionary Sub-Fund, the Discretionary Sub-Fund’s balance will be transferred to the Gift Fund’s Grant Fund, as set forth in the Policies and Guidelines.
