Management Equity Incentive Program definition

Management Equity Incentive Program means the management equity incentive program to be established on or after the Effective Date by Reorganized Parent under which options, equity or other equity-based grants equal to 8% of the total common stock or common units, as applicable, of Reorganized Parent on a fully diluted basis as of the Effective Date will be reserved for issuance to members of management of the Reorganized Debtors, the specific terms of which program (including the participants therein) will be determined by the board of directors or board of managers, as applicable, of Reorganized Parent.
Management Equity Incentive Program means the management equity incentive program to be established promptly after the Effective Date by Reorganized Stone which shall provide for the grant of up to 10% of the New Common Stock (or warrants or options to purchase New Common Stock or other equity-linked interests) on a fully diluted basis to certain members of management, the specific form, allocation and terms of which shall be determined by the Reorganized Stone Board (or a committee thereof).
