Access to Source Code. Licensee may obtain Licensed Software source code by downloading the source code from the Highsoft Website, make own edits, and keep its own repositories with the modified source code. Licensee shall not modify, delete or obscure any notices of proprietary rights or any Software identification or restrictions on or in Software found in the license-header of the code files.

Access to Source Code. The Venture (through the Manager during the term of the Management Agreement) and such contractors as the Venture or the Manager may retain shall have complete access to all source code included in the Software for all purposes within the scope of the license rights granted hereby, subject only to the confidentiality provisions of Section 6 hereof.
Access to Source Code. Supplier agrees to execute a standard software escrow agreement (the "Escrow Agreement") supplied by an escrow agent selected by Media 100 and reasonably acceptable to Supplier (the "Escrow Agent"), and in connection therewith Supplier agrees that from time to time upon request of Media 100, Supplier shall deposit in escrow with the Escrow Agent the latest versions of all intellectual property, as defined in section 101 of Title 11 of the United States Code, with respect to those portions of the software and other technology incorporated in the Supplier Product and reasonably relevant to the implementation of this Agreement (the "Technology") including without limitation all Source Code, designs, patents and Documentation ("Supplier Product Materials"), to be made available to Media 100 upon the conditions set forth in this Section. Media 100 will pay the Escrow Agent's charges.
Access to Source Code. Hyland shall provide the Licensees with source code for the Licensed Check Products for the specified and limited use (i) of complying with terms for source code escrow deposit that Licensees may be required to perform as a condition of an agreement with its remarketers, dealers or customers, in which case Licensees shall submit the proposed source code escrow deposit agreement to Hyland for review and approval, which approval will not be unreasonably withheld; and (ii) for any purpose to support the rights granted to Licensees under this Agreement including but not limited to (a) the development of Licensees' applications or third party applications for integration with the Licensed Check Products, or (b) for the development of revisions, upgrades or enhancements to the Licensed Check Products. Licensees agree that they will negotiate in good faith to protect Xxxxxx'x rights in each source code escrow agreement they are required to enter into with any of its Accounts. Licensees shall protect and keep confidential any Hyland source code Licensees may obtain under this Section. In no event shall any Hyland source code be provided to remarketers, dealers or customers of the Licensees. Additionally, the Licensees shall have the right to possess, access, and use the source code version of the Licensed Check Products for the specific and limited purposes and under the terms and conditions of this Agreement in the event of (i) the discontinuance of business activities by Hyland for a continuous period of thirty (30) days, (ii) a material breach of performance by Hyland regarding its obligations to Licensees under Section 5 of this Agreement, where such material breach is uncorrected after thirty (30) days from receipt of notice of breach from Licensees by Hyland, (iii) the entry of an order for relief against Hyland in federal bankruptcy proceedings, or (iv) the filing of involuntary bankruptcy proceedings against Hyland where such proceedings are not dismissed or otherwise disposed of within ninety (90) days from date of filing. Hyland shall, on a schedule to be agreed upon by Hyland and Licensees' designated relationship manager, update the source code in its possession to keep it current with the then current version of the Licensed Check Products. Access to Source Code. During the Term of this License and upon Customer’s request, Bonitasoft shall provide Customer a copy of the then-current, complete source code for the Bonitasoft Software, along with such documentation and programmer’s notes so as to enable a reasonably skilled programmer to maintain and compile the Bonitasoft Software, subject to the provisions of Section 13 of this Agreement. Access to Source Code. (a) With respect to Software which has not been the subject of a notice of discontinued availability pursuant to Section 9.20, NOTIFICATION OF DISCONTINUED AVAILABILITY OF SOFTWARE, if Supplier is declared bankrupt or refuses to perform maintenance of the Software, or fails to provide for the performance of maintenance of the Software to the extent that Ordering Company is unable to use the Software for its intended purpose and perform maintenance, then Supplier, or others acting on behalf of Supplier, shall furnish to Ordering Company (under a suitable license agreement, if applicable), Supplier's then existing Software Source Code, Software development programs, and associated documentation for such standard version to the extent necessary for Ordering Company to maintain and enhance for its own use the standard version of that Software for which it has a perpetual, non-exclusive right to use.
Access to Source Code. 14.1 Licensor undertakes to deposit a copy of the latest version of the Software (including Updates thereto and New Releases thereof) and all documentation required for the maintenance and modification of the Source Code with the escrow agent.

Access to Source Code. Within twenty (20) business days following execution of this Agreement, the source code for the Products shall be placed in escrow with an institution or entity satisfactory to ITI and HYLAND under an escrow arrangement which assures to ITI access to the source code in the event of the discontinuance of business activities by HYLAND, its permitted successors or assigns, or the termination of this Agreement. Such deposit in escrow shall be made pursuant to such documentation or agreements as ITI and HYLAND and the escrow agent may agree and shall allow ITI's use of the source code to support its Customers and to continue to market the Products as herein contemplated provided, however, if ITI's access to the source code occurs as a consequence of ITI's voluntary termination of this Agreement without an Event of Default, as hereinafter defined, on the part of HYLAND having occurred and not been cured as permitted in Section 7.6, then ITI's use of the source code shall be restricted to support of its Customers and ITI shall not then be entitled to continue to market the Products. HYLAND shall update the source code in escrow on a continuing basis to keep it current with the then current version of the Products.
Access to Source Code. Neither the Company nor any Company Subsidiary has (i) granted access or rights to any of its Source Code in or for any Company Products to any third party; or (ii) licensed or granted a third party the right to obtain any of its Source Code in or for any Company Products (including in any such case, any conditional right to access, or under which the Company or any Company Subsidiary has established any escrow arrangement for the storage and conditional release of any Source Code).
Access to Source Code. To the extent that the Venture obtains ownership of or access to any source code included in the Venture Technology, CCI and such contractors as it may retain shall have complete access to such source code for all purposes within the scope of the license rights granted hereby, subject only to the confidentiality provisions of Section 6 hereof.
