Adjustment to Compensation. The parties acknowledge that a change order for this Contract may or may not entitle the Contractor to an equitable adjustment in the Contractor’s compensation or the performance deadlines under this Contract.
Adjustment to Compensation. Company shall retain the right to adjust Employee’s base compensation as a result of economic conditions, provided that other similarly-situated employees shall have their compensation adjusted in a similar manner.
Adjustment to Compensation. 8.3.1 A teacher who is laid off and who is paid unemployment benefits by Utica Community Schools during the summer immediately following the lay-off and who is subsequently recalled to a position during the next school year shall have his/her compensation adjusted by the gross dollar amount of the unemployment compensation benefits received for all periods and/or days during the summer recess.
Adjustment to Compensation. Compensation for purposes of this Section 6.12 shall include amounts that are not includable in the gross income of the Participant under a salary reduction agreement by reason of the application of Code Section 125, 132(f)(4), 402(e)(3), 402(h), or 403(b).
Adjustment to Compensation. On each anniversary of the Effective Date during the term of this Agreement, the Board of Directors of the Corporation, or a committee of such a board, will carry out an objective review of the terms of reference of this Agreement and the Contractor's performance, including agreements in the marketplace, and, if warranted, the compensation provided herein may be increased by the Corporation (but not decreased) for the following year of the Term, and thereafter.
Adjustment to Compensation. If Publisher generates any revenue while in violation of any requirement of this Software Attachment, Yahoo! reserves the right to exclude the revenue attributable to such violation from its calculation of any amounts owed to Publisher.
Adjustment to Compensation. Should the term of this Contract be renewed in accordance with the provisions of Article 2 “Term”, compensation paid under this article shall be subject to adjustment in proportion to changes in the Consumer Price Index – All Urban Consumers for Los Angeles - Riverside – Orange, CO, CA, All items 1982-84=100 (monthly) promulgated by the Bureau of Labor Statistics of the U. S. Department of Labor, or replacement index published thereto, but in any case shall not be reduced below the amounts specified in Attachment B (Contractor’s Pricing). Said adjustment(s) shall be effective December 1 of every even numbered year beginning 2018. The adjustment(s) shall be calculated by the following formula: A=B x (D/C) A = Adjusted employee-hour fee. B = Employee-hour fee(s) listed on Contractor Pricing C = Monthly index for July 2017 D = Monthly index for July of the year in which the adjustment becomes effective Compensation during the term of this Contract shall also be adjusted in the same proportion as California State Minimum Wage Requirements are adjusted, if any, from time to time, by the State of California, and/or by the local governing body in which a parking facility is located, either as a result of existing laws or regulations, or as a result of new laws or regulations promulgated by the State of California and/or by the local governing body in which a parking facility is located during the term of this CONTRACT, and any extensions thereof. Any such adjustments shall become effective as of the first day following the effective date of any such new law or regulation. Any such adjustments, whether by Consumer Price Index, or as the result of law or regulation, or any combination thereof, shall not be compounded. In other words, if a Consumer Price Index adjustment would result in a Three Percent (3%) increase in Compensation, and a concurrent increase as a result of a new law or regulation would result in an Four Percent (4%) increase in Compensation, the maximum increase for the ensuing contract year will be limited to not more than Four Percent (%) – the larger of the two increases in this example. Any such adjustments to Compensation during the term of this Contract shall be calculated annually to become effective as of the December 1 anniversary date of this Contract
Adjustment to Compensation. During the Term, the Annual Salary may be adjusted from time to time at the sole discretion and approval of the majority of the Board. Any changes to the Compensation to be paid pursuant to this Section 6 or any other provision of this Agreement shall be made in the sole discretion of the Company.
Adjustment to Compensation. As of the Effective Date, PHYMED owns and operates only one diagnostic imaging center located in Dallas County or Tarrant County, Texas (the Center located on White Rock Trail in Dallas, Texas). If subsequent to the Effective Date, PHYMED operates any one or more additional imaging facilities covered by this Agreement, the operation of which requires the Director to (a) devote additional time to his duties as Director, or (1)) undertake additional duties as Director the compensation for the services of the Director will be reviewed and adjusted to account fairly for the increased responsibilities created by the operation of such additional Center(s).
Adjustment to Compensation. At any time on or after the one-year anniversary of the Closing, Executive may request that the Compensation Committee, in consultation with such committee’s compensation consultant, prepare and present a proposal to Executive of a compensation package (including base salary, annual cash and equity incentives and severance) that is competitive for a publicly-traded company of the Company’s size and consistent with the Company’s then-current pay strategy for the Company’s senior executives. At such time, the parties agree to negotiate in good faith to agree to Executive’s compensation package and to amend this Agreement as appropriate to reflect the foregoing.
