Areas of Interest. Seller and Buyer acknowledge that Seller owns additional mining properties within the vicinity of the Subject Property, and within the boundaries of the area designated as the Xxxxxx Area of Interest, or “Xxxxxx AOI” as identified on Exhibit C attached hereto (the “Xxxxxx AOI”), and Seller intends to continue to pursue mining development within the Xxxxxx AOI. As a condition to the Closing of the transaction contemplated by this Agreement, and the transfer of the Subject Property from Seller to Buyer, Seller and Buyer agree as follows:
(a) Following the Closing Date, and for so long thereafter as Seller, or its successors or assigns, owns mining property interests within the Xxxxxx AOI, up to a maximum of [***] years after the Closing Date, Buyer and its affiliates may stake or acquire mining property interests within the boundary of the Xxxxxx AOI as identified on Exhibit C attached hereto, provided that Buyer and its affiliates act in accordance with the procedure described in sub-section (c) below.
(b) Following the Closing Date, and for so long thereafter as Buyer, or its successors or assigns, owns the Subject Property, up to a maximum of [***] years after the Closing Date, Seller and its affiliates may stake or acquire mining property interests within the boundary of the “HPX AOI” identified on Exhibit C attached hereto, provided that Seller and its affiliates act in accordance with the procedure described in sub-section (c) below.
(c) Seller and Buyer agree that if either party or its affiliates (the “Acquiring Party”) stakes or acquires mining property interests in the other party’s AOI, then the Acquiring Party shall give written notice within thirty (30) days after such event to the other party or its affiliates (the “Other Party”). The Other Party shall have ninety (90) days from the date of that notice within which to acquire such staked or acquired mining property interests from the Acquiring Party at the same price and cost, and under the same terms, conditions and covenants, as transacted by the Acquiring Party.

Areas of Interest. 1.1 Participants have initially identified, by means of survey, the following as priority areas in which to explore opportunities for mutual exchange:
1.1.1 Development and maintenance of links between participants in order to learn from the experiences of other European countries in developing or implementing dementia policies.
1.1.2 Identification, and promotion of best practice in the diagnosis, care and treatment of people with dementia.
1.1.3 Mutual presentations of work from emerging research and implementation of new or existing dementia policy.
1.1.4 Developing communities of interest around specific topics in order to network and share a deeper understanding of each other’s challenges and triumphs in improving the lives of people living with dementia within each other’s counties.
1.1.5 Collaborations between other in promoting and implementing best practice.
1.1.6 Joint activities in areas other than those mentioned above, identified and presented by the EGGED
1.2 In addition, the Participants may jointly explore forms of multilateral cooperation with third countries with a view to supporting the attainment of goals set out in this Memorandum.

2.1.1 Port Development, in exchanging technology, know-how and information on design and building standards to make port facilities better constructed, more efficient and secure.
2.1.2 Cooperation with government agencies and private initiatives in the execu- tion of programs, projects and activities for port development.
2.1.3 Human capital development, including appropriate technical training and personnel improvement to achieve optimal port performance.
2.1.4 Port security, in ensuring the safety of passengers, crew members, vessels and port facilities, as well as in securing necessary funding for implementation of appropriate programs and infrastructure.
2.1.5 Industrial safety, in risk prevention of all problems that impact persons, freight, or vehicles that operate within a port system, as well as in securing necessary funds for implementation of appropriate programs and infra- structure.
2.1.6 Environmental quality issues, in operating port facilities in an environmentally sensitive manner, as well as in securing necessary funding for implementation of appropriate programs and infrastructure.
2.2 The undersigned organizations agree that the ability to achieve their individual and shared public goals will be enhanced substantially by undertaking the collaborative approach out- lined in this MOU.
